Openbaarmaking met toepassing van artikel 15 van de Wet van 2 mei 2007 (de Transparantiewet) 

 

 

Leuven, België – 26 juli 2021 – 18u00, Crescent NV, Gaston Geenslaan 14, 3001 Heverlee (Euronext Brussels: OPTI) Het maatschappelijk kapitaal van de vennootschap werd op 15 juli 2021 verhoogd met 740.925 EUR door inschrijving op 27.750.000 aandelen door LDA Capital. De uitgifteprijs van 0,0267 EUR kwam tot stand binnen de prijsperiode van 30 handelsdagen na de uitgifte van de tweede putoptie aan LDA Capital op basis van 90% van het gemiddelde van de VWAP's in deze Prijsperiode en in overeenstemming met de bepalingen van de kapitaalverbintenisovereenkomst met LDA Capital.

 

Na voltooiing van deze kapitaalverhoging en de uitgifte van 27.750.000 nieuwe aandelen bedraagt het totale kapitaal van Crescent sinds 16 juli 2021 11.995.923,06 EUR. Het kapitaal wordt vanaf diezelfde datum vertegenwoordigd door 1.697.689.345 volledig volgestorte gewone aandelen (=de noemer). Er zijn geen bevoorrechte aandelen. Elk van deze aandelen verleent één stemrecht op de Algemene Vergadering en deze aandelen vertegenwoordigen dus de noemer voor doeleinden van kennisgevingen in het kader van de transparantiereglementering (i.e. kennisgevingen ingeval van het bereiken, overschrijden of onderschrijden van de statutaire of wettelijke drempels).

 

Naast de wettelijke drempels, voorzien de statuten van Crescent, in toepassing van artikel 18, §1 van de Transparantiewet, een bijkomende statutaire drempel van 3%.

 

Er zijn nog 50.900.000 warrants uitgegeven die bij uitoefening recht geven op telkens één aandeel. Houders van warranten hebben slechts een raadgevende stem op de Algemene Vergadering van aandeelhouders.

The issue price of 0.0267 EUR was established within the 30 trading day price period following the issue of the second put option to LDA Capital based on 90% of the average of the VWAPs in this Price Period and in accordance with the terms of the capital commitment agreement with LDA Capital.

 

Upon completion of this capital increase and the issuance of 27,750,000 new shares, Crescent's total capital as of July 15, 2021 is EUR 11,995,923.06. The capital is represented by 1,697,689,345 fully paid ordinary shares (=the denominator) as of the same date. There are no preference shares. Each of these shares gives one voting right at the General Meeting and these shares therefore represent the denominator for the purposes of transparency regulations (i.e. notifications in the event of reaching, exceeding or falling below the statutory or legal thresholds). In addition to the statutory thresholds, Crescent's articles of association, in application of Article 18, §1 of the Transparency Act, provide for an additional statutory threshold of 3%.

CRESCENT enters consortium for 5G technology platform

Crescent’s Option™ , Verhaert,  and  DroneMatrix have formed a consortium to collaborate on a sub-6 GHz 5G Gateway platform coupled with an Edge AI module.

This technology platform will enable new innovations with a large number of sensors, massive data, low network latency and high reliability with AI data handling for smart autonomous systems such as drones, AGVs and robots.

 

In addition to demonstrating the capabilities of true 5G autonomous systems, the consortium aims to innovate on a technological level as well. The technology will allow Artificial Intelligence to be deployed between AI and cloud to optimize data consumption and real-time local decisions.

 

The collaboration will allow Crescent’s Option™ to commercialize a 5G Gateway more quickly. In addition, it will be able to test the first prototypes in a setup of Automated Guided Vehicles (AGVs) at Atlas Copco, operating in a fairly small environment among employees. Because the AGVs are equipped with 5G, Option™ will demonstrate that 4 cameras streaming in real time enable a 360-degree visibility, which greatly improves safety applications.

 

“This fifth generation CloudGate IoT gateway from Crescent’s Option™ will combine local Edge AI processing, interacting rapidly with AI cloud platforms over the 5G network. This will allow the customer’s AI application to be centrally trained and then the set of parameters to be applied. This has huge advantages: the technology will become cheaper and greener, and due to the autonomous operation, there is less chance of communication failure,” states Alain Van den Broeck, CEO at Option™.

 

Verhaert is initially focusing on a fully autonomous self-learning Search & Collect Automated Guided Vehicle (AGV), equipped with a robotic gripper and controlled by a Deep-VSLAM algorithm.

 

Lieven Claeys, Business Developer Digital Innovation at Verhaert underlines the importance of building 5G knowledge for Flanders: “5G is about much more than just the network and investments. Developing hard- and software solutions for adequate applications tailored to 5G leads to Flemish products and services. As a result, we will not only be introducing 5G equipment, but also inventing, developing and producing it on Flemish soil.”

 

 

The consortium will enable DroneMatrix to make its drones deployable for 5G. Because of faster response times and real-time streaming of video images to the command center, remote control of drones will improve dramatically.

 

“The 5G technology will exponentially increase the applications of autonomous drones: the ‘drone-in-the-box’ will be the killer application for 5G. With this collaboration we want to demonstrate that one technology triggers the other,” said Lander Vanwelkenhuyzen, General Manager at DroneMatrix.

 

The 5G technology platform receives technical assistance from IDLab which is a core research group of IMEC. Its research activities are embedded in Ghent University and University of Antwerp.

Crescent's Option™, Verhaert, en DroneMatrix hebben een consortium gevormd om samen te werken aan een sub-6 GHz 5G Gateway platform gekoppeld aan een Edge AI module.

Dit technologieplatform zal nieuwe innovaties met een groot aantal sensoren, massale data, lage netwerklatentie en hoge betrouwbaarheid mogelijk maken, met AI-dataverwerking voor slimme autonome systemen zoals drones, AGV's en robots.

 

Naast het demonstreren van de mogelijkheden van echte 5G autonome systemen, wil het consortium ook op technologisch vlak innoveren. De technologie zal het mogelijk maken Artificiële Intelligentie in te zetten tussen AI en cloud om dataverbruik en real-time lokale beslissingen te optimaliseren.

 

De samenwerking zal Crescent's Option™ toelaten om sneller een 5G Gateway te commercialiseren. Bovendien zal het de eerste prototypes kunnen testen in een opstelling van Automatisch Geleide Voertuigen (AGV's) bij Atlas Copco, die in een vrij kleine omgeving tussen werknemers opereren. Omdat de AGV's uitgerust zijn met 5G, zal Option™ aantonen dat 4 camera's die in real time streamen een 360-graden zichtbaarheid mogelijk maken, wat de veiligheidstoepassingen sterk verbetert.

 

"Deze vijfde generatie CloudGate IoT-gateway van Crescent's Option™ zal lokale Edge AI-verwerking combineren, die snel interageert met AI-cloudplatforms via het 5G-netwerk. Hierdoor zal de AI-toepassing van de klant centraal kunnen worden getraind en vervolgens de set parameters kunnen worden toegepast. Dit heeft enorme voordelen: de technologie wordt goedkoper en groener, en door de autonome werking is er minder kans op communicatiestoringen", stelt Alain Van den Broeck, CEO bij Option™.

 

Verhaert richt zich in eerste instantie op een volledig autonoom zelflerend Search & Collect Automated Guided Vehicle (AGV), uitgerust met een robotgrijper en bestuurd door een Deep-VSLAM-algoritme.

Het consortium zal DroneMatrix in staat stellen om zijn drones inzetbaar te maken voor 5G. Door snellere reactietijden en real-time streaming van videobeelden naar het commandocentrum zal de besturing van drones op afstand drastisch verbeteren.

 

"De 5G-technologie zal de toepassingen van autonome drones exponentieel doen toenemen: de 'drone-in-the-box' zal de killer-toepassing voor 5G zijn. Met deze samenwerking willen we aantonen dat de ene technologie de andere triggert," aldus Lander Vanwelkenhuyzen, General Manager bij DroneMatrix.

 

Het 5G-technologieplatform krijgt technische bijstand van IDLab, een kernonderzoeksgroep van IMEC. De onderzoeksactiviteiten zijn ingebed in de Universiteit Gent en de Universiteit Antwerpen.

Als antwoord op deze snel evoluerende marktopportuniteiten transformeert Crescent NV van een productgerichte original equipment manufacturer (OEM) naar een leverancier van totale end-to-end oplossingen, en vervolledigt daarbij haar bestaande aanbod van gateway-gebaseerde communicatie platformen met cellulaire communicatiesystemen en geavanceerde sensor technologie  gecomplementeerd met geavanceerde software modules.

 

Daartoe heeft de Raad van Bestuur van Crescent weliswaar onder voorbehoud van due diligence, ingestemd met de overname van Remoticom Holding BV en met een verder doorgedreven strategische sanemwerking en integratie van Trust1Team BV. Hoewel dit zal gebeuren via hoofdzakelijk cashloze transacties (aandelenruil, enz..), heeft Crescent tevens een tweede Put Option Notice (34M aandelen) aan LDA Capital gelanceerd om het hoofd te bieden aan beperkte bijkomende kasbehoeften.

 

Deze transacties zullen leiden tot een aanzienlijke groei van de inkomsten en aanzienlijke productiviteitswinsten mogelijk maken, zoals reeds geïllustreerd door enkele recente internationale successen met grote OEM's die dankzij hun gezamenlijke inspanningen en strategische samenwerking geboekt werden.

 

Crescent NV ontving en aanvaardde de ontslagen van mevrouw Liesbet Van der Perre en mevrouw Lieve Declercq, en meer recent van de heer Pieter Bourgeois. Hun mandaten zullen worden ingevuld door mevrouw Martine Reynaers en de heer Paul Matthijs en zullen ter goedkeuring worden voorgelegd aan de algemene vergadering van vandaag.

OEMs in nearly all industries, the public sector as well as specialized integrators are stepping up their efforts in digital transformation and are looking for increasingly advanced/integrated IOT solutions. In response to these rapidly evolving market opportunities, Crescent NV is transforming from a product-focused original equipment manufacturer (OEM) to a total end-to-end solution provider, completing its existing offering of gateway-based communication platforms with cellular communication systems and advanced sensor technology complemented by advanced software modules.

To this end, although subject to due diligence, the Board of Crescent has approved the acquisition of Remoticom Holding BV and an enhanced strategic cooperation and integration with Trust1Team BV. Although this will be done through mainly cashless transactions (share swaps, etc..), Crescent has also launched a second Put Option Notice (34M shares) to LDA Capital to cope with limited additional cash requirements.

These transactions will fuel substantial revenue growth as well as enable significant productivity gains, as already illustrated by some recent international successes with major OEMs booked thanks to their joint efforts and strategic cooperation.

Crescent NV received and accepted resignations of Mrs. Liesbet Van der Perre and Mrs Lieve Declercq, as well as more recently of Mr Pieter Bourgeois. Their mandates will be filled by Mrs Martine Reynaers and Mr Paul Matthijs and will be submitted for approval by today’s general assembly.

Mr Bourgeois stated: "I leave Crescent's Board of Directors with a great deal of pride in view of the turnaround realized under the leadership of Eric Van Zele. 13,000 smart LED streetlight implementation across Muscat in Oman

More than 13,000 smart LED lights will be implemented in the city of Muscat that are controlled by multiple IoT based smart controllers. 370 Option™ CloudGate IoT gateways are being used to acquire real-time energy consumption of these LED lamps and any alarms. Once implemented, the installation base of more than 20,000 smart streetlamps in the city that are controlled remotely, will save a significant amount of energy for the municipality and will be lowering the carbon footprint in the city.

 

The agreement to install the system was signed between Muscat Municipality and IMTAC LLC,

Municipal bodies have the responsibility of providing appropriate lighting levels in the city and at the same time, keep the energy costs to their minimum. Most cities such as Muscat have strategic plans that specify how lighting is to be provided and their intensity to be controlled online for different areas of the city. By doing this there is direct saving in the energy cost.

 

It is estimated that there are 300 million streetlights in the world, and this market is growing rapidly. In the past, only about 10 to 20 percent of the streetlamps were smart controlled. This is however set to change and grow multiple times per industry estimates.
With lighting accounting for a large portion of a city’s total energy consumption, the need for cost-effective and sustainable options is crucial. Simply switching to LED lighting can result in electricity savings of up to 50 to 60 percent, and by adding smart control systems, the overall energy savings can go up to 80 percent.

13.000 slimme LED-straatlantaarns geïmplementeerd in de stad Muscat in Oman

Meer dan 13.000 slimme LED-lampen zullen worden geïmplementeerd in de stad Muscat die worden aangestuurd door meerdere IoT-gebaseerde slimme controllers. 370 Option™ CloudGate IoT-gateways worden gebruikt om het real-time energieverbruik van deze LED-lampen en alarmen te ontvangen. Eenmaal geïmplementeerd, zal de installatiebasis van meer dan 20.000 slimme straatlantaarns in de stad die van op afstand worden bestuurd; een aanzienlijke besparing opleveren van de hoeveelheid energie voor de gemeente en een verlaging van  de koolstofvoetafdruk van de stad.

 

De overeenkomst voor de installatie van het systeem werd ondertekend door de gemeente Muscat en IMTAC LLC.

Gemeentelijke instanties hebben de verantwoordelijkheid om te zorgen voor de juiste verlichtingsniveaus in de stad en tegelijkertijd de energiekosten tot een minimum te beperken. De meeste steden, zoals Muscat, hebben strategische plannen waarin wordt gespecificeerd hoe de verlichting moet worden aangebracht en hoe de intensiteit ervan online moet worden geregeld voor verschillende gebieden van de stad. Hierdoor wordt rechtstreeks bespaard op de energiekosten.

 

Naar schatting zijn er 300 miljoen straatlantaarns in de wereld, en deze markt groeit snel. In het verleden werd slechts ongeveer 10 tot 20 procent van de straatlantaarns slim bestuurd. Dit zal echter veranderen en volgens schattingen van de industrie een veelvoud daarvan worden.

Aangezien verlichting een groot deel van het totale energieverbruik van een stad betekent, is de behoefte aan kosteneffectieve en duurzame opties van cruciaal belang. Enkel de  overschakeling op LED-verlichting kan resulteren in elektriciteitsbesparingen tot 50 à 60 procent, en door slimme regelsystemen toe te voegen kan de totale energiebesparing oplopen tot 80 procent.

The company's share capital was increased on May 12, 2021 by EUR 158,384.54 through the exercise of 23,500,000 subscription rights. Following the completion of this capital increase and the issuance of 23,500,000 new shares, Crescent's total capital as of May 12, 2021 is EUR 11,254,998.06. The capital is represented by 1,669,939,345 fully paid ordinary shares (=the denominator) as of the same date. There are no preference shares. Each of these shares confers one voting right at the General Meeting and these shares therefore represent the denominator for the purposes of transparency regulations (i.e. notification of reaching, exceeding or falling below the statutory or legal thresholds).

The difference between the amount for which subscription rights were exercised, i.e. a total of EUR 470,000.00, and the nominal amount of the capital increase will constitute an issue premium for a total amount of EUR 311,615.46.

In addition to the statutory thresholds, Crescent's articles of association, in application of Article 18, §1 of the Transparency Act, provide for an additional statutory threshold of 3%.

 

There are still 50,900,000 warrants issued which, if exercised, entitle the holder to one share each. Holders of warrants only have a consultative vote at the General Meeting of Shareholders.

Openbaarmaking in toepassing van artikel 15 §1 van de Wet van 2 mei 2007 (de Transparantiewet)

Het maatschappelijk kapitaal van de vennootschap werd op 12 mei 2021 verhoogd met 158.384,54 EUR door uitoefening van 23.500.000 inschrijvingsrechten. Na voltooiing van deze kapitaalverhoging en de uitgifte van 23.500.000 nieuwe aandelen bedraagt het totale kapitaal van Crescent sinds 12 mei 2021 11.254.998,06 EUR. Het kapitaal wordt vanaf diezelfde datum vertegenwoordigd door 1.669.939.345 volledig volgestorte gewone aandelen (=de noemer). Er zijn geen bevoorrechte aandelen. Elk van deze aandelen verleent één stemrecht op de Algemene Vergadering en deze aandelen vertegenwoordigen dus de noemer voor doeleinden van kennisgevingen in het kader van de transparantiereglementering (i.e. kennisgevingen ingeval van het bereiken, overschrijden of onderschrijden van de statutaire of wettelijke drempels).

Het verschil tussen het bedrag waarvoor de inschrijvingsrechten werden uitgeoefend, zijnde in totaal 470.000,00 EUR, en het nominaal bedrag van de kapitaalverhoging zal een uitgiftepremie uitmaken voor een totaalbedrag van 311.615,46 EUR.

Naast de wettelijke drempels, voorzien de statuten van Crescent, in toepassing van artikel 18, §1 van de Transparantiewet, een bijkomende statutaire drempel van 3%.

Despite slightly lower sales, EBITDA increased slightly compared to 2019 due to improved gross margin and additional cost savings.

The services division confirmed its strong results in 2020, and was able to improve both sales and EBITDA. It therefore remains the largest contributor to Group results.

At the same time, it has invested in the development of new software integration activities, the impact of which on sales should only become visible as of 2021.

 

The solutions division has been slightly more affected by the corona crisis. At Crescent NV, the impact on sales has been cushioned by the marketing of the "Safe distance by Option" solution on the one hand (sales of EUR 0.5 million) and by cost reduction measures on the other hand. Option's IoT solution was retained by a number of customers, however, the implementation of these projects was postponed in a number of cases, delaying the revenues.

 

Sales in the Lighting division remained almost flat, the improvement to positive EBITDA is due to better gross margin and cost reductions.

Within the corona government measures in place in Belgium and the Netherlands, EUR 0.2 million of capital payments on financial debts were suspended and EUR 0.3 million of payments on taxes and social debts were postponed.

 

Outlook

 

In 2020, Crescent took important steps to complete its turnaround through obtention of additional software competencies and sensor technology; market conditions prevented these from being reflected in sales and results already in 2020.

The economic recovery is just around the corner, and it should allow the group to prove that it can indeed make the positive difference.

LEUVEN – Belgium, March 29, 2013 – 07.00 – Option (EURONEXT Brussels: OPTI; OTC: OPNVY), a global leader in wireless connectivity, security and experience, today announces that the Board of Directors has concluded the private placement announced in October 2012 and revised in January 2013. The Company has secured € 9 million via the issue of a convertible bond. The funding is subscribed by 5 partners: the Flemish investment company PMV, thereby supporting further technological innovation in Flanders, for € 2 million, Athos Investments for € 1 million, Life Science Research Partners for € 0,5 million, Mondo for € 0,5 million and Jan Callewaert for € 5 million. The combination of this investment with further cost reductions and the projected sales of the new products should allow Option to continue to build out a profitable business focused on B2B and M2M solutions.

The 5-year convertible bond matures in March 2018, and can be converted into 31,034,483 new shares of Option N.V. The convertible bond has an annual interest rate of 5% with an initial conversion price of € 0.285 which is the average share price during the 30 days prior to the issuing of the convertible bond.

The agreement between the Company and Mondo on a mid term loan facility in order to bridge potential cash requirements until the completion of the private placement, will as a result of the issue of the convertible bond be terminated. The loan facility was not used.

De Vennootschap verzekerde 9 miljoen EUR via de uitgifte van een converteerbare obligatie. De converteerbare obligatie over 5 jaar loopt af in maart 2018, en kan worden geconverteerd in 31.034.483 nieuwe aandelen van Option N.V. De converteerbare obligatie heeft een jaarlijkse interestvoet van 5,00% en de initiële conversieprijs bedraagt 0,285 EUR, wat overeenstemt met de gemiddelde koers van het aandeel gedurende de 30 dagen voor de uitgifte van de converteerbare obligatie.

De overeenkomst tussen de Vennootschap en Mondo voor een middellange termijn leningsfaciliteit om eventuele cashtekorten op te vangen tot de private plaatsing was afgerond, zal als gevolg van de uitgifte van de converteerbare obligatie worden beëindigd. De leningsfaciliteit werd niet gebruikt.

(EURONEXT Brussels: OPTI; OTC: OPNVY), a global leader in wireless connectivity, security and experience, today announced its results for the full fiscal year and second half year ended December 31, 2012. The financial information reported in this release is presented in Euros and has been prepared in accordance with the recognition and measurement criteria of IFRS as adopted by the European Union. The accounting policies and methods of computation followed in the attached financial statements are the same as those followed in the most recent annual financial statements. 

 

Business Update 

After finishing an industrial transformation, Option concentrated its efforts in the second half year of 2012 on testing, fine-tuning and go-to-market activities for its new line of products and services, including e.g. WiFi in the car with XYFI. The development of the products XYFI and VIU² have resulted in the buildup of some valuable new assets including a service management platform, a multi device user interface with streaming capabilities and routing software. These assets have allowed the Company to further improve the features of its existing products and will continue to do so for new product lines.

The most important new product-line that the Company launched in the second half of 2012 was CloudGate, a secure, reliable and affordable 3G M2M gateway that brings new levels of flexibility and ease of deployment for M2M solutions. Soon after the launch in October 2012, the Company announced partnerships with distributors, leading US System Integrators and developers, such as ILS, GetWireless, ClearConnex, Exosite, and Hilton Development Group. The fact that these and other partners signed up so quickly demonstrates the pent up demand for a configurable, reliable and affordable M2M gateway. The Company continues to work on further developing an ecosystem to secure a good market coverage and presence in the different M2M segments. The first CloudGate products were shipped in Q4, 2012 and have successfully been deployed in a number of field trials.  

The Company also continues to focus on cost reductions. In line herewith, a restructuring exercise at Option Wireless Ltd. (Ireland) and Option France (France) has started. It is anticipated that these exercises will have a positive impact on the cost base in the second half of 2013. The restructuring exercise of Option Wireless Ltd. leads to a reduction of the net equity position of Option NV. As the net equity of Option NV falls below the threshold of one half of its share capital, the Company is required by law and in accordance with article 633 of the Belgian Code of Companies, to organize a Special General Meeting of Shareholders to vote on the continuity of the company.

Option confirms its intention to raise the amount of minimum 9 million EUR via the issue of a convertible bond. As announced in January the Board expects that this transaction will be concluded before the end of the first quarter of 2013. In order to bridge potential cash requirements until the completion of the transaction, the Company came to an agreement with Mondo NV, controlled by Jan Callewaert, on a mid term loan facility up to a maximum amount of 5 million EUR.

  

Financial Highlights of the second half year 2012

  • Total revenues for the second half year of 2012 were EUR 17.6 million compared with EUR 24.1 million realized in the second half year of 2011. Product related revenues decreased from EUR 7.7 million in the second half of 2011 till EUR 6.8 million in the same period of 2012, while software and license revenues decreased from EUR 16.4 million in the second half of 2011 to EUR 10,8 million in the same period of 2012. EUR 10.6 million of that amount came out of licenses. The decrease is explained by the fact that the license agreement with Huawei has ceased in the course of Q4, 2012.

 

  • Gross margin for the second half year 2012 was 47.3% on total revenues, compared with a gross margin of 69.1% for the comparable period in 2011. The gross margin for the second half year 2012 was negatively affected by less important license revenues and by an inventory write off of EUR 3.7 million. The Company has assessed its inventory and has revalued some of its products leading to an extraordinary write off.

 

  • Compared to the second half year 2011, total operating expenses in the second half of 2012 decreased with EUR 8.6 million from EUR 16.8 million to EUR 8.2 million as a result of the continuing efforts of an effective cost control within the Group, but also impacted by a negative impairment on capitalized R&D for an amount of EUR 3.6 million and a positive effect by lowering the IPR accrual for an amount of EUR 6.7 million. The company has assessed its capitalized R&D expenses and has decided to concentrate them on two platforms (3G and LTE). The company took an extraordinary write off of EUR 3.6 million on other projects. The company also reassessed its outstanding payables regarding IPR obligations and, taking into account fair market conditions and external advice, the Board of Directors decided to decrease the outstanding payables with an amount of EUR 6.7 million.

 

  • The second half year 2012 EBIT amounted to EUR 0.1 million compared with EUR –0.1 million during the corresponding period in 2011.

 

  • Result before taxes amounted to EUR 0.02 million in the second half of 2012 compared with EUR 0.06 million during the corresponding period in 2011. 

 

Financial Highlights of the full fiscal year result 2012

  • Total revenues for the full year 2012 were EUR 40.8 million, a decrease of 18.2% compared with EUR 49.9 million revenues realized during the comparable period in 2011. Software and license revenues decreased from EUR 30.7 million in 2011 to EUR 28.2 million in 2012, explained by the fact that Huawei license revenue stopped during Q4. EUR 27.0 million of that amount came out of licenses. Product related revenues decreased from EUR 19.2 million in 2011 to EUR 12.6 million in 2012, due to the phasing out of the old products and the fact that the sales of new products did not compensate this decline.

 

  • Gross margin for the full year was EUR 25.9 million compared with EUR 30.7 million in 2011. Gross margin year to date in 2012 was 63.4%, compared with a gross margin of 61.6% in 2011. Also in 2012 the gross margin was positively impacted by license revenues, delivering higher margins compared to revenues generated by products. During 2012 the company booked an inventory write off for an amount of EUR 4.3 million.

 

  • Compared to the full year 2011, total operating expenses for 2012 decreased with EUR 12.0 million from EUR 34.3 million to EUR 22.3 million. The reduced expenses are the result of the downsizing of the Company, combined with lower sales related costs as well as effective cost control within the Group. As explained above in the financial highlights of the second half year the operating expenses were negatively impacted by impairment on the capitalized R&D for an amount of EUR 3.7 million and a positive impact by lowering the IPR accrual for an amount of EUR 7.4 million.

 

  • EBIT was EUR 3.6 million or 8.8% on total revenues during the full year 2012, compared with EBIT of EUR –3.6 million or –7.2% on total revenues in 2011.

 

  • The 2012 net result was EUR 3.6 million compared with a net result of EUR –2.9 million in 2011, or EUR 0.044 per basic share in 2012 compared with EUR -0,035 per basic share in 2011.

 

  • The Group’s balance sheet includes EUR 3.1 million in cash. The trade and other receivable position decreased from EUR 3.9 million to EUR 3.2 million and the inventory levels from EUR 6.8 million to EUR 4.0 million by the end of 2012. The intangible assets impacted by a negative impairment of EUR 3.7 million decreased from EUR 8.8 million in 2011 to EUR 4.9 million in 2012. The trade and other payable position decreased to EUR 11.9 million from EUR 18.1 million impacted by lowering our IPR accrual. The Group didn’t receive any licenses from Huawei in 2012 compared to the EUR 33 million in Q1 2011 as prepaid licenses. As result, there is a decrease of deferred revenue from EUR 27.1 million to EUR 0.1 million. No deferred tax asset was recognized.

 Option reports second half year and full year 2012 results

Leuven, België 7 maart 2013 – Option N.V. (EURONEXT Brussel: OPTI; OTC: OPNVY), een wereldspeler op het gebied van draadloze connectiviteit, heeft vandaag haar resultaten bekendgemaakt van het tweede halfjaar en het volledige jaar, eindigend op 31 december 2012. De resultaten zijn uitgedrukt in euro en werden opgesteld in overeenstemming met de opname- en waarderingsgrondslagen van IFRS zoals aanvaard binnen de Europese Unie. De boekhoudprincipes en waarderingsregels die in de onderstaande financiële rapportering worden gevolgd, zijn dezelfde als deze in de meest recente jaarrekening.

 

Business Update 

Na het afronden van zijn industriële transformatie concentreerde Option zijn inspanningen in de tweede jaarhelft van 2012 op het testen, het finetunen en de go-to-market-activiteiten voor zijn nieuwe lijn van producten en diensten, met inbegrip van bv. WiFi in de auto met XYFI. De ontwikkeling van producten zoals XYFI en VIU² resulteerde in een aantal waardevolle nieuwe assets, zoals een service management platform, een multi devices gebruikersinterface met streaming-mogelijkheden en routing-software. Deze assets hebben de Vennootschap toegelaten om de mogelijkheden van zijn bestaande producten verder te verbeteren, en dat zal ook het geval zijn voor nieuwe productlijnen. 

De belangrijkste nieuwe productlijn die de Vennootschap lanceerde in de tweede jaarhelft van 2012 was CloudGate, een veilige, betrouwbare en betaalbare 3G M2M gateway die flexibiliteit en eenvoudige installatie naar een niveau hoger brengt voor M2M-oplossingen. Kort na de lancering in oktober 2012, kondigde de Vennootschap partnerships aan met distributeurs, toonaangevende systeemintegratoren en ontwikkelaars inde VS, zoals ILS, GetWireless, ClearConnex, Exosite en Hilton Development Group. Het feit dat deze partners zo snel tekenden is een bewijs van de stijgende vraag naar configureerbare, betrouwbare en betaalbare M2M gateways. De Vennootschap blijft voortwerken aan de ontwikkeling van dit ecosysteem om een goede marktdekking en aanwezigheid in de verschillende M2M-segmenten te verzekeren. De eerste CloudGate-producten werden geleverd in het vierde kwartaal van 2012 en zijn succesvol uitgerold in een aantal testomgevingen.

De Vennootschap blijft verder de focus leggen op kostenbesparingen. In lijn daarmee zijn herstructureringen bij zowel Option Wireless Ltd. (Ierland) als Option France (Frankrijk) opgestart. Er wordt verwacht dat deze herstructureringsacties een positieve impact zullen hebben op de kostenbasis in de tweede helft van 2013. De herstructurering bij Option Wireless Ltd. leidt tot een daling van het netto actief van Option NV. Omdat het netto‐actief van de Vennootschap daalt tot onder de drempel van de helft van het maatschappelijk kapitaal, is de Vennootschap bij wet verplicht om conform artikel 633 van het Wetboek van vennootschappen, een speciale algemene vergadering bijeen te roepen die moet stemmen over het voortbestaan van de Vennootschap. 

Option bevestigt zijn intentie om een bedrag van minimaal 9 miljoen EURO op te halen via de uitgifte van een converteerbare lening. Zoals aangekondigd in januari verwacht de Raad van Bestuur dat deze transactie zal worden afgerond voor het einde van het eerste kwartaal van 2013. Om eventuele cashtekorten op te vangen tot de transactie is afgerond, heeft de Vennootschap een overeenkomst gesloten met Mondo NV, een vennootschap gecontroleerd door Jan Callewaert, waarbij deze laatste een middellange termijn leningsfaciliteit ten belope van 5 miljoen EUR ter beschikking stelt.

 

Financiële kerncijfers voor het tweede halfjaar van 2012 

  • De opbrengsten voor het tweede halfjaar van 2012 bedroegen 17,6 miljoen EURO in vergelijking met 24,1 miljoen EURO tijdens het tweede halfjaar van 2011. De opbrengsten met betrekking tot producten daalde van 7,7 miljoen EURO in het tweede halfjaar van 2011 naar 6,8 miljoen EURO in dezelfde periode van 2012, terwijl de software en de licentie-opbrengsten daalden van 16,4 miljoen EURO in het tweede halfjaar van 2011 tot 10,8 miljoen EURO in dezelfde periode van 2012. 10,6 miljoen EURO van dat bedrag kwam voort uit licenties. Deze daling is te wijten aan het feit dat de licentie-opvereenkomst met Huawei ten einde liep tijdens het vierde kwartaal van 2012.

 

  • De brutowinstmarge van het tweede halfjaar van 2012 bedroeg 47,3 % ten opzichte van de opbrengsten in vergelijking met een brutowinstmarge van 69,1 % voor dezelfde periode in 2011. De brutowinstmarge voor het tweede halfjaar van 2012 werd negatief beïnvloed door minder omvangrijke licentie-opbrengsten en door een afschrijving op de voorraad voor 3,7 miljoen EURO. De Vennootschap heeft zijn voorraad geëvalueerd en als gevolg daarvan sommige van zijn producten geherwaardeerd, wat een buitengewone afschrijving met zich mee bracht.

 

  • In vergelijking met de tweede jaarhelft van 2011, daalden de bedrijfskosten tijdens de tweede jaarhelft van 2012 met 8,6 miljoen EURO, van 16,8 miljoen EURO naar 8,2 miljoen EURO, en dit als gevolg van de blijvende inspanningen voor een efficiënte kostencontrole binnen de Groep, maar ook mede door de impact van een afwaardering op gekapitaliseerde R&D voor een bedrag van 3,6 miljoen EURO en een positief effect door de IPR-voorzieningen te verlagen met een bedrag van 6,7 miljoen EURO. De Vennootschap heeft zijn gekapitaliseerde R&D-uitgaven geëvalueerd en heeft besloten om deze te concentreren op twee platformen (3G en LTE). De Vennootschap boekte een buitengewone afschrijving van 3,6 miljoen EURO voor andere projecten. Verder herwaardeerde de Vennootschap zijn uitstaande schulden aangaande IPR-voorzieningen en mede op basis van faire marktvoorwaarden en extern advies, besliste de Raad van Bestuur om de uitstaande schulden te verminderen met een bedrag van 6,7 miljoen EURO.

 

  • De EBIT voor het tweede halfjaar van 2012 steeg tot 0,1 miljoen EURO, vergeleken met –0.1 miljoen EURO tijdens dezelfde periode in 2011.

 

  • Het resultaat voor belastingen kwam uit op 0,02 miljoen EURO in de tweede jaarhelft van 2012, vergeleken met 0,06 miljoen euro in dezelfde periode in 2011.

 

Financiële kerncijfers voor het volledige jaar 2012

  • De opbrengsten voor het volledige jaar 2012 bedroegen 40,8 miljoen EURO, een daling met 18,2% in vergelijking met 49,9 miljoen EURO gerealiseerd in de vergelijkbare periode van 2011. Software en inkomsten uit licenties daalden van 30,7 miljoen EURO in 2011 tot 28,2 miljoen EURO in 2012, te wijten aan het feit dat de licentie-opbrengsten vanwege Huawei gestopt zijn tijdens het vierde kwartaal. Van dat bedrag was 27,0 miljoen EURO afkomstig van licenties. De omzet van producten daalde van 19,2 miljoen EURO in 2011 tot 12,6 miljoen EURO in 2012, omwille van het feit dat oude producten op hun einde lopen en de verkoop van nieuwe producten deze daling niet compenseerde.

 

  • De brutowinst voor het volledige jaar bedroeg 25,9 miljoen EURO in vergelijking met 30,7 miljoen EURO in 2011. De brutomarge voor 2012 bedroeg 63,4% in vergelijking met 61,6% in 2011. Ook in 2012 werd de brutowinst positief beïnvloed door een toename van de licentie-opbrengsten welke hogere marges leveren in vergelijking met opbrengsten gegenereerd uit de verkoop van devices. Tijdens het jaar 2012 boekte de Vennootschap een afschrijving op de voorraad voor een bedrag van 4,3 miljoen EURO.

 

  • In vergelijking met het volledige jaar 2011, daalden de bedrijfskosten voor 2012 met 12,0 miljoen EURO, van 34,3 miljoen EURO naar 22,3 miljoen EURO. Deze daling van de bedrijfskosten is het resultaat van verdere inkrimping van de Groep, gecombineerd met lagere verkoopgerelateerde kosten alsook een doeltreffende kostcontrole binnen de Groep. Zoals hoger aangegeven bij de financiële kerncijfers van de tweede jaarhelft van 2012, kregen de bedrijfskosten een impact door de afwaardering op gekapitaliseerde R&D voor een bedrag van 3,7 miljoen EURO en een positief effect door de IPR-voorzieningen te verlagen met een bedrag van 7,4 miljoen EURO. 

 

  • De EBIT bedroeg 3,6 miljoen EURO of 8,8% ten opzichte van de opbrengsten tijdens het volledige jaar 2012, dit in vergelijking met een EBIT van –3,6 miljoen EURO of –7,2% ten opzichte van de opbrengsten in 2011.

 

  • Het 2012 nettoresultaat bedroeg 3,6 miljoen EURO in vergelijking met een nettoresultaat van –2,9 miljoen EURO in 2011, oftewel 0,044 EURO per gewoon aandeel in 2012, in vergelijking met -0,035 EURO per gewoon aandeel in 2011.

 

  • De balans van de Groep bevat 3,1 miljoen EURO aan liquide middelen. Ook de handelsvorderingen daalden van 3,9 miljoen EURO per eind 2011, naar 3,2 miljoen EURO per 31 december 2012. De voorraad daalde van 6,8 miljoen EURO naar 4,0 miljoen EURO op jaareinde 2012. De immateriële vaste activa daalden sterk door een afwaardering van 3,7 miljoen EURO en daalden van 8,8 miljoen EURO in 2011 naar 4,9 miljoen EURO in 2012. De handelsschulden en overige korte termijn schulden daalden van 18,1 miljoen EURO in 2011 tot 11,9 miljoen EURO door de IPR-voorzieningen te verlagen. De Groep ontving geen licenties vanwege Huawei in 2012, en dit vergeleken met de 33 miljoen EURO ontvangen in het eerste kwartaal van 2011 als vooraf betaalde licentie. Als gevolg daarvan is er een daling van de uitgestelde opbrengsten met 27,1 miljoen EURO tot 0,1 miljoen EURO. Er werden geen actieve belastinglatenties opgenomen.

LEUVEN, Belgium – January 24, 2013 – 07.00 – Option (EURONEXT Brussels: OPTI; OTC: OPNVY), a global leader in wireless connectivity, security and experience, today announces that the Board of Directors has revised its plans with regards to the strengthening of the Company’s working capital. As previously announced in the financial notification issued on October 10, 2012, the Company is looking to raise cash in order to secure its going concern. In addition, the Company continued to be focused on the further reduction of its costs basis and on the diversification of the sales- and marketing efforts. The actions taken in the last quarter of 2012 have contributed to lower the cash burn resulting in a cash position of 3,2 million EUR by the end of December 2012.

Following discussions with interested parties the Board has decided to raise the amount of the investment to minimum 9 million EUR via the issue of a convertible bond. The combination of such investment with further cost reductions and the projected sales of the new products should allow the Company to return to profitability towards the end of 2013.

A number of parties, including Jan Callewaert, founder and CEO of the Company, have expressed their intention to participate in the transaction. It is the Boards’ expectation that the transaction will be concluded during the first quarter of 2013. More details about the transaction will be described in a report of the Board of Directors drafted in accordance with section 583 of the Code of Companies. This report will be made available at a later stage.

In addition, the Company came to an agreement with Mondo NV, controlled by Jan Callewaert, on a mid term loan facility up to a maximum amount of 5 million EUR, in order to bridge potential cash requirements until the completion of the transaction.

Zoals eerder aangekondigd in de financiële kennisgeving die gepubliceerd werd op 10 oktober 2012 wil de onderneming cash ophalen om de continuïteit van de onderneming veilig te stellen. Daarnaast bleef de onderneming gefocust op het verder terugdringen van haar kostenbasis en aan een diversificatie van haar verkoop- en marketinginspanningen. Alle acties die genomen werden in het laatste kwartaal van 2012 hebben bijgedragen tot het verlagen van de cash burn, wat geresulteerd heeft in een cash positie van 3,2 miljoen EUR op einde van december 2012.

Naar aanleiding van gesprekken met geïnteresseerde partijen heeft de Raad van Bestuur beslist om het te investeren bedrag te verhogen naar minimum 9 miljoen EUR en dit via de uitgifte van een converteerbare lening. De combinatie van dergelijke investering, een verdere vermindering van de kosten en de geprojecteerde verkoop van nieuwe producten moet de onderneming in staat stellen om naar het einde van 2013 toe opnieuw winstgevend te worden.

Een aantal partijen, waaronder Jan Callewaert, oprichter en CEO van de onderneming, hebben hun intentie kenbaar gemaakt om deel te nemen in de transactie. De Raad van Bestuur verwacht dat de transactie zal gefinaliseerd worden tijdens het 1ste kwartaal van 2013. Meer details over de transactie zullen beschreven worden in een rapport van de Raad van Bestuur dat opgesteld zal worden conform artikel 583 van het Wetboek van Vennootschappen. Dit rapport zal later beschikbaar gesteld worden.

Daarnaast heeft de onderneming een overeenkomst gesloten met Mondo NV, een vennootschap gecontroleerd door Jan Callewaert, om een middellange termijn leningsfaciliteit ten belope van 5 miljoen EUR ter beschikking te stellen. Deze lening kan gebruikt worden om eventuele cash tekorten op te vangen en dit tot de transactie ivm de investering afgehandeld is.

Er wordt verwacht dat de software en licentie-opbrengsten hierdoor vanaf het volgende kwartaal zullen beïnvloed worden.



De onderneming rapporteert een positieve EBITDA van 3,8 miljoen EURO voor het derder kwartaal van 2012.

Tijdens het kwartaal heeft het bedrijf verder gewerkt aan het voorbereiden van haar go-to-market activiteiten voor de nieuwe lijn van producten en diensten waarbij de focus ligt op verticale markten zoals de automobielsector (WiFi in de wagen) of draadloze beveiliging en bewaking. Begin oktober lanceerde de onderneming nog een ander nieuw product, CloudGate, gericht op een derde verticale markt namelijk die van M2M (machine-to-machine).



Om deze go-to-market activiteiten te ondersteunen kondigde de onderneming begin oktober aan dat het verschillende opties bestudeert om het werkkapitaal te verhogen via een cashinjectie van minimaal 5 miljoen EURO (zie het persbericht hierover op www.option.com)



Als deel van het voortdurend streven van de onderneming om de kostenbasis te verminderen werd beslist om de divisie in Augsburg (Duitsland) te sluiten en de software activiteiten naar Leuven (België) over te brengen.




LEUVEN, Belgium – October 25, 2012 – Option (EURONEXT Brussels: OPTI; OTC: OPNVY), a global leader in wireless connectivity, security and experience, today announced that during the third quarter of 2012 the Company generated revenue of EUR 11.7 million compared to EUR 11.3 million in the third quarter of 2011. Product related revenues represented 3.3 million EUR and software & license revenues represented 8.4 million EUR of total third quarter 2012 revenues. As reported earlier, the license software agreement with Huawei runs till the end of October 2012, and as a result revenues from software & license are expected to be impacted as of next quarter.



The Company reports a positive EBITDA of EUR 3.8 million for the third quarter of 2012.



Business Update



During the quarter the Company continued to prepare the go-to-market activities for its new line of products and services focused on vertical markets such as automotive (WiFi in the car) and wireless security & surveillance. Early October the Company launched another new product, CloudGate, aimed at a third vertical market being the M2M (machine-to-machine) market.



In order to support these go-to-market activities the Company announced, at the beginning of October, that it is looking at different options to strengthen its working capital via a cash injection of a minimum amount of 5 million euro (see separate press release at www.option.com).



As part of the Company’s ongoing efforts to reduce its cost-base it was decided to close the Augsburg (Germany) facility and to move the software activities to Leuven (Belgium).

The new shares have been issued at an issuance price of 14,50 EUR per share and placed with a group of selected European institutional investors. Leuven, Belgium - 15 April, 2004 - Option NV (Euronext: OPTI) today announces that its board of directors has decided on April 15, 2004 to execute a private placement of new shares to a limited group of European institutional investors for a total amount of € 8.000.000 through the issuance of new shares whereby the capital will be increased within the framework of the authorized capital with cancellation of preferential subscription rights of existing shareholders.

The issuance price per new share was determined through a bookbuilding procedure with a minimum price set at the average closing price of the last 30 days prior to the subscription by the institutional investors.

The private placement was targeted towards a limited number of European high-quality institutional investors, whereby only minimum subscriptions of € 250.000 were accepted. The offer was for more than 2 times subscribed and therefore the orderbook was closed after a few hours only.

On April 13, 2004, the Banking, Finance and Insurance Commission has granted Option a full exemption from the obligation of the publication of a prospectus in application of article 6, 3°, a) of the Royal Decree of September 18, 1990. Option filed a request to Euronext Brussels to list the newly issued shares on the First Market of Euronext Brussels.

Option will use the proceeds of the private placement primarily to fund the concrete growth perspectives coming from the positive evolution in demand in the sector, Option’s extremely well positioned product offering on one hand, and on the other hand the development of new solutions based on combined technologies UMTS, WiFi and EDGE, that will sustain this growth.

The shares that will be issued as a result of this private placement will have the same rights as the existing shares of Option NV.

8. Miscellaneous.

In order to be admitted to the abovementioned Annual Shareholders' Meeting, the holders of securities issued by the Company must follow the provisions of articles 29 and 30 of the Articles of Association of the Company and article 536 of the Companies Code and also fulfill the following formalities : (i) if they are owners of registered shares, notify the Company of their intention to attend the Annual Shareholder’s Meeting, by sending a letter by regular mail to the Company’s registered office; (ii) if they are owners of dematerialized shares deposited through Euroclear, deposit, at the latest five working days prior to the date of the Annual Shareholders' Meeting, a certificate at the registered office of the Company, drawn up by the recognized holder of their securities' accounts or by Euroclear itself, confirming the number of shares registered under the name of the shareholder and declaring that the shares are non-negotiable until the date of said Annual Shareholders' Meeting; and (iii) if they are owners of warrants, they must inform the Company in writing, by an ordinary letter addressed to the registered office of the Company, at least five working days prior to the meetings, of their intention to attend the meeting.

Shareholders can vote by proxy or by letter, using documents drawn up by the Company and which can be obtained at no cost at the registered office of the Company. The proxies have to be deposited at the registered office of the Company at the latest five (5) business days prior to the date of the meeting. The owners of dematerialized shares who whish to vote by proxy or by letter have to deposit, in addition to the documents properly filled out, the certificate drawn up by the recognized holder of their securities' accounts or by Euroclear itself, confirming the number of shares registered under the name of the shareholder and declaring that the shares are non-negotiable until the date of said Annual Shareholders' Meeting.

In order for the vote by letter to be valid, a form must be sent by registered mail with acceptance receipt to the Company’s registered office, which must be sent at the latest six days before the Annual Shareholders’ Meeting (the postage stamp shall serve as proof) and which must contain the following information: (i) mentioning of the complete and accurate indication of the shareholder and of the number of shares he is voting with; (ii) the complete agenda; (iii) the proposals of decision and the voting instructions of the shareholder (for, against and abstain). The shareholder may explain or motivate his or her voting instructions.

A copy of the documents and reports mentioned in the agenda of the Annual Shareholders' Meeting can be obtained at no cost at the registered office of the Company.

Leuven , 5 January 2004 . Option NV (Euronext: OPTI) announced that on December 30, 2003 , 1.066.246 new shares were issued as a result of the conversion of the subordinated bonds created on 16 July 2001 . As a result thereof, the capital has been increased by € 629.085, bringing the total amount of capital to € 5.510.082,34, represented by 9.285.231 outstanding shares.

GIMV NV , Jan Callewaert and Partners@Venture requested the company to convert their respective bonds. By conversion, respectively 479.811, 479.811 and 106.624 new shares were issued to GIMV, Jan Callewaert and Partners@Venture . The number of shares that can be issued upon conversion is equal to the nominal value of the bond (€ 316.542) divided by the price of the share (€ 5,9375), calculated as the average of the share price on NASDAQ Europe during (30) calendar days before the issuance of the bonds.

These subordinated convertible bonds were originally underwritten by Mr. Jan Callewaert , Option's CEO and by GIMV NV , each obtaining ten bonds with a nominal value of € 316.542 per bond. In the course of 2002, two bonds were transferred to the company "Partners@Venture". On 27 December 2001 the maturity date of the subordinated convertible bonds was extended until 26 January 2004 .

The shares issued by the conversion of the bonds have the same rights as the existing shares of Option NV and are listed on EURONEXT Brussels.

+ Board of directors

The articles of association stipulate that the Board of Directors is composed of a minimum of three and a maximum of nine members, who are appointed by the general shareholders meeting for a maximum period of six years. The Board of Directors has to contain at least three independent directors.

The Board of Directors is currently composed of three members, namely: Eric Van Zele (Chairman of the Board of Directors), Raju Dandu and Pieter Bourgeois (Representing Crescemus Bvba)

Eric Van Zele

Mr. Eric Van Zele currently serves as Chairman of Reynaers Aluminium and Crescent NV. He was recently appointed chairman of the E17 network of hospitals and of the Hermes decision committee of The Flemish agency for Innovation and entrepreneurship. He continues to serve as a director of Barco NV. Prior to his current mandates Eric served as president and Ceo of Barco NV in Kortrijk from 2009 thru 2016. He served as CEO of Pauwels International (from 2004 thru 2008) and of Telindus nv (2000 thru 2003). Prior to that, he served as Vice President of Raychem Corporation in Menlo park, CA, USA and as Managing Director of Raychem nv in Leuven, Belgium. (1972 thru 1999). He was nominated “Manager of the Year in 2012” and “ICT Personality of 2013”. Eric holds a masters degree in electrical and mechanical engineering from the KUL in Leuven (1972) and postgraduate degrees in management from Stanford University (1992 CA, USA).

 

Raju Dandu

Mr. Raju S. Dandu is the Founder-Chairman of Danlaw Inc. USA. He is also the Managing Director of Danlaw Technologies India Ltd. He is responsible for strategic planning and corporate management of both companies. Prior to founding Danlaw Inc., he held positions at the University of Iowa hospitals, Ford Motor Company, Dana Corporation and worked as an independent consultant at General Motors.  He holds a bachelors’ degree in electronics engineering from Kakinada, India, a masters in electronics from University of Iowa and an MBA from University of Detroit.

 

Pieter Bourgeois

Mr. Pieter Bourgeois, is an Investment Manager at Alychlo NV, the investment firm of Belgian entrepreneur Marc Coucke. Prior to this, Mr. Bourgeois worked as CFO (and in other financial roles) focusing on M&A and strategic projects, gaining business acumen in a variety of sectors and different sizes of companies. Mr. Bourgeois holds a Masters Degree in Industrial Engineering and is an MBA from the Solvay Brussels School of Economics & Management.
