  • Despite difficult market conditions, with the Covid pandemic in particular slowing down revenue and results from product sales, EBITDA rose to EUR 0.4 million, a slight improvement on 2019 (EUR 0 million)

Despite slightly lower sales, EBITDA increased slightly compared to 2019 due to improved gross margin and additional cost savings.

The services division confirmed its strong results in 2020, and was able to improve both sales and EBITDA. It therefore remains the largest contributor to Group results.

At the same time, it has invested in the development of new software integration activities, the impact of which on sales should only become visible as of 2021.

 

The solutions division has been slightly more affected by the corona crisis. At Crescent NV, the impact on sales has been cushioned by the marketing of the "Safe distance by Option" solution on the one hand (sales of EUR 0.5 million) and by cost reduction measures on the other hand. Option's IoT solution was retained by a number of customers, however, the implementation of these projects was postponed in a number of cases, delaying the revenues.

 

Sales in the Lighting division remained almost flat, the improvement to positive EBITDA is due to better gross margin and cost reductions.

Net working capital decreased by EUR 1.6 million, mainly due to the decrease in inventories by EUR 0.2 million, the decrease in trade and other receivables by EUR 0.9 million and the increase in trade and other payables by EUR 0.3 million.

 

Within the corona government measures in place in Belgium and the Netherlands, EUR 0.2 million of capital payments on financial debts were suspended and EUR 0.3 million of payments on taxes and social debts were postponed.

 

Outlook

 

In 2020, Crescent took important steps to complete its turnaround through obtention of additional software competencies and sensor technology; market conditions prevented these from being reflected in sales and results already in 2020.

The economic recovery is just around the corner, and it should allow the group to prove that it can indeed make the positive difference.

Ondanks de licht lagere omzet, is de EBITDA in vergelijking met 2019 licht gestegen door een verbeterde brutomarge en bijkomende kostenbesparingen.

 

Bijzondere waardeverminderingen op immateriële vaste activa en op goodwill hebben het verlies met 3mio€ verslechterd.

De services divisie heeft in 2020 haar sterke resultaten bevestigd, en zowel omzet als EBITDA kunnen verbeteren. Zij blijft daarmee de grootste bijdrager in de groepsreultaten.

Terzelfdertijd heeft zij geïnvesteerd in de uitbouw van nieuwe software integratie activititeiten maar waarvan de impact in omzet pas vanaf 2021 zou moeten zichtbaar worden.

 

De solutions divisie heeft iets meer impact ondervonden van de coronacrisis. Bij Crescent NV is de impact op de omzet opgevangen door het vermarkten van de ‘Safe distance by Option’ oplossing enerzijds (omzet van 0.5 miljoen EUR) en door kostenbesparende maatregelen anderzijds. De IoT oplissing van Option werd door een aantal klanten weerhouden, evenwel is de implementatie van deze projecten in een aantal gevallen uitgesteld zodat omzet hieruit vertraagd is en doorgeschoven naar volgende jaren.

 

De omzet van de Lighting divisie is nagenoeg gelijk gebleven,  de verbetering naar positieve EBITDA is een gevolg van een betere bruto-magre en kostenbesparingen.

Het netto werkkapitaal daalde met 1.6 miljoen EUR, voornamelijk door de daling van de voorraden met 0.2 miljoen EUR, de daling van de handels- en overige vorderingen met 0.9 miljoen EUR en de stijging van handels-en overige schulden met 0.3 miljoen EUR.

 

 

 

 

Binnen de geldende corona-overheidsmaatregelen in België en Nederland werden voor 0.2 miljoen EUR kapitaalsaflossingen van financiële schulden opgeschort en 0.3 miljoen EUR betalingen aan belastingen en sociale schulden uitgesteld.

 

Vooruitzichten

 

In 2020 werden door Crescent belangrijke stappen gezet om haar turnaround te vervolledigen via verwerving van additionele software competenties en sensorentechnologie; marktomstandigheden hebben verhinderd dat deze reeds in 2020 tot uiting kwamen in omzet en resultaten.

De economische relance staat voor de deur, en deze zou de groep moeten toelaten om te bewijzen dat zij wel degelijk het positieve verschil kan maken.

Digi-Key Electronics selecteert Option’s SafeDistance oplossing

 

Leuven, Belgium – April 16, 2021 – 7h30 - Crescent (EURONEXT: OPTI) Crescent (EURONEXT: OPTI) kondigde aan dat Digi-Key, 's werelds grootste distributeur van elektronische componenten, de GDPR-conforme SafeDistance-oplossing van Option heeft geselecteerd voor alle werknemers in hun productdistributiecentrum (PDC). In de eerste twee weken van de implementatie van de SafeDistance-oplossing zijn meer dan 2.500 actieve badges voor werknemers online gegaan.

 

Het project werd uitgerold in samenwerking met Option's USA-partner GetWireless.

 

De SafeDistance-oplossing werkt met een badge die elke individuele werknemer krijgt. De badges communiceren draadloos met elkaar met datatransfer naar een cloudplatform dat informatie over het traceren van contacten kan bijhouden en de nauwkeurigheid en efficiëntie van de noodzakelijke quarantaineprocedures kan verbeteren.

 

Aangezien de COVID-19 pandemie wereldwijd blijft voortduren, met onverwachte uitbraken en pieken in verschillende regio's op verschillende tijdstippen, maakt de SafeDistance-oplossing van Option het mogelijk om het aantal werknemers dat in quarantaine moet omwille van een mogelijke COVID-19 blootstelling aanzienlijk te verminderen door het nauwkeurig uitvoeren van procedures voor het traceren van contacten en zo een volledige operationele shut-down te vermijden omdat men niet weet wie er mogelijk besmet is.

 

Digi-Key verkoos de SafeDistance-oplossing van Option omdat ze de snelste oplossing is om te integreren in haar bestaande infrastructuur zonder aanzienlijke investeringen, en omdat ze tussen alle oplossingen die op de markt beschikbaar zijn, de beste privacy voor werknemers biedt.

Door de lange levensduur van de batterij in de badge wordt het aantal oplaadbeurten beperkt tot één per week; een regelmaat die door werknemers als niet te veeleisend wordt ervaren.

Digi-Key Electronics selects Option’s SafeDistance Solution

 

Leuven, Belgium – April 16 , 2021 – 7h30 - Crescent (EURONEXT: OPTI) announced that Digi-Key, the world's largest electronic component distributor, selected Option’s GDPR compliant SafeDistance solution for all employees in their product distribution center (PDC) with more than 2,500 active employee badges online in the first two weeks of the safe distance solution deployment.

 

The project was rolled out together with Option's USA partner, GetWireless.

 

The SafeDistance solution works through a badge that each individual employee is issued. The badges interact wirelessly with one another and feed to a cloud platform which can maintain contact tracing information and improve the accuracy and efficiency of necessary quarantine procedures.

 

As the COVID-19 pandemic continues worldwide, with unexpected spikes and surges in different regions at different times, Option’s SafeDistance solution enables to significantly cut down on the number of employees quarantining due to a potential COVID-19 exposure by accurately performing contact tracing procedures avoiding a complete operational shut-down by not knowing who might be affected.

Digi-Key chose Option's SafeDistance solution because it was the quickest to integrate into its existing infrastructure without significant capital investment and because it offered the best privacy for employees among all the solutions available on the market.

The long battery life of the badge limits the number of recharges to one per week; a regularity not perceived as too demanding by employees.

 

Digi-Key recognized the strength and flexibility of Option's solution which rests on two pillars - WMW's cloud-based platform with apps and data registrars and Option's CloudGate IoT gateway with superior wireless LoRaWAN performance; both core building blocks for successful digital transformations.

The issue price of 0.0312174 EUR was established within the 30-trading-day price period following the issue of the first put option to LDA Capital based on 90% of the average of the VWAPs in this Price Period and in accordance with the terms of the capital commitment agreement with LDA Capital.

 

Upon completion of this capital increase and the issuance of 32,500,000 new shares, Crescent's total capital as of March 18, 2021 is EUR 11,096,613.52. The capital is represented by 1,646,439,345 fully paid ordinary shares (=the denominator) as of the same date. There are no preference shares. Each of these shares gives one voting right at the General Meeting and these shares therefore represent the denominator for the purposes of transparency regulations (i.e., notifications in the event of reaching, exceeding, or falling below the statutory or legal thresholds).

 

In addition to the statutory thresholds, Crescent's articles of association, in application of Article 18, §1 of the Transparency Act, provide for an additional statutory threshold of 3%.

 

A further 28,000,000 warrants have been issued which, if exercised, entitle the holder to one share each. Holders of warrants only have a consultative vote at the General Meeting of Shareholders.

Openbaarmaking met toepassing van artikel 15 van de Wet van 2 mei 2007 (de Transparantiewet) 

 

Leuven, België – 23 maart 2021 – 18u00, Crescent NV, Gaston Geenslaan 14, 3001 Heverlee (Euronext Brussels: OPTI) Het maatschappelijk kapitaal van de vennootschap werd op 18 maart 2021 verhoogd met 1.014.566 EUR door inschrijving op 32.500.000 aandelen door LDA Capital. De uitgifteprijs van 0,0312174 EUR kwam tot stand binnen de prijsperiode van 30 handelsdagen na de uitgifte van de eerste putoptie aan LDA Capital op basis van 901% het gemiddelde van de VWAP's in deze Prijsperiode en in overeenstemming met de bepalingen van de kapitaalverbintenisovereenkomst met LDA Capital.

 

Na voltooiing van deze kapitaalverhoging en de uitgifte van 32.500.000 nieuwe aandelen bedraagt het totale kapitaal van Crescent sinds 18 maart 2021 11.096.613,52 EUR. Het kapitaal wordt vanaf diezelfde datum vertegenwoordigd door 1.646.439.345 volledig volgestorte gewone aandelen (=de noemer). Er zijn geen bevoorrechte aandelen. Elk van deze aandelen verleent één stemrecht op de Algemene Vergadering en deze aandelen vertegenwoordigen dus de noemer voor doeleinden van kennisgevingen in het kader van de transparantiereglementering (i.e. kennisgevingen ingeval van het bereiken, overschrijden of onderschrijden van de statutaire of wettelijke drempels).

Crescent NV en Remoticom BV gaan strategisch samenwerken.

Leuven, 9 maart, 2021 – 18u30 CET - CRESCENT NV (Euronext Brussel: OPTI)  De strategische samenwerking van Crescent en Remoticom vormt de basis voor een sterke internationale expansie om aan de toenemende vraag naar geïntegreerde oplossingen voor Smart Lighting, Smart City, Smart Building en Smart Industrie oplossingen te voldoen.

Hierdoor ontstaat een integraal productportfolio van sensoren welke gecombineerd kunnen worden met een diversiteit aan communicatie oplossingen voor zowel de cellulaire als de non-cellulaire netwerken. Sale of UEST NV to VAN ZELE HOLDING NV

 

Leuven, February 23, 2021 – 19h15 CET - CRESCENT NV (Euronext Brussels: OPTI), CRESCENT NV sold 100% shares of UEST NV to VAN ZELE HOLDING NV (VZH) on December 28, 2020 for 1 EUR (equity value), which is the same value as the original purchase price in 2019.

VZH is director and reference shareholder in CRESCENT NV, and for this reason has a possible conflicting interest of a patrimonial nature in the transaction. The legally required procedures in application of the conflict of interest regulation were respected.

UEST NV has been sold in the condition it is in, of which VZH is aware, including the need to restore the working capital estimated at 200,000 EUR. VZH is also aware that an additional significant investment is required to update the hardware and software platform.

CRESCENT does not consider the activities of UEST as strategic, and prefers to focus its investments on developments in smart city and smart industry applications.

The committee of independent directors, in its advice to the Board of Directors, concludes that after evaluating the available information, in particular the reports of Finvision as an independent expert dated December 2, 2020, the proposed transaction does not involve any apparent prejudice to the Company. It recommends that the Board of Directors approves this transaction.

Verkoop UEST NV aan VAN ZELE HOLDING NV

 

Leuven, 23 februari, 2021 – 19u15 CET - CRESCENT NV (Euronext Brussel: OPTI), CRESCENT NV heeft op 28 december 2020 100% aandelen van UEST NV verkocht aan VAN ZELE HOLDING NV (VZH) voor 1  EUR (equity value), wat dezelfde waarde is als de oorspronkelijke aankoopprijs in 2019.

VZH is bestuurder en referentie aandeelhouder in CRESCENT NV, en heeft om deze reden een mogelijk strijdig belang van vermogensrechtelijke aard bij de transactie. De wettelijk vereiste procedures in toepassing van de belangenconflictenregeling werden gerespecteerd.

UEST NV is verkocht in de toestand waarin het zich bevindt, waarvan VZH op de hoogte is, inclusief de nood tot herstel van het werkkapitaal geraamd op 200.000 EUR. VZH is eveneens op de hoogte dat een bijkomende significante investering vereist is voor het updaten van de hardware en het softwareplatform.

CRESCENT beschouwt de activiteiten van UEST niet als strategisch, en verkiest haar investeringen te richten op ontwikkelingen in smart city en industrie toepassingen.

Het comité van onafhankelijke bestuurders besluit in haar advies aan de Raad van Bestuur dat na evaluatie van de beschikbare informatie, met in het bijzonder de verslagen van Finvision als onafhankelijke expert van 2 december 2020, de voorgestelde transactie geen kennelijke benadeling van de Vennootschap met zich brengt. Zij adviseert de Raad van Bestuur om deze transactie goed te keuren.

Crescent Business Update

 

Leuven, February 12, 2021 – 7h30 CET - CRESCENT NV (Euronext Brussels: OPTI), Crescent today announces that it has developed and sold Lora based sensors and gateways for leak detection and valve control to GreenField Direct LLC (US).

 

This integrated IoT solution enables its customer to do leak detection and remote valve control in “high-rise” buildings aimed at preventing flooding while taking preventive action when water leaks are detected.

The value of the project is expected to exceed 1,5M€ in 2021.

 

Crescent further announces that it anticipates its operational results for 2020 to be very similar to those obtained in 2019 albeit with slightly better Ebitda contributions and despite substantial COVID-19 related delays and postponements of several projects.

 

Finally, Crescent announces the sale of its UEST venture to Van Zele Holding NV thereby reducing the financial debt burden on its balance sheet by 450.000 EUR. The latter divestment is part of an increased strategic focus on smart city and industrial markets and applications.

Crescent Business Update

 

Leuven, 12 februari 2021 – 7u30 CET - CRESCENT NV (Euronext Brussel: OPTI) Crescent maakt vandaag bekend dat het op Lora gebaseerde sensoren en gateways voor lekdetectie en klepbediening heeft ontwikkeld en verkocht aan GreenField Direct LLC (VS).

Deze geïntegreerde IoT-oplossing stelt haar klant in staat om lekdetectie en klepbediening op afstand uit te voeren in "high-rise" gebouwen met als doel waterschade te voorkomen en tegelijkertijd preventieve acties te ondernemen wanneer waterlekken worden gedetecteerd.

De waarde van het project zal naar verwachting meer dan 1,5 miljoen euro bedragen in 2021.

 

Crescent kondigt verder aan dat zij verwacht dat haar operationele resultaten voor 2020 zeer vergelijkbaar zullen zijn met die van 2019, zij het met iets betere Ebitda-bijdragen en ondanks aanzienlijke COVID-19 gerelateerde vertragingen en uitstel van verschillende projecten.

 

Tot slot kondigt Crescent de verkoop aan van haar UEST venture aan Van Zele Holding NV, waardoor de financiële schuldenlast op haar balans met 450.000 EUR vermindert. Deze laatste desinvestering kadert in een verhoogde strategische focus op smart city en smart industriële markten en toepassingen.

Located in Kamp-Lintfort near Düsseldorf, Germany - a renowned centre for mobile telecommunications companies - the team of 50 highly qualified engineers adds more than 750 man-years of wireless experience and expertise to Option’s global engineering capability.

Reporting to, and collaborating closely with Option’s HQ engineering group in Leuven, the multi-disciplinary Kamp-Lintfort team, will focus on the development of embedded broadband cellular connectivity solutions for mobile internet devices – a new category of devices that is emerging between the PDA and laptop PC product categories that we know today. Existing engineering resources at Option’s Leuven HQ will concentrate on extending the company’s leadership in wireless data cards, USB devices, modules for laptops and wireless routers.

TAIPEI, Taiwan – June 7 2007 – Option N.V. (Euronext: OPTI; OTC: OPNVY), the wireless technology company, today announced a collaboration with Intel Corporation (NASDAQ: INTC) to optimize WWAN modules for Mobile Internet Devices (MIDs) based on Intel’s low power technologies.

Mobile Internet Devices (MIDs) are a new category of truly mobile consumer devices that deliver full Internet experience on the go. These MIDs rely on ubiquitous wireless connectivity and anytime internet access to deliver range of usages around communication, entertainment and information.

Option will deliver WWAN modules that meet the power, size and performance characteristics needed for Mobile Internet Devices in 2008. Two modules are currently in development and will be optimized for MIDs based on Intel low power processors and chipsets. The GTM 201 EDGE module, which will be attractive to major growth markets such as China, Latin America and Southern Africa, and the HSPA module, GTM501 are planned for the first half of 2008. Delivered in an LGA package measuring just 25 x 30 x 2.5 mm, the devices are respectively the world’s smallest EDGE and HSPA WWAN modules.

Data cards provided by Option make debut at Brussels 20 KM

LEUVEN, Belgium – May 24, 2007 - Option (Euronext: OPTI; OTC: OPNVY), the wireless technology company, today announced that the Belgian Red Cross in Brussels will adopt Option wireless data cards to provide secure and real-time communication between first aid posts at major public events and the Red Cross headquarters in Brussels. This new system will be deployed for the first time at the Brussels 20km Run on May 27 to allow the Red Cross crisis coordination centre to monitor events at first aid posts throughout the Belgian capital as they occur. The technique will also be used at the Belgian soccer cup final between FC Bruges and Standard Liege and future large-scale pop concerts at the King Baudouin Stadium.

Accurate, fast & reliable emergency information

Accurate information and fast communication are vital in any public safety situation. Communication between Red Cross first aid posts, its coordination centre and hospitals used to be via two-way radios. However, the severe interference and even breakdown regularly experienced in dense city environments often delayed the availability of precise casualty numbers and situation reports. Thanks to several laptop computers fitted with Option GlobeTrotterTM 3G EDGE wireless broadband data cards, emergency workers at first aid posts will be able to easily collect and transmit casualty identification data. Computers will send up-to-date information and statistics at regular intervals via ftp. This data is then collated and processed at the Red Cross HQ where emergency coordinators will evaluate casualty numbers and initiate evacuation procedures for emergency cases.

Sunday 27 May debut at the Brussels 20 km Run

The urgent need for precise information is clearly illustrated by last year’s remarkable experience at the Brussels 20km Run where the 11 Red Cross first aid posts along the 20km route through the European capital provided medical assistance to a new patient every 37 seconds for five hours. With such a high rate of first aid interventions, effective communication and coordination are critical to the overall safety of an event that attracts 25,000 runners.

Belgian Red Cross in Brussels first aid emergency coordinator Raphaël Schmidt commented: “Last year, our emergency workers had to work in improvised conditions where modern telecommunications technology was not always available. The articles of association stipulate that the Board of Directors is composed of a minimum of three and a maximum of nine members, who are appointed by the general shareholders meeting for a maximum period of six years. The Board of Directors has to contain at least three independent directors.

The Board of Directors is currently composed of three members, namely: Eric Van Zele (Chairman of the Board of Directors), Raju Dandu and Pieter Bourgeois (Representing Crescemus Bvba)

Eric Van Zele

Mr. Eric Van Zele currently serves as Chairman of Reynaers Aluminium and Crescent NV. He was recently appointed chairman of the E17 network of hospitals and of the Hermes decision committee of The Flemish agency for Innovation and entrepreneurship. He continues to serve as a director of Barco NV. Prior to his current mandates Eric served as president and Ceo of Barco NV in Kortrijk from 2009 thru 2016. He served as CEO of Pauwels International (from 2004 thru 2008) and of Telindus nv (2000 thru 2003). Prior to that, he served as Vice President of Raychem Corporation in Menlo park, CA, USA and as Managing Director of Raychem nv in Leuven, Belgium. (1972 thru 1999). He was nominated “Manager of the Year in 2012” and “ICT Personality of 2013”. Eric holds a masters degree in electrical and mechanical engineering from the KUL in Leuven (1972) and postgraduate degrees in management from Stanford University (1992 CA, USA).

 

Raju Dandu

Mr. Raju S. Dandu is the Founder-Chairman of Danlaw Inc. USA. He is also the Managing Director of Danlaw Technologies India Ltd. He is responsible for strategic planning and corporate management of both companies. Prior to founding Danlaw Inc., he held positions at the University of Iowa hospitals, Ford Motor Company, Dana Corporation and worked as an independent consultant at General Motors.  He holds a bachelors’ degree in electronics engineering from Kakinada, India, a masters in electronics from University of Iowa and an MBA from University of Detroit.

 

Pieter Bourgeois

Mr. Pieter Bourgeois, is an Investment Manager at Alychlo NV, the investment firm of Belgian entrepreneur Marc Coucke. Prior to this, Mr. Bourgeois worked as CFO (and in other financial roles) focusing on M&A and strategic projects, gaining business acumen in a variety of sectors and different sizes of companies.
