Crescent Half year results 2020

 

Leuven, Belgium – September 30, 2020 – 7h30 - Crescent (EURONEXT: OPTI; OTC: OPNVY)

 

 

H1 Key points

 

- Despite difficult market conditions, the group's sales increased by 1.3% to EUR 9.0 million compared to the first semester of 2019.

- EBITDA is slightly positive at EUR 0.1 million.

- The services division continues to perform well

- Net financial debt decreases from EUR 6.1 million to EUR 5.2 million.

- The group expects to continue to generate profitable growth despite uncertain economic conditions

 

Results of the first half year

  

Despite slightly higher sales, EBITDA decreased compared to the first half year of 2019.

However excluding onetime income and expenses, the recurring EBITDA improved from EUR -0.3 million EUR to 0.1mio EUR.

In the first half year of 2020, total operating expenses were further reduced by EUR 0.3 million,

 

The turnover and EBITDA of the three divisions for the first half of the year are as shown below:

  

The services division continued its strong results in the first half and was able to improve both turnover and EBITDA.

At the same time, it invested in the development of new software integration activities, the first results of which will become visible in the second half of the year.

 

The Solutions and Lighting divisions have experienced more pronounced impact from the corona crisis. At Crescent NV, the impact on turnover could be absorbed by marketing the ‘Safe distance by Option’ solution on the one hand (turnover of 0.5 million EUR) and by cost saving measures on the other hand. Total IOT sales

have noticeably been impacted by the corona crisis particularly during the months of March and April with semester sales decreasing by 4% compared to the first half of 2019.

 

The Lighting division's sales in the first half of the year were also affected by the pandemic; particularly outside the Netherlands sales were very limited; total sales decreased by 14%.

 

Balance sheet

  

Net working capital decreased by EUR 1.7 million, mainly due to EUR 0.2 million decrease in inventories, EUR 0.8 million decrease in trade receivables and EUR 0.5 million increase in trade and other payables.

Within the corona government measures in force in Belgium and the Netherlands, EUR 0.1 million of capital reimbursements of financial debts were suspended and EUR 0.4 million of tax and social security payments were deferred.

 

Outlook

 

Unless the corona crisis in the fourth quarter would have an even greater negative impact on the evolution of revenues , recently received letters of intent to enter into sales contracts allow the group to be cautiously optimistic about continued and profitable increase in sales and EBITDA in all divisions during the second half of the year.

Crescent halfjaarresultaten 2020

H1 Kernpunten

 

  • Ondanks moeilijke marktomstandigheden, stijgt de omzet van de groep met 1,3% naar 9.0 miljoen EUR in vergelijking met het eerste halfjaar van 2019.
  • De EBITDA is met 0,1 miljoen EUR licht positief
  • De services divisie blijft goed presteren
  • De netto financiële schuld vermindert van 6.1 miljoen EUR naar 5.2 miljoen EUR
  • Binnen het huidige onzekere economische klimaat, verwacht de groep in het tweede halfjaar verder winstgevende omzetgroei te kunnen realiseren.

 

Resultaten van het eerste halfjaar

 

Ondanks de licht hogere omzet, is de EBITDA in vergelijking met het eerste haljaar van 2019 gedaald.

Zonder eenmalige kosten en inkomsten, verbetert de recurrente EBITDA van -0.3 miljoen EUR  naar 0.1 miljoen EUR.

In het eerste halfjaar van 2020 werden de totale bedrijfskosten verder verminderd met 0.3 miljoen EUR,

 

De omzetten en EBITDA van de drie divisies waren in het eerste semester :

 

 

De services divisie heeft in het eerste semester haar sterke resultaten doorgetrokken, en zowel omzet als EBITDA kunnen verbeteren.

Terzelfdertijd heeft zij geïnvesteerd in de uitbouw van nieuwe software integratie activititeiten waarvan de eerste resultaten in de tweede jaarhelft zichtbaar zullen worden.

 

De solutions en lighting divisies hebben iets meer impact ondervonden van de coronacrisis. Bij Crescent NV is de impact op de omzet opgevangen door het vermarkten van de ‘Safe distance by Option’ oplossing enerzijds (omzet van 0.5 miljoen EUR) en door kostenbesparende maatregelen anderzijds. De totale IOT verkopen zijn zeker door de coronacrisis geïmpacteerd, vooral in de maanden maart en april waardoor de semester omzet daalde met 4% in vergelijking met het eerste halfjaar van 2019.

 

De omzet van de Lighting divisie in het eerste halfjaar ondervond eveneens de gevolgen van de pandemie, met name de verkopen buiten Nederland waren zeer beperkt; de totale omzet verminderde daardoor met 14%.

 

Balans

 

Het netto werkkapitaal daalde met 1.7 miljoen EUR, voornamelijk door de daling van de voorraden met 0.2 miljoen EUR, de daling van de handelsvorderingen met 0.8 miljoen EUR en de stijging van handels-en overige schulden met 0.5 miljoen EUR.

Binnen de geldende corona-overheidsmaatregelen in België en Nederland werden voor 0.1 miljoen EUR kapitaalsaflossingen van financiële schulden opgeschort en 0.4 miljoen EUR betalingen aan belastingen en sociale schulden uitgesteld.

 

Vooruitzichten

 

Tenzij de coronacrisis in het vierde kwartaal een grotere negatieve impact zou hebben op de ingeschatte evolutie van de leveringen van producten en diensten, laten recent ontvangen intentieverklaringen tot sluiten van verkoopscontracten de groep toe om te voorzien dat de omzet en EBITDA in het tweede halfjaar in alle divisies kan worden verhoogd.

GetWireless, North American Value-Added Master Distributor of IoT solutions and its VP of IoT Solutions David Smith, will represent GetWireless and be a U.S.-based voice for Crescent NV (Option™) in the LoRa Alliance.  David Smith is a  long-term member of the LoRa Alliance and contributed to the development of the LoRaWAN protocol.

Crescent NV (Option™) neemt een exclusieve wereldwijde licentie op het gloednieuwe social distancing alarm van Flanders Make. Option zal de toestellen, gebaseerd op Ultra Wide Band technologie, toevoegen aan zijn portfolio en wereldwijd commercialiseren. Flanders Make startte met de ontwikkeling bij de uitbraak van de coronapandemie en testte ondertussen al enkele duizenden prototypes bij bedrijven.

Option investeerde het voorbije jaar in de ontwikkeling van een draadloze energiemonitoring oplossing die eenvoudig kan geïnstalleerd worden in elke woning of bedrijf en waarbij meters draadloos tot op 3 km van de woning kunnen gekoppeld worden.

 

“Energy monitoring was steeds een product dat diende geïnstalleerd te worden door gespecialiseerde bedrijven. Door de stap te zetten wordt het nu bereikbaar voor een groter publiek en kan elke woning en/of bedrijf nu een energiemonitoring systeem installeren”, zegt Kris van Daele, Business Development manager bij Option.

CRESCENT RAPPORTEERT JAARCIJFERS 2019

De resultaten zijn uitgedrukt in euro en werden opgesteld in overeenstemming met de opname- en waarderingsgrondslagen van IFRS zoals aanvaard binnen de Europese Unie.

Woord van de voorzitter

 

Geachte Aandeelhouders,

Eerst en vooral wil ik U danken voor het blijvend vertrouwen dat U ons gaf, om OPTION in een brede, sterke en succesvolle technologie groep te integreren, met name CRESCENT NV. We zijn daar nu bijna twee jaar aan het timmeren, en de afdeling Option wordt nu vergezeld, en gesteund, door andere sterke bedrijven in de groep, zoals 2INVISION (IT & Services), INNOLUMIS (RGB LED Lighting), en SAIT (IOT Integrations).

Dat CRESCENT in grote mate zijn doelstellingen voor 2019 heeft kunnen realiseren is bemoedigend. We hadden een break-even EBITDA resultaat vooropgesteld. Dankzij de fusie, veel inzet en volharding en na vele jaren van rode cijfers, hebben we eindelijk dit doel bereikt. De ultieme redding en strategische herpositionering van het voormalige OPTION NV wordt nu stilaan een realiteit.

Met 9% groei ‘year on year’ hebben we ook onze omzet objectieven grotendeels kunnen realiseren, niettegenstaande onvoorziene ‘setbacks’ in de certificering en introductie van de nieuwe “CloudGate” lijn. Niettemin is er bij deze laatste opvallend genoeg een ‘year on year’ groei van 48%.

De LED verlichting tak presteerde onder de verwachtingen omwille van een serieuze knip in de budgetten voor vervanging van energie efficiënte straatverlichting in Nederland, en een algemene investering stop in Zuid-Afrika. Het is uiteindelijk vooral het voortschrijdend succes in onze IT-Services Divisie dat het grote verschil maakte. Dit mede dankzij gerichte acquisities die vorig jaar op touw werden gezet, en de sterke groei van onze service activiteiten in België.

Alhoewel de groepsresultaten dit jaar nog afgeremd werden door aflossing van historische schulden en voortschrijdende herstructureringen alsook belastende audit activiteiten, durven we toch stellen dat 2019 in de annalen van CRESCENT geboekt zal staan als het jaar waarin fundamentele turnarounds van OPTION, SAIT NL en MARO, op touw werden gezet. Ook de balans van de onderneming werd nog verder gevoelig versterkt via een belangrijke omzetting van schuldvorderingen in kapitaal ten belope van 6 M EUR.

Geschraagd door een sterke IT-Services Divisie en twee competente product Divisies rond IoT gateways en smart LED lighting armaturen, kan CRESCENT met voorzichtig vertrouwen vooruit blikken op een veelbelovende toekomst als toonaangevende integrator van state of the art IoT systemen. Yes, We can beat the odds!

Ik neem deze gelegenheid dus graag te baat om alle medewerkers en bestuurders van de groep te danken voor hun inzet en toewijding om “hun” onderneming succesvol te navigeren doorheen moeilijke en onzekere tijden.  

Terzelfdertijd richt ik mijn dank tot ontelbare trouwe investeerders die ons zijn blijven steunen toen “Return on Investment” een zeer vaag begrip leek maar waarvoor mijn boodschap blijft dat we er alles zullen aan doen om hun vertrouwen en investeringen te laten renderen.

Ik had voorzien dat 2020 het jaar van de finale bevestiging van de turnaround zou worden. Onze track record van gestage vooruitgang, nieuwe strategische partnerships, vernieuwde producten, etc. wijzen in die richting. Onze lange termijn visie staat nog steeds op double digit groei en double digit operationele resultaten. Echter, gezien de nu nog onvoorspelbare “Corona” tegenwind, ben ik voorzichtig om sterke uitspraken te doen. Wat wel vast staat, is dat CRESCENT NV nu beter dan voorheen gewapend en bestand is tegen economische schokken. En dat het team van medewerkers met volle moed 2020 ingaat.

GECONSOLIDEERDE RESULTATEN EN BALANS

In de geconsolideerde resultatenrekening van 2019 kunnen de meest opvallende elementen van het geconsolideerd resultaat als volgt worden samengevat in kEUR (duizend EUR):

Dankzij een robuste omzetstijging van 9% is de vennootschap er toch in geslaagd om een positief operationeel resultaat te boeken. De voorziene ommekeer in het Solutions segment (OPTION NV) heeft zich echter nog niet volledig gerealiseerd en ook de omzet en bijdrage in het resultaat van de Lighting Divisie bleven onder de verwachtingen. Enkel het services segment realiseerde een sterke groei in omzet en resultaat hetgeen net voldoende was om de ganse groep op een positieve EBITDA te brengen in 2019. Het is wel nuttig aan te merken dat er tijdens het boekjaar (vooral bij Option nv) veel éénmalige herstructurering kosten werden opgenomen en verwerkt.

In lijn met de interne opvolging van haar activiteiten heeft de vennootschap beslist om haar activiteiten op te splitsen in volgende segmenten/divisies

  • Solutions
  • Services
  • Lighting

 

Elk segment is een autonome component van de Groep welke specifieke producten of diensten levert:

  • Het “Solutions” segment bevat alle activiteiten betreffende de productie van gateways, datakaarten, USB apparaten, routers en ingebouwde modules, het end-to-end dienstenaanbod alsook de activiteiten omtrent het bouwen en onderhouden van telecom-, aarding- en blikseminstallaties en installaties voor draadloze communicatie in gesloten ruimtes; tot dit segment behoren Crescent NV, SAIT BV en Aardingen Maro Bvba; vanaf juli 2019 is ook de verworven vennootschap UEST NV een onafhankelijk deel van dit segment
  • Het “Services” segment bevat alle diensten omtrent het beheer van de ICT-omgeving (hard- en software) voor klanten in publieke en private datacenter-omgevingen, alsook voor kleine en middelgrote bedrijven;
  • Het “Lighting” segment, dat tot op heden enkel de vennootschap Innolumis BV bevat, omvat alle activiteiten gerelateerd aan LED straatverlichting.

 

In het Solutions segment werd enerzijds een robuuste organische groei genoteerd dankzij  fors gestegen Cloudgate verkoopvolumes (+48%), maar anderzijds was de omzetgroei deels niet-organisch omdat Crescent NV (voorheen Option NV) voor  een volledig jaar werd geconsolideerd in vergelijking met slechts zeven maanden het vorig boekjaar, en ook UEST NV heeft voor zes maanden bijgedragen met 304.000 EUR omzet.

 

De lancering van nieuwe productlijnen liep wel vertraging op omwille van certificering in de Verenigde Staten waardoor Cloudgate Mini en Micro pas vanaf december in de markt werden gezet, de Cloudgate Nano staat gepland voor lancering in Q2 van 2020. Het distributienetwerk werd gevoelig uitgebreid en de verkoop in de US steeg met 54% , en was daarmee goed voor 1.700.000 EUR in 2019.

Ook de groei in het Services segment was deels niet-organisch omdat de in 2018 overgenomen NE-IT vennootschappen voor een volledig jaar hebben bijgedragen tot omzet en resultaat (9 maanden in 2018); anderzijds werd in België wel een sterke organische groei gerealiseerd.

Tenslotte kende het Lighting segment een omzetdaling van 1.727.000 EUR door de algemene terughoudendheid in de Nederlandse thuismarkt, en de daling van de verkoop in het buitenland, waar de dochtervennootschap in Zuid-Afrika de verwachtingen nog niet heeft kunnen inlossen.

 

In het Solutions segment bleven de EBITDA-cijfers nog negatief maar verbeterden wel fors ten opzichte van vorig boekjaar; Crescent NV dat nu volledig in consolidatie werd opgenomen in vergelijking met slechts zeven maanden vorig boekjaar is nog verlieslatend vooral omwille van niet recurrente herstructureringskosten. Desalniettemin was het gestegen omzetcijfer nog niet voldoende om alle recurrente kosten te dekken, alhoewel deze wel sterk werden afgebouwd. De andere vennootschappen van dit segment leverden een onbeduidende bijdrage tot de resultaten ervan. Aan te stippen is wel dat ook SAIT BV nu licht EBITDA positief is geworden, en wellicht de weg naar positieve EBITDA bijdragen heeft ingeslagen.

 

De winstgevendheid van het Services segment is toegenomen enerzijds door de synergiën die in Nederland werden geboekt dankzij de fusie van 2Invision Managed Services BV met NE-IT Hosting BV en NE-IT Automatisering BV, en anderzijds door de omzetgroei in de Belgische activiteiten. In de loop van 2019 heeft de Vennootschap de minderheidsaandeelhouders van 2Invision Managed Service BV uitgekocht, en is nu alleen aandeelhouder van deze vennootschap en meteen ook van haar beide NE-IT dochterondernemingen.

 

Door de vrij sterke terugval van de omzet in het Lighting segment heeft deze divisie geen positieve EBITDA bijdrage kunnen leveren.  Eind december 2019 werd de vennootschap Crescent Smart Lighting BV verworven om de opstap naar Smart Lighting oplossingen te ondersteunen. Haar Belgische dochtervennootschap Melowes Bvba werd van naam veranderd en noemt nu Innolumis België Bvba met focus op de commercialisatie van smart LED armaturen  in de Belgische markt.

In juni 2019 nam Innolumis de aandelen van haar partner Power Matla in de Zuid-Afrikaanse joint venture over en werd de naam van de vennootschap veranderd in Innolumis South-Africa; de activiteiten van deze vennootschap blijven zeer beperkt.

 

Ook de aankoop van Livereach Media Europe Bvba zou vanaf 2020 de IOT-integratie activiteiten van de groep een bijkomende groeiplatform en aanvullende competenties moeten geven. (software voor de events markt).

 

Bij de impairment testen bleek een bijkomende waardevermindering nodig op de goodwill van Aardingen Maro Bvba en SAIT BV van respectievelijk 748.000 EUR en 733.000 EUR. Ook de initiële goodwill van UEST NV werd afgeschreven voor 557.000 EUR.

 

In de balans van eind 2019 zijn volgende de belangrijkste posten:

In de loop van 2019 werd vooreerst een kapitaalvermindering doorgevoerd door de Bijzondere Algemene Aandeelhoudersvergadering van 20 juni, via incorporatie van overgedragen verliezen en uitgiftepremies maar op 20 december volgde een inbreng van schuldvorderingen ten belope van 6.044.145 EUR om het maatschappelijk kapitaal finaal op 9.902.048 EUR te brengen.

 

De ingebrachte schuldvorderingen betroffen 1.440.000 EUR schulden ten gevolge van de overname van NE-IT en van het minderheidsbelang in 2Invision Managed Services BV, 1.580.000 EUR schulden gerelateerd aan de overnames in 2019 van UEST NV, Livereach Media Bvba en Crescent Smart Lighting BV, 409.000 EUR leveranciersschulden, en 2.615.000 EUR door aandeelhouders in de loop van 2019 verstrekte overbruggingskredieten.

Hiermee hebben de aandeelhouders concreet hun aangekondigde intentie aangetoond om de Vennootschap blijvend te ondersteunen.

De stijging van de netto financiële schuld is hoofdzakelijk te wijten aan de eerste toepassing van IFRS 16, waardoor bijkomend 2,3 miljoen EUR financiële schulden werden erkend in vergelijking met 2018 (ook de materiële vaste activa werden in 2019 verhoogd met 3.066.000 EUR recht-op-gebruik activa). In totaal werden in 2019 voor 1.642.000 EUR leningen afgelost en 814.000 EUR leasingschulden.

 

BELANGRIJKE GEBEURTENISSEN DIE PLAATSVONDEN NA AFLOOP VAN HET BOEKJAAR

 

De Buitengewone Algemene Vergadering van Crescent NV heeft op 20 december 2019 een vrijwillige opt-in van het nieuwe Wetboek van Vennootschappen en Verenigingen goedgekeurd. Deze beslissing werd gepubliceerd in het Belgisch Staatsblad op 29 januari 2020 en werd dus effectief vanaf die datum.

 

Ingevolge statutaire machtiging dd.20.12.2019 beschikt de Raad van Bestuur van de Vennootschap over de bevoegdheid om binnen het kader van het Toegestane Kapitaal over te gaan tot kapitaalsverhogingen  middels uitgifte van Warranten. De Raad van Bestuur kan overeenkomstig hetzelfde Artikel van de statuten van de Vennootschap het voorkeurrecht van de Aandeelhouders hierbij opheffen.

Op 21 april 2020 heeft de Raad van Bestuur van Crescent NV een warrantenplan goedgekeurd met als doel het ondersteunen en bereiken van enkele bedrijfs- en human resourcedoelstellingen. Er wordt voorzien in de toekenning van 37.000.000 opties.

De belangrijkste voorwaarden van het warrantenplan “2020” zijn de volgende:

-             De uitoefenprijs van voormelde warranten “2020” bedraagt € 0,02 per warrant toegekend aan zelfstandige senior consultants en leden van het executive committee

-             Het plan heeft een looptijd van 5 jaar

-             Bij conversie van hun warranten ontvangen de optiehouders één gewoon aandeel van Crescent NV per optie

-             De warranten zullen in tranches definitief verworven zijn gedurende de drie jaren na datum van het aanbod en definitief uitoefenbaar zijn op de derde verjaardag van de datum van aanbod.

-             Het plan voorziet een versnelde verkrijging en uitoefening ingeval van wijziging van controle

 

De kost van deze op aandelen gebaseerde transactie wordt berekend op basis van de reële waarde op datum van verwerving. De totale geschatte kost voor dit plan bedraagt k€ 645.

Vanaf eind januari 2020 brak wereldwijd en tevens in Europa een belangrijke publieke gezondheidsbedreiging uit, met name het Coronavirus. Maatregelen van de overheden in Europa en de ineenkrimping van de economie op dat moment in China hebben op Europese bedrijven een belangrijke economische impact gehad sindsdien. 

De Groep voorziet een mogelijke negatieve omzet impact hierdoor en heeft daarom niet geaarzeld een aantal kostenbesparende maatregelen te nemen, om op korte termijn haar liquiditeitspositie en kasstromen zo goed mogelijk te beschermen.

De Groep voorziet op korte termijn, gezien haar kaspositie eind Q1 en de bijkomend genomen maatregelen, geen liquiditeits- noch solvabiliteitsproblemen. Vanzelfsprekend is de impact en de duur van de Corona crisis op vandaag uiterst moeilijk in te schatten.

 

Continuïteit

 

De Raad van Bestuur is van oordeel dat door de succesvolle afronding van de reeds eerder ondernomen acties, de bijkomende maatregelen getroffen ten gevolge van de coronacrisis waarvoor de inschatting van de financiële impact hiervoor toegelicht werd onder de sectie belangrijke gebeurtenissen die plaatsvonden na afloop van het boekjaar, en de intentie van de referentie aandeelhouders om de Vennootschap van bijkomende financiële middelen te voorzien moest de nood zich voordoen, deze laatste in staat moet zijn om over de komende 12 maanden haar plan te realiseren; de Raad van Bestuur bevestigt op die basis de waarderingsregels inzake continuïteit.

CRESCENT REPORTS FULL YEAR 2019 RESULTS

 

Leuven, Belgium – April 30, 2020 – 19h45, Crescent NV, Gaston Geenslaan 14, 3001 Heverlee (Euronext Brussels: OPTI) today announced its results for the full year 2019, ending 31 December 2019. The results are expressed in euro and have been prepared in accordance with the recognition and measurement principles of IFRS as adopted by the European Union.

To our Shareholders

First, I would like to thank you for the trust & support you have given us while transforming and merging OPTION NV into a broader and stronger technology group called CRESCENT NV.

We have been diligently working on this for nearly two years and the Option division has since been joined and supported by other strong companies, such as 2INVISION (IT Services), INNOLUMIS (RGB LED Lighting), and SAIT (IOT Integrations).

 

That CRESCENT largely achieved its 2019 objectives is very encouraging. After countless years of writing results with red ink we aimed for a better than break-even operational result and were able to deliver just that. Thanks to the merger, dedication and persistence of our people the strategic repositioning and rescuing of former OPTION NV is gradually becoming a reality. Moreover with 9% growth “year-on-year”, we came close to achieving our turnover objectives, despite few unwanted setbacks in the certification and approval process of our new “CloudGate” product line. Remarkably the latter nevertheless grew 48% year on year.

 

Our LED lighting Division performed some below expectations due to a serious cut in the budgets for replacing energy-efficient street lighting in the Netherlands, as well as a general investment freeze in South Africa. Ultimately, it was the ongoing success in our IT Services Division which made a big difference. This is partly due to acquisitions launched last year and strong growth of our service activities in Belgium.

Although the group's results were still heavily impacted by repayment of historical debts, ongoing restructurings as well as burdensome audit activities, we can nevertheless say that 2019 will be looked upon as the year in which fundamental turnarounds of OPTION, SAIT NL and MARO took place. Crescent’s balance sheet was further strengthened substantially through a conversion of debts into capital for an amount of 6 M EUR.

Backed by a strong IT Services Division and two competent product Divisions (IoT gateways and smart LED lighting fixtures), CRESCENT can look forward with cautious confidence to a promising future as a leading integrator of state of the art IoT systems. Yes, we can beat the odds!

I take this opportunity to thank all employees, managers and board members of the group for their contributions to successfully navigate "their" company through difficult and uncertain times.

I would further like to express my gratitude to countless loyal investors who continued to support us when "Return on Investment" seemed a very vague concept. For them my message remains that we will do everything we can to create shareholder value.

With our track record of consistent progress, updated product platforms as well as new strategic alliances all pointed in the right direction, I expected 2020 to become the year of final success for Crescent. We set our long-term sights on double digit growth and double-digit operating results but given the current Corona crisis must remain very cautious about being too optimistic about the year that lies ahead.

Nevertheless, CRESCENT NV is now better equipped and more resilient to withstand economic adversity as we all entered 2020 with enhanced courage & energy & confidence.

CONSOLIDATED RESULTS AND BALANCE SHEET

In the consolidated income statement of 2019, the most striking elements of the consolidated result can be summarized as follows in kEUR (thousands of EUR):

 

Thanks to a robust 9% increase in turnover, the company managed to achieve a positive EBITDA. However, the planned turnaround in the Solutions segment (OPTION NV) has not yet been fully realised and the Lighting Division's revenue and contribution to the result were also below expectations. Only the services segment achieved strong growth in revenue and result, which was just enough to bring the entire group to a positive EBITDA in 2019. It is useful to note that during the financial year (especially at Option NV) a lot of one-off restructuring costs were recognized and processed.

 

In line with the internal monitoring of its activities, the company has decided to split its activities into the following segments/divisions

- Solutions

- Services

- Lighting

 

Each segment is an autonomous component of the Group that provides specific products or services:

- The "Solutions" segment includes all activities relating to the production of gateways, data cards, USB devices, routers and built-in modules, the end-to-end range of services as well as the activities relating to the construction and maintenance of telecom, grounding and lightning installations and installations for wireless communication in enclosed spaces; this segment includes Crescent NV, SAIT BV and Aardingen Maro Bvba; as from July 2019 the acquired company UEST NV will also be an independent part of this segment.

- The "Services" segment includes all services relating to the management of the ICT environment (hardware and software) for customers in public and private data centre environments, as well as for small and medium-sized enterprises;

- The "Lighting" segment, which until now only includes the company Innolumis BV, includes all activities related to LED street lighting.

 

In the Solutions segment a robust organic growth was recorded on one hand due to strong Cloudgate sales volumes (+48%), but on the other hand sales growth was partly non-organic as Crescent NV (formerly Option NV) was consolidated for a full year compared to only seven months in the previous financial year; UEST NV also contributed EUR 304,000 in sales for six months.

However, the launch of new product lines was delayed due to certification in the United States, so that Cloudgate Mini and Micro were only launched in December, the Cloudgate Nano is scheduled for launch in Q2 of 2020. The distribution network was significantly expanded and sales in the US increased by 54%, amounting to EUR 1,700,000 in 2019.

The revenue increase in the Services segment was partly non-organic because the NE-IT companies acquired in 2018 contributed for a full year to revenue and result (9 months in 2018); on the other hand, strong organic growth was realized in Belgium.

Finally, the Lighting segment experienced a EUR 1,727,000 decrease in revenue due to the general reluctance in the Dutch domestic market and the decrease in sales abroad, where the subsidiary in South Africa has not yet been able to live up to expectations.

 

In the Solutions segment the EBITDA figures remained negative, but improved considerably compared to the previous financial year; Crescent NV, which is now fully consolidated compared to only seven months of the previous financial year, is still loss-making, mainly due to non-recurring restructuring costs. Nevertheless, the increased turnover figure was not yet sufficient to cover all recurrent costs, although these were significantly reduced. The other companies in this segment made an insignificant contribution to the results. It should be noted, however, that SAIT BV has now also become slightly EBITDA positive, and may have embarked on a path towards positive EBITDA contributions.

 

The profitability of the Services segment has increased on the one hand due to the synergies achieved in the Netherlands as a result of the merger of 2Invision Managed Services BV with NE-IT Hosting BV and NE-IT Automatisering BV, and on the other hand due to revenue growth in the Belgian activities. In the course of 2019, the Company bought out the minority shareholders of 2Invision Managed Service BV and is now only shareholder of this company and also of both of its NE-IT subsidiaries.

 

Due to the relatively sharp decline in sales in the Lighting segment, this division has not been able to make a positive EBITDA contribution.  At the end of December 2019, Crescent Smart Lighting BV was acquired to support the move to Smart Lighting solutions. Its Belgian subsidiary Melowes Bvba changed its name and is now called Innolumis België Bvba with a focus on the commercialization of smart LED luminaires in the Belgian market.

In June 2019 Innolumis took over the shares of its partner Power Matla in the South African joint venture and changed its name to Innolumis South-Africa; the activities of this company remain very limited.

 

The impairment tests revealed an additional impairment on the goodwill of Aardingen Maro Bvba and SAIT BV of respectively EUR 748,000 and EUR 733,000. The initial goodwill of UEST NV was also written off for 557,000 EUR.

The most important items in the balance sheet at the end of 2019 are the following:

In the course of 2019, a capital decrease was first implemented by the Extraordinary General Shareholders' Meeting of  June 20, through incorporation of losses carried forward and share premiums; on December 20 followed a contribution into capital of outstanding debts amounting to EUR 6,044,145 to bring the share capital to a final amount of EUR 9,902,048.

The debts contributed concerned EUR 1 440 000 of debts resulting from the acquisition of NE-IT and the minority interest in 2Invision Managed Services BV, EUR 1 580 000 of debts related to the 2019 acquisitions of UEST NV, Livereach Media Bvba and Crescent Smart Lighting BV, EUR 409 000 of supplier debts, and EUR 2 615 000 of bridging loans granted by shareholders in the course of 2019.

By doing so, the shareholders have concretely demonstrated their announced intention to continue to support the Company.

The increase of the net financial debt is mainly due to the first application of IFRS 16, which resulted in an additional EUR 2.3 million of financial debt being recognized compared to 2018 (fixed assets were also increased in 2019 with EUR 3,066,000 right to use assets). In total, EUR 1,642,000 of loans and EUR 814,000 of leasing debts were repaid in 2019.

 

SIGNIFICANT EVENTS OCCURRING AFTER THE END OF THE FINANCIAL YEAR

The Extraordinary General Meeting of Crescent NV approved a voluntary opt-in to the new Companies and Associations Code on 20 December 2019. This decision was published in the Belgian Official Gazette on 29 January 2020 and became effective as of that date.

Pursuant to the statutory authorization dated 20.12.2019, the Board of Directors of the Company has the authority to increase the share capital within the framework of the Authorized Capital by issuing Warrants. The Board of Directors can, in accordance with the same Article of the articles of association of the Company, cancel the preferential subscription right of the Shareholders.

On April 21 2020, the Board of Directors of Crescent NV approved a warrant plan with the objective to support and achieve some corporate and human resource objectives. Provision is made for the granting of 37,000,000 options.

The main conditions of the warrant plan "2020" are the following:

- The exercise price of the aforementioned warrants "2020" amounts to € 0.02 per warrant granted to independent senior consultants and members of the executive committee.

- The plan has a duration of 5 years

- Upon conversion of their warrants, the option holders receive one ordinary share of Crescent NV per option.

- The warrants will vest in tranches during the three years following the date of the offer and become definitively exercisable on the third anniversary of the date of the offer.

- The plan provides for an accelerated vesting and exercise in the event of a change of control

The cost of this share-based transaction is calculated on the basis of its fair value at the date of acquisition. The total estimated cost for this plan amounts to EUR 645k.

As from the end of January 2020, the Corona virus, a major public health threat, broke out worldwide and particularly in Europe. Measures taken by governments in Europe and the contraction of the economy in China at that time have had a significant economic impact on European companies since then. 

The Group expects a possible negative impact on its revenues and has therefore not hesitated to take a number of cost-saving measures to protect its liquidity position and cash flows as effectively as possible in the short term.

 

In view of its cash position at the end of Q1 and the additional measures taken, the Group does not foresee any liquidity or solvency problems in the short term. Obviously, the impact and duration of the Corona crisis is extremely difficult to assess today.

 

Going Concern

 

The Board of Directors is of the opinion that due to the successful completion of the actions already undertaken, the additional measures taken as a result of the corona crisis for which the estimation of the financial impact has been explained above under the section important events that took place after the end of the financial year, and the intention of the reference shareholders to provide the Company with additional financial means should the need arise, the latter should be able to realize its plan over the next 12 months; the Board of Directors confirms on this basis the valuation rules with regard to going concern.

Market launch of various IoT solutions

 

Hasselt and Leuven, April 10, 2020 - 18h30 - WMW, the IoT platform of Clear Digital NV and OPTION, the IoT department of CRESCENT (EURONEXT: OPTI), are launching multiple solutions to tackle the Covid-19 pandemic at different stages.

 

In the world of IoT, with the help of sensors, you can see the visualization and big data of the things that are used to help a society or industry run operationally. Examples are Smart Waste, Smart Parking, but also Building Management.

 

WMW's IoT platform technology facilitates to development of applications at rapid speed that are fully focused on the "use case" and exhibits great flexibility. This flexibility is extended very far. For example, the WMW platform is device, network and database agnostic and can be used and sold worldwide through partners.

 

“Since the outbreak of Covid-19, we have focused on applications that can handle different observations and effects around Covid-19.   1. Quarantine Monitoring. People who have to live in (self) quarantine do not always follow the rules and sometimes dare to go outside their zone. In this way they pose a high risk of spreading the virus. This solution identifies and informs the infringement.
  2. Proximity Registration. When we, as a population, are allowed to move around freely again, it is desirable to establish our contact points (within a radius of for example 1,5 meters). This solution does so without the use of location data or without any other use of personal data, with the exception of the users’ telephone number. It is the most accessible solution to find out who has been in the vicinity of an infected person in the last 72 hours.
  3. Private Proximity Registration. Companies that want to return to work demand solutions to protect their employees. This kit provides a private network and personal trackers to maintain a dynamic virtual geofence around an employee at site level. Since we will have to be careful for several more months to come and our employees are our most important assets, this solution helps to prevent and warn against proximity.
  4. MySpace Monitoring. Elderly people, that we would want to follow up a little closer, can be in closer contact with their caregivers or family. Panic buttons, sensors that monitor movement, energy, and even doors, can be used in hospitals and rest homes, but also for people who still live at home. This allows direct, but also indirect, anomalies to be reported and timely action can be taken.

Marktlancering van diverse IoT oplossingen

 

Hasselt en Leuven, 10 april 2020 - 18u30 - WMW, het IoT platform van Clear Digital NV en OPTION, de IoT afdeling van CRESCENT (EURONEXT: OPTI), komen met meerdere oplossingen op de markt om de Covid-19 pandemie in verschillende stadia aan te pakken.

 

In de wereld van IoT zie je, met behulp van sensoren, de visualisatie en big data van de dingen die gebruikt worden om een samenleving of industrie operationeel te helpen draaien. Smart Waste, Smart Parking, maar ook Building Management vallen hier bijvoorbeeld onder.

  2. Proximity Registration. Wanneer we als bevolking opnieuw vrijer mogen bewegen is het wenselijk om onze contactpunten (binnen een straal van bijvoorbeeld 1,5 meter) vast te leggen. Naast het telefoonnummer doet deze oplossing dit zonder gebruik van locatie-gegevens en zonder enige vorm van gebruik van andere persoonsgegevens. Het is de meest laagdrempelige oplossing om te weten te komen wie in de laatste 72u in de nabijheid is geweest van een geïnfecteerd persoon.
  3. Private Proximity Registration. Bedrijven die het werk terug willen hervatten vragen oplossingen ter bescherming van hun werknemers. Deze kit omvat een privé netwerk en personal trackers om op site niveau een dynamische virtuele geofence rond een werknemer te bewaren. Aangezien we nog meerdere maanden voorzichtig zullen moeten zijn en werknemers het belangrijkste ‘asset’ voor een organisatie zijn, helpt deze oplossing om een te korte nabijheid te voorkomen en ervoor te waarschuwen.
  4. MySpace Monitoring. Ouderen, waarbij het wenselijk is om ze dichter op te volgen, kunnen m.b.v. sensoren nauwer in contact staan met hun zorgverleners of familie. Panic buttons, sensoren die beweging, energie, en zelfs deuren opvolgen, kunnen ingezet worden in ziekenhuizen en rusthuizen, maar ook bij mensen die nog steeds thuis wonen. Hiermee kan men directe, maar ook indirecte, anomalieën rapporteren en kan er tijdig actie ondernomen worden.

GELIJKWAARDIGE INFORMATIEVERSTREKKING

IN HET KADER VAN DE TOELATING TOT VERHANDELING

Op grond van artikel 18, §  2, d) van de Wet van 26 juni 2006 op de openbare aanbieding van beleggings­in­stru­menten en de toelating tot de verhandeling op een gereglementeerde markt, wordt de onderstaande gelijkwaardige informatie ter beschikking gesteld :

In accordance with the requirements of the current legislation on the disclosure of major participations in issuers of which shares are admitted to trading on a ‘regulated market’, are any natural or legal person who, directly or indirectly, acquire or resign shares or other voting granting financial instruments of the company, whether or not they represent capital, compulsory by the law applicable at that time, are obliged to inform both the Company and  the FSMA of the number of financial instruments owned as well as the percentage of existing voting rights whenever the voting rights are attached to these financial instruments reach a first time three percent (3%) and then five percent (5%) or a multiple of five percent (5%), exceed or fall below such percentage. The involved shareholders must comply with the statutory requirements and regulations in this regard.

 

Overeenkomstig de voorschriften van de vigerende wetgeving inzake de`openbaarmaking van belangrijke deelnemingen in emittenten waarvan aandelen zijn toegelaten tot de verhandeling op een gereglementeerde markt', is elke natuurlijke of rechtspersoon die, rechtstreeks of onrechtstreeks, aandelen of andere stemrecht verlenende financiële instrumenten van de vennootschap, die al dan niet het kapitaal vertegenwoordigen, verwerft of afstaat, verplicht in de omstandigheden voorzien door de op dat ogenblik toepasselijke wetgeving, zowel de vennootschap als de FSMA kennis te geven van het aantal financiële instrumenten dat hij bezit, alsook het percentage van de bestaande stemrechten, telkens wanneer de stemrechten verbonden aan deze financiële instrumenten een eerste maal drie procent (3%) en vervolgens vijf procent (5%) of een veelvoud van vijf procent (5%) bereiken, overschrijden of beneden zulk percentage zakken. De betrokken aandeelhouders dienen zich te conformeren naar de wettelijke voorschriften ter zake.

Leuven, Belgium - 15 April, 2004 - Option NV (Euronext: OPTI) today announces that its board of directors has decided on April 15, 2004 to execute a private placement of new shares to a limited group of European institutional investors for a total amount of € 8.000.000 through the issuance of new shares whereby the capital will be increased within the framework of the authorized capital with cancellation of preferential subscription rights of existing shareholders.

The issuance price per new share was determined through a bookbuilding procedure with a minimum price set at the average closing price of the last 30 days prior to the subscription by the institutional investors.

The private placement was targeted towards a limited number of European high-quality institutional investors, whereby only minimum subscriptions of € 250.000 were accepted. The offer was for more than 2 times subscribed and therefore the orderbook was closed after a few hours only.

On April 13, 2004, the Banking, Finance and Insurance Commission has granted Option a full exemption from the obligation of the publication of a prospectus in application of article 6, 3°, a) of the Royal Decree of September 18, 1990. Option filed a request to Euronext Brussels to list the newly issued shares on the First Market of Euronext Brussels.

Option will use the proceeds of the private placement primarily to fund the concrete growth perspectives coming from the positive evolution in demand in the sector, Option’s extremely well positioned product offering on one hand, and on the other hand the development of new solutions based on combined technologies UMTS, WiFi and EDGE, that will sustain this growth.

The shares that will be issued as a result of this private placement will have the same rights as the existing shares of Option NV.

KBC Securities acted as manager of this private placement.

The Board of Directors is pleased to invite all holders of securities issued by Option NV (the “Company”) to attend the Annual Shareholders' Meeting, which will take place on Wednesday, March 31, 2004 at 10.00 a.m., at the registered office of the Company, Kolonel Begaultlaan 45, 3012 Leuven, Belgium.

The agenda and proposals of decision for this Annual Shareholders' Meeting are the following:

A G E N D A

1. Presentation and discussion of the report of the Board of Directors for the financial year ended on December 31, 2003.

2. Presentation and discussion of the report of the statutory auditor for the financial year ended on December 31, 2003.

3. Presentation of the annual consolidated accounts and consolidated reports for the financial year ended on December 31, 2003.

4. Approval of the annual statutory accounts for the financial year ended on December 31, 2003 and allocation of results.

Proposal of decision: To approve the annual accounts for the financial year ended on December 31, 2003, including the allocation of results proposed by the Board of Directors.

5. Release of liability of the directors.

Proposal of decision: To release the directors of liability for the performance of their duties in the course of the financial year ended on December31, 2003.

6. Release of liability of the statutory auditor.

Proposal of decision: To release the statutory auditor of liability for the performance of his duties in the course of the financial year ended on December31, 2003.

7. Nomination of the statutory auditor – Compensation for the exercise of his office.

Proposal of decision: To nominate the candidate proposed by the Board of Directors at the Annual Shareholders’ Meeting as statutory auditor, whose term of office will expire immediately after the Annual Shareholders’ Meeting, which will be asked to deliberate and vote upon the approval of the annual accounts for the financial year ending on December 31, 2006 and to fix his remuneration at the amount proposed by the Board of Directors at the Annual Shareholders’ Meeting.

8. Miscellaneous.

In order to be admitted to the abovementioned Annual Shareholders' Meeting, the holders of securities issued by the Company must follow the provisions of articles 29 and 30 of the Articles of Association of the Company and article 536 of the Companies Code and also fulfill the following formalities : (i) if they are owners of registered shares, notify the Company of their intention to attend the Annual Shareholder’s Meeting, by sending a letter by regular mail to the Company’s registered office; (ii) if they are owners of dematerialized shares deposited through Euroclear, deposit, at the latest five working days prior to the date of the Annual Shareholders' Meeting, a certificate at the registered office of the Company, drawn up by the recognized holder of their securities' accounts or by Euroclear itself, confirming the number of shares registered under the name of the shareholder and declaring that the shares are non-negotiable until the date of said Annual Shareholders' Meeting; and (iii) if they are owners of warrants, they must inform the Company in writing, by an ordinary letter addressed to the registered office of the Company, at least five working days prior to the meetings, of their intention to attend the meeting.

Shareholders can vote by proxy or by letter, using documents drawn up by the Company and which can be obtained at no cost at the registered office of the Company. The proxies have to be deposited at the registered office of the Company at the latest five (5) business days prior to the date of the meeting. The owners of dematerialized shares who whish to vote by proxy or by letter have to deposit, in addition to the documents properly filled out, the certificate drawn up by the recognized holder of their securities' accounts or by Euroclear itself, confirming the number of shares registered under the name of the shareholder and declaring that the shares are non-negotiable until the date of said Annual Shareholders' Meeting.

In order for the vote by letter to be valid, a form must be sent by registered mail with acceptance receipt to the Company’s registered office, which must be sent at the latest six days before the Annual Shareholders’ Meeting (the postage stamp shall serve as proof) and which must contain the following information: (i) mentioning of the complete and accurate indication of the shareholder and of the number of shares he is voting with; (ii) the complete agenda; (iii) the proposals of decision and the voting instructions of the shareholder (for, against and abstain). The shareholder may explain or motivate his or her voting instructions.

Option NV (Euronext: OPTI) announced that on December 30, 2003 , 1.066.246 new shares were issued as a result of the conversion of the subordinated bonds created on 16 July 2001

Leuven , 5 January 2004 . Option NV (Euronext: OPTI) announced that on December 30, 2003 , 1.066.246 new shares were issued as a result of the conversion of the subordinated bonds created on 16 July 2001 . As a result thereof, the capital has been increased by € 629.085, bringing the total amount of capital to € 5.510.082,34, represented by 9.285.231 outstanding shares.

GIMV NV , Jan Callewaert and Partners@Venture requested the company to convert their respective bonds. By conversion, respectively 479.811, 479.811 and 106.624 new shares were issued to GIMV, Jan Callewaert and Partners@Venture . The number of shares that can be issued upon conversion is equal to the nominal value of the bond (€ 316.542) divided by the price of the share (€ 5,9375), calculated as the average of the share price on NASDAQ Europe during (30) calendar days before the issuance of the bonds.

These subordinated convertible bonds were originally underwritten by Mr. Jan Callewaert , Option's CEO and by GIMV NV , each obtaining ten bonds with a nominal value of € 316.542 per bond. In the course of 2002, two bonds were transferred to the company "Partners@Venture". On 27 December 2001 the maturity date of the subordinated convertible bonds was extended until 26 January 2004 .

The shares issued by the conversion of the bonds have the same rights as the existing shares of Option NV and are listed on EURONEXT Brussels.

The articles of association stipulate that the Board of Directors is composed of a minimum of three and a maximum of nine members, who are appointed by the general shareholders meeting for a maximum period of six years. The Board of Directors has to contain at least three independent directors.

The Board of Directors is currently composed of three members, namely: Eric Van Zele (Chairman of the Board of Directors), Raju Dandu and Pieter Bourgeois (Representing Crescemus Bvba)

Eric Van Zele

Mr. Eric Van Zele currently serves as Chairman of Reynaers Aluminium and Crescent NV. He was recently appointed chairman of the E17 network of hospitals and of the Hermes decision committee of The Flemish agency for Innovation and entrepreneurship. He continues to serve as a director of Barco NV. Prior to his current mandates Eric served as president and Ceo of Barco NV in Kortrijk from 2009 thru 2016. He served as CEO of Pauwels International (from 2004 thru 2008) and of Telindus nv (2000 thru 2003). Prior to that, he served as Vice President of Raychem Corporation in Menlo park, CA, USA and as Managing Director of Raychem nv in Leuven, Belgium. (1972 thru 1999). He was nominated “Manager of the Year in 2012” and “ICT Personality of 2013”. Eric holds a masters degree in electrical and mechanical engineering from the KUL in Leuven (1972) and postgraduate degrees in management from Stanford University (1992 CA, USA).

 

Raju Dandu

Mr. Raju S. Dandu is the Founder-Chairman of Danlaw Inc. USA. He is also the Managing Director of Danlaw Technologies India Ltd. He is responsible for strategic planning and corporate management of both companies. Prior to founding Danlaw Inc., he held positions at the University of Iowa hospitals, Ford Motor Company, Dana Corporation and worked as an independent consultant at General Motors.  He holds a bachelors’ degree in electronics engineering from Kakinada, India, a masters in electronics from University of Iowa and an MBA from University of Detroit.

 

Pieter Bourgeois

Mr. Pieter Bourgeois, is an Investment Manager at Alychlo NV, the investment firm of Belgian entrepreneur Marc Coucke. Prior to this, Mr. Bourgeois worked as CFO (and in other financial roles) focusing on M&A and strategic projects, gaining business acumen in a variety of sectors and different sizes of companies.
