GELIJKWAARDIGE INFORMATIEVERSTREKKING

IN HET KADER VAN DE TOELATING TOT VERHANDELING

Op grond van artikel 18, §  2, d) van de Wet van 26 juni 2006 op de openbare aanbieding van beleggings­in­stru­menten en de toelating tot de verhandeling op een gereglementeerde markt, wordt de onderstaande gelijkwaardige informatie ter beschikking gesteld :

In accordance with the requirements of the current legislation on the disclosure of major participations in issuers of which shares are admitted to trading on a ‘regulated market’, are any natural or legal person who, directly or indirectly, acquire or resign shares or other voting granting financial instruments of the company, whether or not they represent capital, compulsory by the law applicable at that time, are obliged to inform both the Company and  the FSMA of the number of financial instruments owned as well as the percentage of existing voting rights whenever the voting rights are attached to these financial instruments reach a first time three percent (3%) and then five percent (5%) or a multiple of five percent (5%), exceed or fall below such percentage. The involved shareholders must comply with the statutory requirements and regulations in this regard.

 

Overeenkomstig de voorschriften van de vigerende wetgeving inzake de`openbaarmaking van belangrijke deelnemingen in emittenten waarvan aandelen zijn toegelaten tot de verhandeling op een gereglementeerde markt', is elke natuurlijke of rechtspersoon die, rechtstreeks of onrechtstreeks, aandelen of andere stemrecht verlenende financiële instrumenten van de vennootschap, die al dan niet het kapitaal vertegenwoordigen, verwerft of afstaat, verplicht in de omstandigheden voorzien door de op dat ogenblik toepasselijke wetgeving, zowel de vennootschap als de FSMA kennis te geven van het aantal financiële instrumenten dat hij bezit, alsook het percentage van de bestaande stemrechten, telkens wanneer de stemrechten verbonden aan deze financiële instrumenten een eerste maal drie procent (3%) en vervolgens vijf procent (5%) of een veelvoud van vijf procent (5%) bereiken, overschrijden of beneden zulk percentage zakken. De betrokken aandeelhouders dienen zich te conformeren naar de wettelijke voorschriften ter zake.

LEUVEN – Belgium – June 20, 2014 – On 20 June 2014 Option NV received a notification of participation in accordance with the law of 2 May 2007 on the disclosure of major holdings in issuers. ParticipatieMaatschappij Vlaanderen NV (PMV) informed Option that as per 2 June 2014 its participation exceeded the threshold of 3% of the total outstanding voting rights. PMV holds a total of 3,508,771 voting rights, i.e. 3.84% of the total outstanding voting rights. LEUVEN, België – 20 juni 2014 – Option NV heeft op 20 juni 2014 een kennisgeving van deelneming ontvangen overeenkomstig de wet van 2 mei 2007 op de openbaarmaking van belangrijke deelnemingen in emittenten. LEUVEN, Belgium – April 28, 2014 – Option (EURONEXT Brussels: OPTI; OTC: OPNVY) today announced that Mrs. Sabine Everaet, Mr. Jan Vorstermans and Mr. Dimitri Duffeleer have been nominated to join its Board of Directors as non-executive directors. Frank Deschuytere, CEO of Option, has been nominated as executive director whilst Olivier Lefebvre has accepted to renew his mandate as independent director for a period of one year. The changes will be subject to vote at the General Meeting of Shareholders on May 28, 2014.

Sabine Everaet — CIO Europe, The Coca-Cola Company

Mrs. Sabine Everaet, 47, has a proven track record of establishing business driven IT strategies. She has gained an expertise in driving change based on creative and strategic thinking, conceptualizing innovative operating models across different geographies and executing major programs with significant business impact. As CIO Europe of The Coca-Cola Company she holds the end-to-end responsibility for IT in Europe. She serves as a member of the European Management Team, leads the Social Enterprise (digital marketing) and Big Data programs on an international level and is member of the customer digital taskforce to assess eCommerce opportunities & operating models. Before joining the The Coca-Cola Company she worked for Price Waterhouse Management Consultants and KPMG Management Consultants.

Jan Vorstermans — Strategic vision and innovation capabilities coupled with efficient implementation

Mr. Jan Vorstermans, 54, has a broad experience in managing technology, service and operations with a strong background in finance, HR, sales and marketing. Till July 2013 he was COO at Telenet and member of the Executive team. At Telenet he also held the position of Executive Vice President Technology and Infrastructure. He previously worked for BT Global Services where he was Vice President Networks and Service Operation. Mr. Vorstermans is currently Board Member at iMinds, Cable Europe and Cable Europe Labs, amongst others.

Dimitri Duffeleer — Managing Director of investment fund Quaeroq, broad knowledge of ICT-industry

Mr. Dimitri Duffeleer, 43, is Managing Director & Co-founder of the investment fund Quaeroq. Quaeroq actively invests in listed small- en midsized companies in different industries across Europe with a long term approach, all based on its own research and analysis. They come with a co-owner mindset and work in close relationship with the managements of the companies they invest in. Mr. Duffeleer has acquired a broad knowledge of and experience in the ICT industry through his studies and professional activities. He is on the Board of Directors of several companies including RealDolmen, Generix Group, Fountain and Connect.

At the same time the Company points out that the mandates of Lawrence Levy and Philip Vermeulen as members of the Board will end on May 28, 2014. The Company would like to thank Lawrence Levy and Philip Vermeulen for their year-long commitment to Option. Their valuable insights and wisdom shaped the company and have taken it through challenging times.

De heer Frank Deschuytere, CEO van Option, is voorgedragen als uitvoerend bestuurder terwijl de heer Olivier Lefebvre aanvaard heeft om zijn mandaat als onafhankelijk bestuurder met 1 jaar te verlengen. Deze wijzigingen worden ter stemming voorgelegd tijdens de Algemene Aandeelhoudersvergadering op 28 mei 2014.

Sabine Everaet — CIO Europe, The Coca-Cola Company

Mevrouw Sabine Everaet, 47, heeft een uitgebreid palmares opgebouwd in het realiseren van businessgedreven IT-strategieën. Ze beschikt over expertise in het doorvoeren van veranderingen gebaseerd op creatief en strategisch denkwerk, in het conceptualiseren van innovatieve operationele modellen binnen verschillende regio’s en in het uitvoeren van grootschalige programma’s met een significante impact op de business. Als CIO Europe van The Coca-Cola Company heeft ze de eindverantwoordelijkheid voor IT in Europa. Ze is lid van het European Management Team, staat aan het hoofd van de Social Enterprise (digitale marketing) en Big Data programma’s op een internationaal niveau en tot slot is ze ook lid van de klantgerichte digitale taskforce die eCommerce opportuniteiten & operationele modellen evalueert. Jan Vorstermans — Strategische visie en innovatiecapaciteiten in combinatie met een efficiënte implementatie

De heer Jan Vorstermans, 54, heeft een ruime ervaring in het managen van technologie, service en operaties met een sterke achtergrond op vlak van financiën, HR, sales en marketing. Tot juli 2013 was hij COO bij Telenet en lid van het Executive team. Bij Telenet bekleedde hij ook de functie van Executive Vice President Technology and Infrastructure. Eerder werkte hij voor BT Global Services waar hij Vice President Networks and Service Operation was. De heer Vorstermans is momenteel bestuurder bij onder meer iMinds, Cable Europe en Cable Europe Labs.

Dimitri Duffeleer — Managing Director van investeringsfonds Quaeroq, brede kennis van de ICT-sector

De heer Dimitri Duffeleer, 43, is Managing Director en mede-oprichter van het investeringsfonds Quaeroq. Quaeroq investeert actief in kleine en middelgrote beursgenoteerde bedrijven die actief zijn in verschillende sectoren in Europa, en dat met een benadering op lange termijn die is gebaseerd op eigen onderzoek en analyse. Met de instelling als die van een mede-eigenaar werkt het nauw samen met het respectievelijke management van de bedrijven waarin het investeert. De heer Duffeleer heeft een ruime kennis en ervaring opgebouwd in de ICT-sector via zijn studies en professionele activiteiten. Hij is lid van de raad van Bestuur van verschillende ondernemingen zoals RealDolmen, Generix Group, Fountain en Connect.

Tezelfdertijd wijst de Vennootschap erop dat de mandaten van Lawrence Levy en Philip Vermeulen als bestuurders een einde nemen op 28 mei 2014. De Vennootschap bedankt oprecht Lawrence Levy en Philip Vermeulen voor hun jarenlange toewijding aan Option. Hun waardevolle inzichten en wijsheid hebben mee het bedrijf gevormd en doorheen uitdagende tijden geleid.

Als deze wijzigingen worden goedgekeurd tijdens de Algemene Aandeelhoudersvergadering, zal de Raad van Bestuur van Option 7 leden tellen: Jan Callewaert, Frank Deschuytere, Dimitri Duffeleer, Sabine Everaet, Olivier Lefebvre, Francis Vanderhoydonck en Jan Vorstermans.

Q1 HIGHLIGHTS

The company intended to raise an amount ranging between € 8 to 12 million and is pleased to report that it has effectively secured the maximum amount of € 12 million via the issue of a convertible bond. The funding is subscribed to by Quaeroq CVBA for € 4 million, Alychlo NV, holding company of Marc Coucke, for € 2,7 million, Vermec NV for € 1,5 million, Jan Callewaert for € 0,5 million, Frank Deschuytere, CEO of Option, for € 0,2 million and a number of private investors and companies for € 3,1 million.

This financing round was a success following the investors’ firm belief in the market opportunity of the Internet of Things and in the unique position Option has and the solutions it brings to this market. The new funds will be used to support the expansion of the sales channels, sales & sales support teams, to expand the product portfolio with technology & applications and to further develop the CloudGate partner-ecosystem.

The 5-year convertible bond matures in April 2019 and has an annual interest rate of 9% with an initial conversion price of € 0.295, which is the average price of the Option share 30 days prior to the issuing of the convertible bond. The interest shall be capitalized with the outstanding principal amount of the bonds on a half-yearly basis.

De resultaten zijn uitgedrukt in euro en werden opgesteld in overeenstemming met de opname- en waarderingsgrondslagen van IFRS zoals aanvaard binnen de Europese Unie. Business Update

  • De voorbije jaren onderging Option een transformatie naar een bedrijf dat werkt volgens een nieuw businessmodel en dat zich toelegt op de grote marktopportuniteit van het “Internet der Dingen”. Option maakte zo een nieuwe start, maar hield alle kerncompetenties die de voorbije jaren werden opgebouwd aan boord. Option heeft de ambitie om opnieuw een wereldspeler te worden, nu in de bedrijfsgerichte markt van de “Intelligente Gateway”-oplossingen. In de loop van 2013 doorliep Option hiertoe verder de transformatie van een B2C naar een B2B-model met een focus op de Machine to Machine (M2M) markt.
  • In 2013 lag de focus op het verhogen van Option’s geografisch bereik in de M2M-markt. In de geografische markten van Europa, Noord-Amerika, Latijns-Amerika en Azië lag de focus van de verkoop op de volgende 5 kernsegmenten:
    • Nutsbedrijven
    • Industriële Telematica
    • Omgevingsmonitoring
    • Beveiligde financiële transacties
    • Algemene connectiviteit
  • Bij de ontwikkeling van CloudGate lag de focus op twee aspecten. De eerste focus was om zowel het productaanbod te verrijken door uitbreidingskaarten te ontwikkelen als om de toepassingsgebieden van het softwareplatform verder te verfijnen voor belangrijke marktsegmenten. Dit resulteerde in het lanceren van verschillende bijkomende uitbreidingskaarten; de ontwikkeling van CloudGate Universe, het cloud gebaseerde platform van Option; en extra ondersteuning voor de belangrijkste industriële protocols. De tweede focus lag op de uitbreiding van het ecosysteem door de ondersteunde toesteltypes (sensoren, industriële activa, enz.) uit te breiden en op het ondersteunen van de belangrijkste applicaties van derden in de M2M-wereld, om zo de klanten van Option de mogelijkheid te bieden om optimaal de veelzijdigheid van het CloudGateplatform te kunnen benutten.
  • In de M2M-markt is het typerend dat verkoopscycli veel tijd in beslag nemen, met lange piloottrajecten alvorens over te gaan tot de finale acceptatie. Dit toont het belang aan dat klanten hechten aan de betrouwbaarheid en kwaliteit van het product wanneer ze een M2M-gateway selecteren, en dat speelt in de kaart van de sterktes van Option als bedrijf. Maar eens die acceptatie er is, zijn bestaande klanten goed voor herhaalde verkopen met gezonde marges in de volgende jaren.
  • Om de druk op de financiële middelen van de onderneming zo veel mogelijk te beperken, werd de kostenstructuur van de organisatie verder gereduceerd, maar dit met behoud van de kerncompetenties van de onderneming.
  • De nieuwe zakelijke omgeving wordt gekenmerkt door lagere volumes en minder kanalen. Daarom werd de logistieke organisatie vereenvoudigd door het overbrengen van de activiteiten van Cork, Ierland, naar Leuven, België.
  • In augustus 2013 vervoegde Christine Pollie als CFO de onderneming en in oktober 2013 werd Frank Deschuytere aangesteld als CEO, terwijl Jan Callewaert werd benoemd tot Uitvoerend Voorzitter. Dit nieuwe team zal instaan voor de uitvoering van de bedrijfsstrategie die erop gericht is uit te groeien tot een toonaangevende speler in de wereldwijd groeiende M2M-markt.

Frank Deschuytere, CEO van Option, gaf volgende commentaar:

Financiële kerncijfers voor het volledige jaar 2013

  • De opbrengsten voor het volledige jaar 2013 bedroegen 9,4 miljoen EURO in vergelijking met 40,8 miljoen EURO in 2012. De omzet van producten daalde van 13,1 miljoen EURO tot 9,2 miljoen EURO terwijl de omzet uit software en licenties daalde van 27,7 miljoen EURO tot 0,2 miljoen EURO. Deze daling is te wijten aan het feit dat de licentie-opbrengsten vanwege Huawei gestopt zijn tijdens het vierde kwartaal van 2012 (in 2012 nog een gerealiseerde omzet van 27,0 miljoen EURO).
  • De brutomarge voor 2013 bedroeg 35,9%, in vergelijking met 63,4% in 2012. In 2012 werd de brutowinst positief beïnvloed door de hogere omzet van de licentie-opbrengsten vanwege Huawei.
  • In vergelijking met 2012, daalden de bedrijfskosten van 22,3 miljoen EURO naar 14,4 miljoen EURO in 2013. Deze daling van de bedrijfskosten is het gevolg van verdere inkrimping van de Groep, bijkomende besparingen en een positieve impact van extra loonlastenverlagingen voor personeel Onderzoek & Ontwikkeling. De genormaliseerde bedrijfskosten bedroegen 16,8 miljoen EURO in 2013 in vergelijking met 26,0 miljoen in 2012. De buitengewone bedrijfskosten omvatten enerzijds een positieve impact ten gevolge van extra loonlastenverlagingen (0,5 miljoen EURO) en de vrijval van IPR-voorzieningen (3,2 miljoen EURO – in vergelijking met 7,3 miljoen EURO in 2012), en anderzijds negatieve elementen zoals kosten voor herstructurering (1,2 miljoen EURO) en een afwaardering van geactiveerde kosten voor Onderzoek & Ontwikkeling (0,1 miljoen EURO – in vergelijking met 3,6 miljoen EURO in 2012).
  • De financiële kosten zijn in 2013 aanzienlijk toegenomen, hoofdzakelijk door de intresten verschuldigd op de converteerbare obligatielening verkregen in het eerste kwartaal van 2013.
  • De EBIT bedroeg (11,1) miljoen EURO, in vergelijking met 3,6 miljoen EURO in 2012. Het nettoresultaat daalde naar (11,7) miljoen EURO voor 2013 in vergelijking met 3,4 miljoen EURO in 2012.
  • De balans van de Groep bevat 1,6 miljoen EURO aan liquide middelen. Ook de handelsvorderingen daalden van 3,2 miljoen EURO per eind 2012 naar 1,3 miljoen EURO. De voorraad daalde van 4,0 miljoen EURO naar 3,4 miljoen EURO op jaareinde 2013. De immateriële vaste activa, inclusief een afwaardering van 0,1 miljoen EURO, daalden van 4,9 miljoen EURO in 2012 tot 4,0 miljoen EURO per 31 december 2013. De handelsschulden daalden eveneens van 11,9 miljoen in 2012 tot 8,9 miljoen EURO in 2013, mede dankzij de afboeking van IPR-voorzieningen. De financiële schulden zijn toegenomen tot 8,1 miljoen EURO ten gevolge van de uitgifte van de converteerbare obligatielening op jaareinde gewaardeerd tegen nettowaarde.
  • Aan het einde van het eerste kwartaal van 2013 verzekerde Option zich van 9,0 miljoen EURO via de uitgifte van een converteerbare obligatie. Deze werd onderschreven door vijf partners: de Vlaamse Investeringsmaatschappij PMV voor 2,0 miljoen EURO, Athos Investments voor 1,0 miljoen EURO, Life Science Research Partners voor 0,5 miljoen EURO, Mondo N.V. voor 0,5 miljoen EURO en Jan Callewaert voor 5,0 miljoen EURO.
  • De converteerbare obligatie heeft een looptijd van 5 jaar en loopt af in maart 2018. De obligaties kunnen worden geconverteerd in 31.034.483 nieuwe aandelen van Option N.V. De converteerbare obligatie heeft een jaarlijkse interest van 5% met een initiële conversieprijs van 0,285 EURO, wat de gemiddelde prijs van het aandeel was gedurende de 30 dagen voorafgaand aan de uitgifte van de converteerbare obligatie.
  • Option genereerde een negatieve cashflow uit haar bedrijfsactiviteiten tijdens het volledige boekjaar 2013, die de liquiditeit en de algemene financiële positie van de Groep onder druk zet en doet afnemen.
  • Indien de totale inkomsten in de nabije toekomst niet versneld kunnen worden gegenereerd, dan zal de onderneming geconfronteerd worden met verdere liquiditeitsproblemen die de continuïteit in het gedrang zullen brengen. Bovendien, als een gevolg van de hierboven beschreven geleden verliezen in 2013, is op korte termijn bijkomende financiering nodig om deze verliezen te financieren.

Option rapporteert resultaten van het volledige jaar 2013

Leuven, Belgium – March 13, 2014 Option N.V. (EURONEXT Brussels: OPTI; OTC: OPNVY), a global leader in wireless connectivity, security and experience, today announced its results for the full fiscal year ended December 31, 2013. The financial information reported in this release is presented in Euros and has been prepared in accordance with the recognition and measurement criteria of IFRS as adopted by the European Union. The accounting policies and methods of computation followed in the attached financial statements are the same as those followed in the most recent annual financial statements.

Business Update

  • In the last few years Option has been transformed into a company executing a new business model targeting the big “Internet of Things” market opportunity. Option starts with a clean sheet, has kept in house all core competences acquired over the years and has the ambition to become a global player again in the enterprise-grade “Intelligent Gateway” solutions market’. As such during 2013 Option further evolved from a B2C to a B2B model focused on the Machine to Machine (M2M) market.
  • In 2013, the sales focus has been to increase Option’s geographical reach in the M2M market. In the geographical markets of Europe, North America, Latin America and Asia Pacific, the sales focus has been directed at 5 key market segments:
      • Utilities
      • Industrial Telematics
      • Environmental monitoring
      • Secure Financial transactions
      • General connectivity
  • The development focus for CloudGate has been directed at two areas. The first focus was to enrich the product offering by developing extension cards and by improving the application scope of the software platform in key market segments. This resulted in the launch of several additional expansion cards, the deployment of CloudGate Universe, Option’s cloud based platform, and added support for the most important industrial protocols. The second focus was on the expansion of the eco-system by increasing the types of supported devices (sensors, industrial assets, etc.) and by supporting the major third party applications in the M2M space allowing Option’s customers to fully leverage the versatility of the CloudGate platform.
  • In the M2M market, the sales cycles are typically long with lengthy pilot programs before final acceptance. This shows the importance that customers place on reliability and product quality when selecting an M2M gateway and this plays directly to Option’s strengths as a company.  Following final acceptance existing customers generate repeat sales with healthy margins for years to come. 
  • To minimize strain on the company’s financial resources, the cost structure of the organization was further reduced while preserving the company’s core competences.
  • The new business environment is characterized by lower volumes and fewer channels.  Therefore, the logistical organization has been simplified by transferring operations from Cork, Ireland to Leuven, Belgium.
  • In August 2013 Christine Pollie joined as the CFO of the company and in October 2013 Frank Deschuytere was appointed as Option’s CEO while Jan Callewaert was named Executive Chairman. The new executive team will continue to implement the company’s strategy of becoming a leading player in the buoying M2M market worldwide

Financial Highlights of the full fiscal year 2013

  • Total revenues for the full year 2013 were EUR 9.4 million compared with EUR 40.8 million realized in 2012. Product related revenues decreased from EUR 13.1 million to EUR 9.2 million, while software and license revenue decreased from EUR 27.7 million to EUR 0.2 million. Due to the expiration of the license agreement with Huawei, there are no more revenues reported in 2013 under this agreement (2012: EUR 27.0 million of revenues for the full year).
  • Gross margin for the full year 2013 was 35.9% on total revenues, compared with a gross margin of 63.4 % for the comparable period in 2012 which was positively impacted by the revenue received from the license agreement with Huawei.
  • Compared to the full year 2012, total operating expenses for 2013 decreased from EUR 22.3 million to EUR 14.4 million as a result of downsizing the Group, additional savings and a correction on the incentives received from the Belgian government agency for salaries of research personnel. The normalized operating expenses amount to EUR 16.8 million for 2013 compared to EUR 26.0 million in 2012. The one-offs for 2013 generated some extra income such as recovered professional taxes (EUR 0.5 million) and reversal of IPR (EUR 3.2 million - against 7.3 million in 2012). The one-offs as cost are redundancy and restructuring costs (EUR 1.2 million) and impairment on R&D (EUR 0.1 million – against 3.6 million in 2012).
  • Financial costs increased significantly, mainly due to the interests to be paid on the convertible bond that was issued at the end of the first quarter 2013.
  • The 2013 EBIT and net result amounted to respectively EUR (11.1) million and EUR (11.7) million compared to EUR 3.6 million and EUR 3.4 million during the corresponding period 2012.
  • The Group’s balance sheet includes EUR 1.6 million in cash. The trade and other receivable position decreased from EUR 3.2 million to EUR 1.3 million and the inventory levels from EUR 4.0 million to EUR 3.4 million by the end of 2013. The intangible assets, impacted by a negative impairment of EUR 0.1 million, decreased from EUR 4.9 million in 2012 to EUR 4.0 million in 2013. The trade and other payable position decreased to EUR 8.9 million in 2013 from EUR 11.9 million by lowering our IPR accrual. The financial debt increased to EUR 8.1 million due to the issue of the convertible bond recognized at net present value.
  • At the end of the first quarter 2013, Option secured EUR 9.0 million via the issue of a convertible bond. The funding was subscribed by 5 partners: the Flemish investment company PMV for EUR 2.0 million, Athos Investments for EUR 1.0 million, Life Science Research Partners for EUR 0.5 million, Mondo N.V. for EUR 0.5 million and Jan Callewaert for EUR 5.0 million.
  • The convertible bond has a term of 5 years and matures in March 2018. The bonds can be converted into 31,034,483 new shares of Option N.V. The convertible bond has an annual interest rate of 5% with an initial conversion price of EUR 0.285 which is the average share price during the 30 days prior to the issuing of the convertible bond.
  • Option has generated a negative cash flow from operations during the full year 2013, putting pressure and reducing the group’s liquidity and overall financial position.

Option reports full year 2013 results

Two Option partners will demonstrate industry solutions where CloudGate is a main part of.

Smith Micro’s demonstration will be focused on offering WiFi access in taxi cabs in its current form but flexible enough to adapt to other use cases. Taxi cab companies should be receptive to those new service offerings because they face a growing threat from companies promoting and providing customers with easy online ordering/dispatching services.

There is a public demo of Smiths Micro application in the Open Mobile Alliance partner event on Wednesday, 26 February 2014, at 15:00h, in Hall 8.0 Theatre District.

DCN (or DeviceCloudNetworks) will have a demo set up with CloudGate using IP based Wi-Fi cameras as the end point. At this point, DCN will set up CloudGate and the cameras in their US office and show their capabilities via web device at the show in Barcelona (Spain). Intelligent and flexible M2M gateway, CloudGate, key building block of ‘Belgacom m2m factory’ solution

SPLITSING VAN DE AANDELEN

Leuven, België, 19 april 2006 - De Buitengewone Algemene Vergadering van aandeelhouders van Option NV (Euronext: OPTI; OPNVY) die plaatsvond op woensdag 19 april 2006, heeft alle voorstellen tot wijzigingen van de statuten goedgekeurd, waaronder de splitsing in 4 van de aandelen van de vennootschap.

Het kapitaal van de vennootschap is aldus vertegenwoordigd door 41.249.296 aandelen. De gesplitste aandelen zullen vanaf maandag 24 april 2006 genoteerd worden op de gereglementeerde markt ‘Eurolist by Euronext Brussels’ onder de code BE0003836534.

Gezien de aandelen Option enkel in gedematerialiseerde vorm bestaan op effectenrekening, zullen alle aandeelhouders automatisch worden erkend van de hen toekomende gesplitste aandelen.

De financiële dienst van de aandelen Option wordt verzorgd door Fortis Bank.

Deze omwisseling zal kosteloos worden uitgevoerd voor de aandeelhouders die hun aandelen aanhouden onder effectenrekening bij Fortis Bank. DIVISION DES ACTIONS

STOCK SPLIT

The Extraordinary General Shareholders Meeting of Option NV (Euronext: OPTI; OPNVY) which took place on Wednesday April 19, 2006 has approved all amendments to its by-laws suggested by the Board of Directors and so, amongst others, a four-for-one split of the Company’s common stock.

The capital of the company is represented by 41.249.296 shares. The shares after the split will be listed on the exchange ‘Eurolist by Euronext Brussels’ under the code BE0003836534 as of Monday April 24, 2006.

Due to the fact that the Option shares only exist in dematerialised form on a security account, all shareholders will automatically receive four new shares after the split for every outstanding share.

The financial services of the Option shares are handled by Fortis Bank.

This transaction will be free of charge for shareholders holding their shares on a security account from Fortis Bank. The shareholders holding their shares on security accounts from other financial services should check with their respective financial services for eventual costs that may be charged.

Leuven - Belgium, January 19, 2006 - Option N.V. (Euronext: OPTI, OTC: OPNVY), the wireless technology company, today announced that Mr. Lawrence M. Levy and Mr. Jan Loeber have agreed to join its Board of Directors, as new members, expanding the company’s board size from four to six.

Final appointment of the new directors will be subject to vote at the annual meeting of shareholders to be held on Friday March 31, 2006. Mr. Levy will act as a non-independent member, whilst Mr. Loeber’s future mandate will have the status of an independent Board member.

Jan Callewaert, CEO Option: “The Board of Directors is pleased to welcome Lawrence and Jan. Our Company will benefit from their extensive experience in international business and finance while working with high growth companies in the telecom industry. Mr. Lawrence Levy, 67, has been, and continues as, Senior Counsel at Brown Rudnick Berlack Israels LLP. For more than 30 years before that, Mr. Levy had been a partner at Brown Rudnick, specializing in Corporate and Securities Law. Since 1998, Mr. Levy has divided his time between Brown Rudnick’s Boston and London offices, dealing with cross-border issues and transactions for the firm’s clients. Mr. Levy is also a Director of Hologic, Inc., (Nasdaq: HOLX), located in Bedford, Massachusetts. Mr. Levy received a B.A. from Yale University and a LLB from Harvard Law School.

Mr. Jan Loeber, 62, is a member of the Board of Directors of Tele2 (TEL2_A.ST) in Sweden, an advisor to the CEO of Interxion, BV in The Netherlands and Chairman of Newfound Comm (Boston) and Vino Via (NL). Previously Mr. Loeber held leadership positions at a number of companies as the founding Managing Director of GTS Carrier Services (later Ebone) in Brussels, Managing Director of Bankers Trust's Global Telecom Merchant Banking Group, founding Managing Director of Unitel (merged with Mercury one-2-one and acquired by T-Mobile) in London and Group President of Nokia Americas. He has also held other senior management positions at ITT Europe in Brussels and at AT&T (Bell Laboratories) in New Jersey. Mr. Loeber received his B.S. in Physics from Michigan Technological University and his M.S. in business administration from George Washington University.

+ Board of directors

The articles of association stipulate that the Board of Directors is composed of a minimum of three and a maximum of nine members, who are appointed by the general shareholders meeting for a maximum period of six years. The Board of Directors has to contain at least three independent directors.

The Board of Directors is currently composed of four members, namely: Eric Van Zele (Chairman of the Board of Directors), Raju Dandu,  Martine Reynaers and Paul Matthijs.

Eric Van Zele

Mr. Eric Van Zele currently serves as Chairman of Reynaers Aluminium and Crescent NV. He was recently appointed chairman of the E17 network of hospitals and of the Hermes decision committee of The Flemish agency for Innovation and entrepreneurship. He continues to serve as a director of Barco NV. Prior to his current mandates Eric served as president and CEO of Barco NV in Kortrijk from 2009 thru 2016. He served as CEO of Pauwels International (from 2004 thru 2008) and of Telindus nv (2000 thru 2003). Prior to that, he served as Vice President of Raychem Corporation in Menlo park, CA, USA and as Managing Director of Raychem nv in Leuven, Belgium. (1972 thru 1999). He was nominated “Manager of the Year in 2012” and “ICT Personality of 2013”. Eric holds a masters degree in electrical and mechanical engineering from the KUL in Leuven (1972) and postgraduate degrees in management from Stanford University (1992 CA, USA).

 

Raju Dandu

Mr. Raju S. Dandu is the Founder-Chairman of Danlaw Inc. USA. He is also the Managing Director of Danlaw Technologies India Ltd. He is responsible for strategic planning and corporate management of both companies. Prior to founding Danlaw Inc., he held positions at the University of Iowa hospitals, Ford Motor Company, Dana Corporation and worked as an independent consultant at General Motors.  He holds a bachelors’ degree in electronics engineering from Kakinada, India, a masters in electronics from University of Iowa and an MBA from University of Detroit.

 

Martine Reynaers

In 1980, Martine started her career as Financial Analyst of Technicon in Paris, a subsidiary of the
American Revlon Group.
In 1982, she was appointed Financial Manager of Wexal International Ltd, an aluminium extrusion
company in Enniscorthy, Ireland.
In 1983, she moved to the Reynaers headquarters in Belgium, where she took up the position of
Financial Manager. From 1986 onwards, Martine has been the Managing Director of Reynaers until
June 2021 when she will retire from this position and take on the role of Chair of the Board.

 

Paul Matthijs

Next to holding several non-executive advisory positions, Paul Matthijs is COO of Vlerick Business School.  Prior to this, Paul Matthijs  was  CEO of Niko until 2019 and held several senior executive positions in R&D, product management and general management in the Medical Imaging and Entertainment division and the Retail and Advertising Venture of Barco. Mr. Matthijs' career at Barco spanned over 30 years.  He holds a Master’s degree in Electronic Engineering and an MBA from the Vlerick Business School.
