  • Despite difficult market conditions, with the Covid pandemic in particular slowing down revenue and results from product sales, EBITDA rose to EUR 0.4 million, a slight improvement on 2019 (EUR 0 million)

Despite slightly lower sales, EBITDA increased slightly compared to 2019 due to improved gross margin and additional cost savings.

The services division confirmed its strong results in 2020, and was able to improve both sales and EBITDA. It therefore remains the largest contributor to Group results.

At the same time, it has invested in the development of new software integration activities, the impact of which on sales should only become visible as of 2021.

 

The solutions division has been slightly more affected by the corona crisis. At Crescent NV, the impact on sales has been cushioned by the marketing of the "Safe distance by Option" solution on the one hand (sales of EUR 0.5 million) and by cost reduction measures on the other hand. Option's IoT solution was retained by a number of customers, however, the implementation of these projects was postponed in a number of cases, delaying the revenues.

 

Sales in the Lighting division remained almost flat, the improvement to positive EBITDA is due to better gross margin and cost reductions.

Within the corona government measures in place in Belgium and the Netherlands, EUR 0.2 million of capital payments on financial debts were suspended and EUR 0.3 million of payments on taxes and social debts were postponed.

 

Outlook

 

In 2020, Crescent took important steps to complete its turnaround through obtention of additional software competencies and sensor technology; market conditions prevented these from being reflected in sales and results already in 2020.

The economic recovery is just around the corner, and it should allow the group to prove that it can indeed make the positive difference.

Ondanks de licht lagere omzet, is de EBITDA in vergelijking met 2019 licht gestegen door een verbeterde brutomarge en bijkomende kostenbesparingen.

 

Bijzondere waardeverminderingen op immateriële vaste activa en op goodwill hebben het verlies met 3mio€ verslechterd.

De services divisie heeft in 2020 haar sterke resultaten bevestigd, en zowel omzet als EBITDA kunnen verbeteren. Zij blijft daarmee de grootste bijdrager in de groepsreultaten.

Terzelfdertijd heeft zij geïnvesteerd in de uitbouw van nieuwe software integratie activititeiten maar waarvan de impact in omzet pas vanaf 2021 zou moeten zichtbaar worden.

 

De solutions divisie heeft iets meer impact ondervonden van de coronacrisis. Bij Crescent NV is de impact op de omzet opgevangen door het vermarkten van de ‘Safe distance by Option’ oplossing enerzijds (omzet van 0.5 miljoen EUR) en door kostenbesparende maatregelen anderzijds. De IoT oplissing van Option werd door een aantal klanten weerhouden, evenwel is de implementatie van deze projecten in een aantal gevallen uitgesteld zodat omzet hieruit vertraagd is en doorgeschoven naar volgende jaren.

 

De omzet van de Lighting divisie is nagenoeg gelijk gebleven,  de verbetering naar positieve EBITDA is een gevolg van een betere bruto-magre en kostenbesparingen.

Het netto werkkapitaal daalde met 1.6 miljoen EUR, voornamelijk door de daling van de voorraden met 0.2 miljoen EUR, de daling van de handels- en overige vorderingen met 0.9 miljoen EUR en de stijging van handels-en overige schulden met 0.3 miljoen EUR.

 

 

 

 

Binnen de geldende corona-overheidsmaatregelen in België en Nederland werden voor 0.2 miljoen EUR kapitaalsaflossingen van financiële schulden opgeschort en 0.3 miljoen EUR betalingen aan belastingen en sociale schulden uitgesteld.

 

Vooruitzichten

 

In 2020 werden door Crescent belangrijke stappen gezet om haar turnaround te vervolledigen via verwerving van additionele software competenties en sensorentechnologie; marktomstandigheden hebben verhinderd dat deze reeds in 2020 tot uiting kwamen in omzet en resultaten.

De economische relance staat voor de deur, en deze zou de groep moeten toelaten om te bewijzen dat zij wel degelijk het positieve verschil kan maken.

Digi-Key Electronics selecteert Option’s SafeDistance oplossing

 

Leuven, Belgium – April 16, 2021 – 7h30 - Crescent (EURONEXT: OPTI) Crescent (EURONEXT: OPTI) kondigde aan dat Digi-Key, 's werelds grootste distributeur van elektronische componenten, de GDPR-conforme SafeDistance-oplossing van Option heeft geselecteerd voor alle werknemers in hun productdistributiecentrum (PDC). In de eerste twee weken van de implementatie van de SafeDistance-oplossing zijn meer dan 2.500 actieve badges voor werknemers online gegaan.

 

Het project werd uitgerold in samenwerking met Option's USA-partner GetWireless.

 

De SafeDistance-oplossing werkt met een badge die elke individuele werknemer krijgt. De badges communiceren draadloos met elkaar met datatransfer naar een cloudplatform dat informatie over het traceren van contacten kan bijhouden en de nauwkeurigheid en efficiëntie van de noodzakelijke quarantaineprocedures kan verbeteren.

 

Aangezien de COVID-19 pandemie wereldwijd blijft voortduren, met onverwachte uitbraken en pieken in verschillende regio's op verschillende tijdstippen, maakt de SafeDistance-oplossing van Option het mogelijk om het aantal werknemers dat in quarantaine moet omwille van een mogelijke COVID-19 blootstelling aanzienlijk te verminderen door het nauwkeurig uitvoeren van procedures voor het traceren van contacten en zo een volledige operationele shut-down te vermijden omdat men niet weet wie er mogelijk besmet is.

 

Digi-Key verkoos de SafeDistance-oplossing van Option omdat ze de snelste oplossing is om te integreren in haar bestaande infrastructuur zonder aanzienlijke investeringen, en omdat ze tussen alle oplossingen die op de markt beschikbaar zijn, de beste privacy voor werknemers biedt.

Door de lange levensduur van de batterij in de badge wordt het aantal oplaadbeurten beperkt tot één per week; een regelmaat die door werknemers als niet te veeleisend wordt ervaren.

Digi-Key Electronics selects Option’s SafeDistance Solution

 

Leuven, Belgium – April 16 , 2021 – 7h30 - Crescent (EURONEXT: OPTI) announced that Digi-Key, the world's largest electronic component distributor, selected Option’s GDPR compliant SafeDistance solution for all employees in their product distribution center (PDC) with more than 2,500 active employee badges online in the first two weeks of the safe distance solution deployment.

 

The project was rolled out together with Option's USA partner, GetWireless.

 

The SafeDistance solution works through a badge that each individual employee is issued. The badges interact wirelessly with one another and feed to a cloud platform which can maintain contact tracing information and improve the accuracy and efficiency of necessary quarantine procedures.

 

As the COVID-19 pandemic continues worldwide, with unexpected spikes and surges in different regions at different times, Option’s SafeDistance solution enables to significantly cut down on the number of employees quarantining due to a potential COVID-19 exposure by accurately performing contact tracing procedures avoiding a complete operational shut-down by not knowing who might be affected.

Digi-Key chose Option's SafeDistance solution because it was the quickest to integrate into its existing infrastructure without significant capital investment and because it offered the best privacy for employees among all the solutions available on the market.

The long battery life of the badge limits the number of recharges to one per week; a regularity not perceived as too demanding by employees.

 

Digi-Key recognized the strength and flexibility of Option's solution which rests on two pillars - WMW's cloud-based platform with apps and data registrars and Option's CloudGate IoT gateway with superior wireless LoRaWAN performance; both core building blocks for successful digital transformations.

The issue price of 0.0312174 EUR was established within the 30-trading-day price period following the issue of the first put option to LDA Capital based on 90% of the average of the VWAPs in this Price Period and in accordance with the terms of the capital commitment agreement with LDA Capital.

 

Upon completion of this capital increase and the issuance of 32,500,000 new shares, Crescent's total capital as of March 18, 2021 is EUR 11,096,613.52. The capital is represented by 1,646,439,345 fully paid ordinary shares (=the denominator) as of the same date. There are no preference shares. Each of these shares gives one voting right at the General Meeting and these shares therefore represent the denominator for the purposes of transparency regulations (i.e., notifications in the event of reaching, exceeding, or falling below the statutory or legal thresholds).

 

In addition to the statutory thresholds, Crescent's articles of association, in application of Article 18, §1 of the Transparency Act, provide for an additional statutory threshold of 3%.

 

A further 28,000,000 warrants have been issued which, if exercised, entitle the holder to one share each. Holders of warrants only have a consultative vote at the General Meeting of Shareholders.

Openbaarmaking met toepassing van artikel 15 van de Wet van 2 mei 2007 (de Transparantiewet) 

 

Leuven, België – 23 maart 2021 – 18u00, Crescent NV, Gaston Geenslaan 14, 3001 Heverlee (Euronext Brussels: OPTI) Het maatschappelijk kapitaal van de vennootschap werd op 18 maart 2021 verhoogd met 1.014.566 EUR door inschrijving op 32.500.000 aandelen door LDA Capital. De uitgifteprijs van 0,0312174 EUR kwam tot stand binnen de prijsperiode van 30 handelsdagen na de uitgifte van de eerste putoptie aan LDA Capital op basis van 901% het gemiddelde van de VWAP's in deze Prijsperiode en in overeenstemming met de bepalingen van de kapitaalverbintenisovereenkomst met LDA Capital.

 

Na voltooiing van deze kapitaalverhoging en de uitgifte van 32.500.000 nieuwe aandelen bedraagt het totale kapitaal van Crescent sinds 18 maart 2021 11.096.613,52 EUR. Het kapitaal wordt vanaf diezelfde datum vertegenwoordigd door 1.646.439.345 volledig volgestorte gewone aandelen (=de noemer). Er zijn geen bevoorrechte aandelen. Elk van deze aandelen verleent één stemrecht op de Algemene Vergadering en deze aandelen vertegenwoordigen dus de noemer voor doeleinden van kennisgevingen in het kader van de transparantiereglementering (i.e. kennisgevingen ingeval van het bereiken, overschrijden of onderschrijden van de statutaire of wettelijke drempels).

 

Naast de wettelijke drempels, voorzien de statuten van Crescent, in toepassing van artikel 18, §1 van de Transparantiewet, een bijkomende statutaire drempel van 3%.

Crescent NV en Remoticom BV gaan strategisch samenwerken.

Leuven, 9 maart, 2021 – 18u30 CET - CRESCENT NV (Euronext Brussel: OPTI)  De strategische samenwerking van Crescent en Remoticom vormt de basis voor een sterke internationale expansie om aan de toenemende vraag naar geïntegreerde oplossingen voor Smart Lighting, Smart City, Smart Building en Smart Industrie oplossingen te voldoen.

Hierdoor ontstaat een integraal productportfolio van sensoren welke gecombineerd kunnen worden met een diversiteit aan communicatie oplossingen voor zowel de cellulaire als de non-cellulaire netwerken. Sale of UEST NV to VAN ZELE HOLDING NV

 

Leuven, February 23, 2021 – 19h15 CET - CRESCENT NV (Euronext Brussels: OPTI), CRESCENT NV sold 100% shares of UEST NV to VAN ZELE HOLDING NV (VZH) on December 28, 2020 for 1 EUR (equity value), which is the same value as the original purchase price in 2019.

VZH is director and reference shareholder in CRESCENT NV, and for this reason has a possible conflicting interest of a patrimonial nature in the transaction. The legally required procedures in application of the conflict of interest regulation were respected.

UEST NV has been sold in the condition it is in, of which VZH is aware, including the need to restore the working capital estimated at 200,000 EUR. VZH is also aware that an additional significant investment is required to update the hardware and software platform.

CRESCENT does not consider the activities of UEST as strategic, and prefers to focus its investments on developments in smart city and smart industry applications.

The committee of independent directors, in its advice to the Board of Directors, concludes that after evaluating the available information, in particular the reports of Finvision as an independent expert dated December 2, 2020, the proposed transaction does not involve any apparent prejudice to the Company. It recommends that the Board of Directors approves this transaction.

Verkoop UEST NV aan VAN ZELE HOLDING NV

 

Leuven, 23 februari, 2021 – 19u15 CET - CRESCENT NV (Euronext Brussel: OPTI), CRESCENT NV heeft op 28 december 2020 100% aandelen van UEST NV verkocht aan VAN ZELE HOLDING NV (VZH) voor 1  EUR (equity value), wat dezelfde waarde is als de oorspronkelijke aankoopprijs in 2019.

VZH is bestuurder en referentie aandeelhouder in CRESCENT NV, en heeft om deze reden een mogelijk strijdig belang van vermogensrechtelijke aard bij de transactie. De wettelijk vereiste procedures in toepassing van de belangenconflictenregeling werden gerespecteerd.

UEST NV is verkocht in de toestand waarin het zich bevindt, waarvan VZH op de hoogte is, inclusief de nood tot herstel van het werkkapitaal geraamd op 200.000 EUR. VZH is eveneens op de hoogte dat een bijkomende significante investering vereist is voor het updaten van de hardware en het softwareplatform.

CRESCENT beschouwt de activiteiten van UEST niet als strategisch, en verkiest haar investeringen te richten op ontwikkelingen in smart city en industrie toepassingen.

Het comité van onafhankelijke bestuurders besluit in haar advies aan de Raad van Bestuur dat na evaluatie van de beschikbare informatie, met in het bijzonder de verslagen van Finvision als onafhankelijke expert van 2 december 2020, de voorgestelde transactie geen kennelijke benadeling van de Vennootschap met zich brengt. Zij adviseert de Raad van Bestuur om deze transactie goed te keuren.

Crescent Business Update

 

Leuven, February 12, 2021 – 7h30 CET - CRESCENT NV (Euronext Brussels: OPTI), Crescent today announces that it has developed and sold Lora based sensors and gateways for leak detection and valve control to GreenField Direct LLC (US).

 

This integrated IoT solution enables its customer to do leak detection and remote valve control in “high-rise” buildings aimed at preventing flooding while taking preventive action when water leaks are detected.

The value of the project is expected to exceed 1,5M€ in 2021.

 

Crescent further announces that it anticipates its operational results for 2020 to be very similar to those obtained in 2019 albeit with slightly better Ebitda contributions and despite substantial COVID-19 related delays and postponements of several projects.

 

Finally, Crescent announces the sale of its UEST venture to Van Zele Holding NV thereby reducing the financial debt burden on its balance sheet by 450.000 EUR. The latter divestment is part of an increased strategic focus on smart city and industrial markets and applications.

Crescent Business Update

 

Leuven, 12 februari 2021 – 7u30 CET - CRESCENT NV (Euronext Brussel: OPTI) Crescent maakt vandaag bekend dat het op Lora gebaseerde sensoren en gateways voor lekdetectie en klepbediening heeft ontwikkeld en verkocht aan GreenField Direct LLC (VS).

Deze geïntegreerde IoT-oplossing stelt haar klant in staat om lekdetectie en klepbediening op afstand uit te voeren in "high-rise" gebouwen met als doel waterschade te voorkomen en tegelijkertijd preventieve acties te ondernemen wanneer waterlekken worden gedetecteerd.

De waarde van het project zal naar verwachting meer dan 1,5 miljoen euro bedragen in 2021.

 

Crescent kondigt verder aan dat zij verwacht dat haar operationele resultaten voor 2020 zeer vergelijkbaar zullen zijn met die van 2019, zij het met iets betere Ebitda-bijdragen en ondanks aanzienlijke COVID-19 gerelateerde vertragingen en uitstel van verschillende projecten.

 

Tot slot kondigt Crescent de verkoop aan van haar UEST venture aan Van Zele Holding NV, waardoor de financiële schuldenlast op haar balans met 450.000 EUR vermindert. Deze laatste desinvestering kadert in een verhoogde strategische focus op smart city en smart industriële markten en toepassingen.

In accordance with the requirements of the current legislation on the disclosure of major participations in issuers of which shares are admitted to trading on a ‘regulated market’, are any natural or legal person who, directly or indirectly, acquire or resign shares or other voting granting financial instruments of the company, whether or not they represent capital, compulsory by the law applicable at that time, are obliged to inform both the Company and  the FSMA of the number of financial instruments owned as well as the percentage of existing voting rights whenever the voting rights are attached to these financial instruments reach a first time three percent (3%) and then five percent (5%) or a multiple of five percent (5%), exceed or fall below such percentage. CloudGate, ‘s werelds best configureerbare intelligente 3G M2M gateway biedt Ethernet, Wi-Fi en seriële RS-232 in een kostenefficiënt M2M platform  

LEUVEN, België – 25 september 2013Option (EURONEXT Brussel: OPTI; OTC: OPNVY), het bedrijf dat staat voor ‘Connecting Things to the Internet’, maakt vandaag bekend dat de Cloudgate M2M 3G gateway deel uitmaakt van het innovatieve systeem van GPS4Hire voor het monitoren van brandstof in tankwagens. Cloudgate zorgt via een 3G-connectie voor de verbinding tussen de brandstofmeters en het GPS4Hire-platform. Zo hebben brandstofdistributeurs real-time toegang tot operationele data van hun voertuigen, de leveringsstatus, en de nog beschikbare brandstof in de tank. Door het inzetten van Option's CloudGate 3G M2M gateway heeft GPS4Hire het toepassingsveld voor de integratie van M2M verder vergroot. De data afkomstig van de voertuigen wordt naar de CloudGate verzonden via WiFi afkomstig van een adapter die verbonden is met het voertuig. De instrumenten van de brandstoftank zijn verbonden via een RS-232 seriële kabel.

CloudGate is een M2M oplossing die bestaat uit een intelligente M2M 3G gateway, een open M2M ontwikkelingsomgeving voor applicaties en een cloudgebaseerde provisioning service. Het komt zo tegemoet aan de noden in de markt voor een robuust en veilig routing platform dat over veel functies beschikt en dat op het terrein klanten nooit in de steek zal laten.

M2M connection to touch 450 million by 2018

According to ABI Research, cellular M2M connections are set to reach over 450 million by 2018. Europe dragged down worldwide connection growth in 2011 and 2012, but with improving world economics connection growth will accelerate to a CAGR of 26% through 2018.

Practice director, Dan Shey,  said: “The market for M2M connections can be classified as very competitive to hyper-competitive depending on the country, As a result, connection ARPUs have declined dramatically over the last two years as operators fight for M2M business.”

According to the research report, Contributing to the pain of declining ARPUs has been slower than expected migration to 3G and 4G technologies which offer better margins per megabit of traffic. Over 70% of cellular M2M connections were on 2G networks in 2012. Connection traffic and application needs have not grown enough to require 3G and 4G connections. But another reason is disparity in M2M module pricing – 3G and 4G cellular modules are over 2 times and 6 times more expensive than 2G modules.

Mr. Shey, added: “While connection revenues are important, the money in the M2M market is in value added services – applications, systems integration, big data and analytics. Operators dedicated to the M2M market are aggressively moving up the stack and either adding services or partnering to grow their share of the M2M pie.”

The financial information reported in this release is presented in Euros and has been prepared in accordance with the recognition and measurement criteria of IFRS as adopted by the European Union. Business Update

Option started a new business model focused on the M2M market which is expected to grow in the coming years as the vision of the ‘Internet of Things’ gradually becomes reality.

With CloudGate Option targets niche and specialised markets that are less volume driven and more focused on added value, local presence, services and product related features, both soft- and hardware, that allow it to be better adapted for the targeted segment or application.

In contrast to competing products, CloudGate can be easily adapted or expanded to specific use cases and this both on hard- and software level. To this extent Option has, using the experience it has gained in developing previous products, developed an end to end M2M application development and deployment system. The CloudGate solution includes a Cloud based application and configuration provisioning system and a stable, reliable routing platform with a sophisticated software development kit. The routing platform is based on an open source platform with proprietary extensions and a full automated test suite that allows Option to quickly extend the platform to meet customer needs while maintaining a very high level of quality; indispensible in a market where devices are deployed to remote, inaccessible locations. The CloudGate hardware incorporates flexible hardware expansion card bays which allow the CloudGate hardware to adapt to multiple different M2M segments.

From a hardware perspective CloudGate offers an important expansion possibility to its users. This allows users to transform the product into a more versatile solution that can be used for digital signage applications (when combined with the Ethernet expansion card), for different telematics use cases (when combined with the telematics expansion card), in a WiFi environment (when combined with the WiFi expansion card), etc...

The software and hardware expandability allows the user to transform and adapt the basic product very easily and to tailor-make a truly optimised solution.

Furthermore, the product differentiates by its ease of deployment particularly in environments where custom software needs to run on the CloudGate. These types of solutions are becoming more and more prevalent as M2M applications generate large amounts of data which requires pre-processing before being sent to remote systems.  Because of its high degree of adaptability, CloudGate is sold through various channels and in collaboration with different partners including; network operators, system integrators, value added resellers, value add distributors, equipment manufacturers and others.

CloudGate was first introduced in the US market.  Since the product launch, Option has announced partnerships with distributors (e.g. GetWireless), leading US System Integrators and developers (such as ILS, ClearConnex, Exosite, Hilton Development Group, and many others).  Via this partner network CloudGate has been introduced as a part of a number of M2M partner solutions and sales of CloudGate have continued to increase. Option has received positive feedback on the product and it continues to work on further expanding the ecosystem to secure a good market coverage and presence in the different M2M segments. With Cloud Gate Option is competing for some of the existing and new projects in the U.S. M2M market.

Leveraging its in-depth technical and telecom market knowledge, Option has been able to have CloudGate certified with the leading carriers in North America, including AT&T, Verizon, Sprint, T-Mobile, Telus and Bell Mobility. The product is also compliant with FCC, PTCRB, IC, RoHS and REACH standards.

As Option is a new name in the M2M market, the sales cycle has been longer than anticipated with long pilot programs before final acceptance. While the length of the sales cycle is a challenge it also shows the importance that customers place on reliability and product quality when selecting an M2M gateway and this plays directly to Option’s strengths as a company.

Following demand of different European parties Option started to investigate and develop a European introduction plan for CloudGate in the first half of 2013. The implementation of this plan has started at the beginning of the third quarter. As of now CloudGate is also available in Europe via a number of partners. 

These developments demonstrate that the Group has shifted from commodity hardware devices for mobile operators, towards end-to-end solutions for both business and consumer markets.  The product portfolio is focused on vertical markets such as automotive, financial services, security and surveillance.

In addition to CloudGate, the Company continues to offer other products such as the robust GS3.5 gateway, the XYFI 3G routers with accessories and a variety of embedded modules integrated in laptops, tablets, and different M2M applications.

Financial Highlights of the first half fiscal year 2013

  • Total revenues for the first half year of 2013 were EUR 5.1 million compared with EUR 23.3 million realized in the first half of 2012. Product related revenues decreased from EUR 6.0 million to EUR 4.4 million, while software and license revenue decreased from EUR 17.2 million to EUR 0.7 million. Due to the expiration of the license agreement with Huawei, there are no more revenues reported in 2013 under this agreement (2012: EUR 16.5 million of revenues for the first half year).
  • Gross margin for the first half year 2013 was 34.1 % on total revenues (excluding exceptional items, gross margin was 27.3 %), compared with a gross margin of 75.6 % for the comparable period in 2012 which was positively impacted by the revenue received from license with Huawei.
  • Compared to the first half year 2012, total operating expenses in the first half year 2013 decreased from EUR 14.1 million to EUR 8.7 million by reducing development, sales and marketing costs and general and administrative expenses. The reduction includes incentives received from the Belgian government agency for salaries of research personnel and the downsizing of the group in 2012-2013 (close of the site of Augsburg).
  • The increase in provision is largely accounted for by the redundancy payment paid in July for 10 employees in Cork and totaling EUR 0.3 million.
  • Financial costs increased significantly, mainly due to the interests to be paid on the convertible bond that was issued at the end of the first quarter 2013.
  • The first half year 2013 EBIT and net result amounted to respectively  EUR -7.0 million and EUR  -7.2 million compared with EUR 3.5 million and EUR 3.7 million  during the corresponding period in 2012.
  • The cash position increased from EUR 3.1 million at the end of 2012 to EUR 5.6 million thanks to proceeds from borrowings (convertible bond) of EUR 9.0 million, and use in operating activities of EUR 5.0 million.

Leuven, België – 30 augustus 2013 Option N.V. (EURONEXT Brussels: OPTI; OTC: OPNVY), heeft vandaag haar resultaten bekendgemaakt voor het eerste halfjaar van 2013, eindigend op 30 juni. De resultaten zijn uitgedrukt in euro en werden opgesteld in overeenstemming met de opname- en waarderingsgrondslagen van IFRS zoals aanvaard binnen de Europese Unie. De boekhoudprincipes en waarderingsregels die in de onderstaande financiële rapportering worden gevolgd, zijn dezelfde als deze in de meest recente jaarrekening. De onderneming heeft haar IAS 34 tussentijdse financiële staten bekendgemaakt.

 Business Update

 Option startte een nieuw businessmodel waarbij de focus ligt op de M2M-markt, waarvan verwacht wordt dat deze in de komende jaren zal groeien wanneer de visie ‘Internet of Things’ zich geleidelijk aan concretiseert.

 Met CloudGate mikt Option op niche- en gespecialiseerde marktsegmenten die minder volumegedreven zijn en meer toegespitst op toegevoegde waarde, lokale aanwezigheid, diensten en product gebonden eigenschappen (zowel hard- als software) die ervoor zorgen dat CloudGate beter aangepast kan worden voor het beoogde segment of de gewenste applicatie.

In tegenstelling tot concurrerende producten, kan CloudGate eenvoudig worden aangepast of uitgebreid voor gebruik in specifieke gevallen en dit zowel op het niveau van de hardware als software. Hiervoor heeft Option, gebruikmakend van de ervaring die het heeft opgebouwd bij de ontwikkeling van voorgaande producten een systeem gecreëerd voor de ontwikkeling en de verspreiding van “end-to-end” M2M-applicaties. De CloudGate-oplossing omvat een cloudgebaseerd mechanisme dat zorgt voor de verspreiding (en installatie) van de toepassingen en configuratie (van de CloudGate) en een stabiel, betrouwbaar routing platform met een gesofisticeerde development kit. Het routing platform is gebaseerd op een open source platform met eigen uitbreidingen en een volledig geautomatiseerde testsuite die Option toelaat om het platform snel uit te breiden om tegemoet te komen aan de noden van klanten. Bij de ontwikkeling van dit alles werd rekening gehouden met hoge  kwaliteitseisen, wat een absolute vereiste is in een markt waarbinnen toestellen ingezet worden op ver gelegen en moeilijk bereikbare locaties. De CloudGate hardware biedt ruimte voor flexibele hardware expansiekaarten wat toelaat om de CloudGate hardware aan te passen aan verschillende diverse M2M-segmenten.

Vanuit een hardware-oogpunt biedt CloudGate een belangrijke uitbreidingsmogelijkheid voor zijn gebruikers. Dit laat gebruikers toe om het product te transformeren tot een veelzijdige oplossing die kan worden gebruikt voor digital signage (in combinatie met een Ethernet expansiekaart), voor verschillende telematica toepassingen (in combinatie met de telematica expansiekaart), in een Wifi-omgeving (in combinatie met een Wifi-expansiekaart), enz.… Option heeft tijdens de eerste zes maanden van het jaar verschillende expansiekaarten ontwikkeld waardoor het de potentiële markten die CloudGate kan aanspreken nog gevoelig heeft vergroot.

Daarenboven zorgt de uitbreidbaarheid van zowel de software als de hardware ervoor dat de gebruiker zeer eenvoudig het standaardproduct kan aanpassen en omvormen tot een echt geoptimaliseerde oplossing op maat. Hiervoor werden een ontwikkelingsexpansiekaart en een software development kit ontwikkeld door de Vennootschap.

Voorts, onderscheidt dit product zich door het zeer eenvoudige installatieproces. Dit is in het bijzonder belangrijk in omgevingen waar specifiek aangepaste software moet draaien op CloudGate. Deze types van oplossingen winnen aan belang vermits M2M-applicaties grote hoeveelheden data genereren die eerst lokaal moeten verwerkt worden alvorens ze naar andere afgelegen systemen worden doorgestuurd. Omwille van zijn hoge graad van aanpasbaarheid wordt CloudGate via diverse kanalen en in samenwerking met verschillende partners verkocht, zoals netwerkoperatoren, systeemintegratoren, value added resellers, value add distributeurs, fabrikanten van toestellen en anderen.

CloudGate werd eerst gelanceerd op de markt in de VS. Sinds de productlancering heeft Option partnerships aangekondigd met distributeurs (zoals GetWireless) en toonaangevende systeemintegratoren en ontwikkelaars in de VS (zoals ILS, ClearConnex, Exosite, Hilton Development Group en vele anderen). Via dit partnernetwerk is CloudGate geïntroduceerd in een aantal partner- M2M-oplossingen en is de verkoop van CloudGate blijven groeien. Option kreeg positieve feedback over het product en blijft werken aan de verdere uitbreiding van het ecosysteem om een goede marktdekking en aanwezigheid in de verschillende M2M-segmenten te verzekeren. Met CloudGate is Option in competitie voor sommige bestaande en nieuwe projecten in de VS

Voortbouwend op zijn diepgaande technische kennis en kennis van de telecommarkt is Option erin geslaagd om CloudGate gecertificeerd te krijgen bij toonaangevende operatoren in Noord-Amerika, inclusief AT&T, Verizon, Sprint, T-Mobile, Telus en Bell Mobility. Het product voldoet daarnaast ook aan de FCC, PTCRB, IC, RoHS en REACH standaarden.

Omdat Option een nieuwe naam is binnen de M2M-markt, is de verkoopcyclus langer dan geanticipeerd, met lange pilootprogramma’s vooraleer de finale aanvaarding volgt. Hoewel de duur van de salescyclus een uitdaging is, wijst het ook op het belang dat klanten hechten aan de betrouwbaarheid en productkwaliteit wanneer ze een M2M gateway selecteren en dit speelt in de kaart van Option’s sterktes als bedrijf.

Op vraag van verschillende Europese partijen startte Option met het onderzoeken en ontwikkelen van een Europees introductieplan voor CloudGate in het eerste halfjaar van 2013. De implementatie van dit plan startte in het begin van het derde kwartaal. Vanaf nu is CloudGate ook beschikbaar in Europa via een aantal partners.

Deze ontwikkelingen tonen aan dat de Group evolueerde van standaard hardwaretoestellen voor mobiele operatoren naar “end-to-end” oplossingen voor zowel professionele als consumentenmarkten. De productportfolio is gericht op verticale markten zoals automotive, financiële diensten, beveiliging en bewaking.

Naast CloudGate blijft de Vennootschap ook andere producten aanbieden, zoals de robuuste GS3.5 gateway, de XYFI 3G routers met accessoires en diverse inbouwmodules geïntegreerd in laptops, tablets en verschillende M2M-toepassingen.

Financiële kerncijfers voor het eerste halfjaar van 2013

  • De opbrengsten voor het eerste halfjaar van 2013 bedroegen 5,1 miljoen EURO in vergelijking met 23,3 miljoen EURO tijdens het eerste halfjaar van 2012. De opbrengsten met betrekking tot producten daalden van 6 miljoen EURO in het eerste halfjaar van 2012 naar 4,4 miljoen EURO in dezelfde periode van 2013, terwijl de software en de licentie opbrengsten afnamen van 17,2 miljoen EURO in het eerste halfjaar van 2012 naar 0,7 miljoen EURO in dezelfde periode van 2013. Door het aflopen van de licentie overeenkomst die de Groep had met Huawei Technologies, werd geen opbrengst hiervoor meer gerapporteerd in 2013 (2012: 16,5 miljoen EURO opbrengsten voor het eerste halfjaar).
  • De brutowinstmarge van het eerste halfjaar van 2013 bedroeg 34,1 % (exclusief uitzonderlijke items bedroeg de brutowinstmarge 27,3%) ten opzichte van de opbrengsten in vergelijking met een brutowinstmarge van 75,6 % in de eerste jaarhelft van 2012, die echter een positieve invloed had door de omzet verkregen uit de licentie overeenkomst met Huawei.
  • In vergelijking met de eerste jaarhelft van 2012, daalden de bedrijfskosten van 14,1 miljoen EURO naar 8,7 miljoen EURO, door de inkrimping van de groep, bijkomende kostenbesparingen en correctie op de overheidsstimulans die verkregen wordt van de Belgische overheid voor salarissen van research personeel. De genormaliseerde bedrijfskosten bedragen 9,9 miljoen EUR voor de eerste jaarhelft van 2013 vergeleken met 11,5 miljoen EUR voor dezelfde periode in 2012. In de eenmalige kosten voor 2013 zijn inbegrepen gerecupereerde bedrijfsvoorheffing (1,0 miljoen EUR), opzeggingsvergoedingen (-0,6 miljoen EUR) en de vermindering van de provisies en terugname van waardeverminderingen op voorraad (0,9 miljoen EUR).
  • De toename van de provisie omvat hoofdzakelijk de ontslagvergoedingen voor 10 werknemers in Cork ten bedrage van 0,3 miljoen EURO, die betaald werden in juli.
  •  De belangrijke toename van de financiële kosten is voornamelijk de toerekening van intresten op de converteerbare obligatielening uitgegeven op het einde van het eerste kwartaal 2013.
  •  De EBIT voor het eerste halfjaar van 2013 en het netto resultaat bedroegen respectievelijk -7,0 miljoen EURO en -7,2 miljoen EURO in vergelijking met een EBIT en netto resultaat van respectievelijk 3,5 miljoen EURO en 3,7 miljoen EURO tijdens dezelfde periode vorig jaar.
  • De cashpositie steeg van 3,1 miljoen EURO op jaareinde 2012 naar 5,6 miljoen EURO, en dit als gevolg van enerzijds een negatieve cashflow uit de bedrijfsactiviteiten van 5,0 miljoen EURO en anderzijds de cashflow ontvangsten van 9,0 miljoen EURO uit financieringsactiviteiten (converteerbare obligatie)

LEUVEN, Belgium – August 30, 2013 – Option (EURONEXT Brussels: OPTI; OTC: OPNVY) announces the appointment of Christine Pollie as Chief Financial Officer (CFO) of the Company. She will be responsible for all international financial activities of the Option group, the financial consolidation and reporting of the Company.

Before joining Option Christine Pollie held various financial management posts in public companies across various segments. Previously she worked in senior financial positions for KBC-Almanij (banking), CFE (construction) and GIMV (venture capital). In 2006 she joined Galapagos (biotech) as Senior Finance Group Director. After a short stint at the Luxemburg based Sword Group (IT Services) as CFO of the Services division, she will now be the new CFO of Option. Mrs. Pollie has a degree in Accounting & Tax and obtained a Master in Applied Economics at the University of Antwerp (Belgium).

All of the certifications were achieved with the same Stock Keeping Unit (SKU) of CloudGate.  Designed with the penta-band MDM6600™ chipset by Qualcomm, the same CloudGate unit supports the multiple wireless standards used by the major network operators in North America and can be configured for any desired service provider.  The radio firmware needed for the desired service provider can be designated at the point of installation.  The hardware expansion boards and any custom software for the embedded Linux operating system can also be easily installed at the point of installation providing a true single SKU capability.

M2M VAS market to touch € 10 billion by 2017

IMS research forecast that, the global market for cellular M2M VAS will rise to $10 billion by 2017. The VAS market represents an array of business and technical services that complement managed cellular connectivity and application platform services. These services enable application developers, service providers and corporate adopters to create, deploy and manage cellular M2M applications.

The growth of the VAS market in this area will be driven by the boom in cellular M2M connections. Global M2M cellular connections are expected to rise to 374.9 million by 2017, expanding at a compound annual growth rate (CAGR) of 26.5 percent from 91.4 million in 2011.

Title: The evolution of a Connected Service

The uptake of M2M or connected services in various devices, machines and vehicles is growing steadily and from some 15 years in the business of realizing connected services there are a few learning’s. First of all, many of our customers are launching products with lifecycles of 5-10 years. As the product itself is connected, for example a car, it also means the connected service can constantly evolve, hence the connected service experience in a car should always feel up to date. In a hyper-competitive global market place the lifecycle view is important. Making it easier for customers not only to build a connected service to reduce time to market, but also to efficiently manage and operate the service over time is critical. Finally, ensuring that the service is flexible enough to evolve, as market needs and technology are constantly changing, is equally important.

Let me give a couple of examples, starting with the connected car – within a few years it has moved from basic safety and breakdown assistance services to multiple services both within and outside the car. These include navigation with real time traffic information and weather reports, streaming internet radio and other infotainment services. Pay-as-you-drive insurance schemes, road tolls and remote diagnostics to enable proactive service bookings are other examples of connected services. Additionally, the services are deployed in more and more countries. Hence, the connectivity needs and the services around connected products are drastically changing.

Another example is the home alarm; from being just an SMS transmission in the event of an alarm, it is becoming a communication hub in the home, remotely opening doors, and steering home appliances. Of course, more advanced alarm services can now be offered, such as real-time visuals and updates when your children get home from school.

 Design smart from start

The key to success is to build in a flexible approach in the offering to enable constant fine tuning. The early stages of solution design are important. Designing based on open standards and avoiding technical lock-ins is of course essential if your product is going to be in market for the next 10 years.  Telenor Connexion’s eCAF service based on open standards is providing the means to significantly reduce development cost and communication cost over time, which in turn will make our customers more competitive. This also means we can take an agnostic approach to communication technology.

In addition, as more and more products are going online, hacking attempts are likely to increase. Building in security features, optimized for wireless communication is getting increasingly important and an aspect you should pay full attention to right from start.

Operating connected services across different regions and technologies is increasingly complex and requires end-to-end know-how to ensure the best end-user experience. The task grows naturally over time as volumes are increasing. Lately, more and more customers choose to outsource the entire operations of connected services to fully gain synergies our existing setup of 24/7 global operations with dedicated expertise, who can act proactively, secure functionality and give peace of mind.

Evolve to stay competitive

LEUVEN, Belgium - April 25, 2013 - Option (EURONEXT Brussels: OPTI; OTC: OPNVY) today announced that during the first quarter of 2013 the Company generated revenue of EUR 2.2 million. As reported in previous trading updates, the revenue now reflects the expiration of the Huawei licence agreement.

The ecosystem for CloudGate continues to build up in the United States. Agreements have been signed with additional Application Enablement Platform partners who provide middleware and hosted service platforms. Resellers have taken inventory of the CloudGate and are running marketing campaigns. Customer projects are in the piloting and deployment stages.

In Europe, the ecosystem is starting to build with the commercial launch of CloudGate in the second quarter.

CloudGate enables the Company to address the Machine to Machine (M2M) market which is expected to grow at an average CAGR of 33% to a market size of $ 85 Billion by 2017 according to Machina Research and Markets and Markets.

During the first quarter, EUR 9 million funding was raised via the issue of a convertible bond. The funding was subscribed by 5 partners: the Flemish investment company PMV, Athos Investments, Life Science Research Partners, Mondo and Jan Callewaert. As a cost-reduction measure, it was also decided to close the office in Paris (France) and to further reduce the facility in Cork (Ireland).

The combination of the new funding with further cost reductions and the projected sales of products should allow Option to build out a profitable business focused on B2B and M2M solutions.

Leuven - Belgium, January 19, 2006 - Option N.V. (Euronext: OPTI, OTC: OPNVY), the wireless technology company, today announced that Mr. Lawrence M. Levy and Mr. Jan Loeber have agreed to join its Board of Directors, as new members, expanding the company’s board size from four to six.

Final appointment of the new directors will be subject to vote at the annual meeting of shareholders to be held on Friday March 31, 2006. Mr. Levy will act as a non-independent member, whilst Mr. Loeber’s future mandate will have the status of an independent Board member.

Mr. Lawrence Levy, 67, has been, and continues as, Senior Counsel at Brown Rudnick Berlack Israels LLP. For more than 30 years before that, Mr. Levy had been a partner at Brown Rudnick, specializing in Corporate and Securities Law. Since 1998, Mr. Levy has divided his time between Brown Rudnick’s Boston and London offices, dealing with cross-border issues and transactions for the firm’s clients. Mr. Levy is also a Director of Hologic, Inc., (Nasdaq: HOLX), located in Bedford, Massachusetts. Mr. Levy received a B.A. from Yale University and a LLB from Harvard Law School.

Mr. Jan Loeber, 62, is a member of the Board of Directors of Tele2 (TEL2_A.ST) in Sweden, an advisor to the CEO of Interxion, BV in The Netherlands and Chairman of Newfound Comm (Boston) and Vino Via (NL). Previously Mr. Loeber held leadership positions at a number of companies as the founding Managing Director of GTS Carrier Services (later Ebone) in Brussels, Managing Director of Bankers Trust's Global Telecom Merchant Banking Group, founding Managing Director of Unitel (merged with Mercury one-2-one and acquired by T-Mobile) in London and Group President of Nokia Americas. He has also held other senior management positions at ITT Europe in Brussels and at AT&T (Bell Laboratories) in New Jersey. Mr. Loeber received his B.S. in Physics from Michigan Technological University and his M.S. in business administration from George Washington University.

+ Board of directors

The articles of association stipulate that the Board of Directors is composed of a minimum of three and a maximum of nine members, who are appointed by the general shareholders meeting for a maximum period of six years. The Board of Directors has to contain at least three independent directors.

The Board of Directors is currently composed of three members, namely: Eric Van Zele (Chairman of the Board of Directors), Raju Dandu and Pieter Bourgeois (Representing Crescemus Bvba)

Eric Van Zele

Mr. Eric Van Zele currently serves as Chairman of Reynaers Aluminium and Crescent NV. He was recently appointed chairman of the E17 network of hospitals and of the Hermes decision committee of The Flemish agency for Innovation and entrepreneurship. He continues to serve as a director of Barco NV. Prior to his current mandates Eric served as president and Ceo of Barco NV in Kortrijk from 2009 thru 2016. He served as CEO of Pauwels International (from 2004 thru 2008) and of Telindus nv (2000 thru 2003). Prior to that, he served as Vice President of Raychem Corporation in Menlo park, CA, USA and as Managing Director of Raychem nv in Leuven, Belgium. (1972 thru 1999). He was nominated “Manager of the Year in 2012” and “ICT Personality of 2013”. Eric holds a masters degree in electrical and mechanical engineering from the KUL in Leuven (1972) and postgraduate degrees in management from Stanford University (1992 CA, USA).

 

Raju Dandu

Mr. Raju S. Dandu is the Founder-Chairman of Danlaw Inc. USA. He is also the Managing Director of Danlaw Technologies India Ltd. He is responsible for strategic planning and corporate management of both companies. Prior to founding Danlaw Inc., he held positions at the University of Iowa hospitals, Ford Motor Company, Dana Corporation and worked as an independent consultant at General Motors.  He holds a bachelors’ degree in electronics engineering from Kakinada, India, a masters in electronics from University of Iowa and an MBA from University of Detroit.

 

Pieter Bourgeois

Mr. Pieter Bourgeois, is an Investment Manager at Alychlo NV, the investment firm of Belgian entrepreneur Marc Coucke. Prior to this, Mr. Bourgeois worked as CFO (and in other financial roles) focusing on M&A and strategic projects, gaining business acumen in a variety of sectors and different sizes of companies.
