Crescent half-year results 2018

A completely new group with a new name and a new focus

 

As a result of the reverse acquisition on May 22, 2018 of Crescent NV (formerly Option NV) by Crescent Ventures NV (formerly Crescent NV) the reporting entity under IFRS has changed from Crescent Ventures (formerly Crescent NV) to Crescent NV (formerly Option NV). As a consequence the figures in the consolidated income statement of the first half-year of 2017 are those of Crescent Ventures and the reported figures in the consolidated income statement for the first semester of 2018 are those of Crescent Ventures, increased with the figures for the month of June 2018 of Crescent NV.

Results of the first half year

 

The group's revenue resulted in € 7,838k, compared to  € 4,424k in the first half of 2017 and an EBITDA of           € 300k compared to  € -363k in the first half of last year.

However, to get a better picture of the group, the pro forma figures of the first semester are more relevant. The Crescent figures are included for a full semester, and also the figures for the acquisition of NE-IT for the

 

entire semester are included, where they are included in the IFRS figures from 2018 only from 1 April. The results of the group are presented in this way as if all companies included in the consolidation scope on 30 June contributed to the results for a full six months. These pro-forma figures form the basis for comparing the evolution of the group, both with the past and with the future, and are the starting point for the development of the various activities/divisions.

The reported turnover of € 7,838k, would be supplemented in the pro-forma figures by € 1,335k (the turnover of Crescent over the first five months), and the turnover of the first quarter of NE-IT of € 793k in total to arrive at € 9,966k.

The reported EBITDA of € 300k are lowered however in the pro-forma figures by € 917k by adding the results of the first five months of the year of Crescent and increased by € 92k by adding the results of the first quarter of NE-IT. If the non-recurring costs in Crescent (paid severance costs and onetime costs relating to the transaction of May 22) for € 461k were not included in the first half year, the pro forma REBITDA of the group in the first semester would have been € -64k.

The net result of € -41.869k is highly impacted by the goodwill impairment of Crescent NV; this amounted to  € 42.233k.

As announced in previous communications, the group's activities are monitored in three operational divisions, solutions, services and lighting. An integration division will be added towards the end of the year, which will have as mission to rollout IOT integration projects.The detailed description of the activities of the divisions and the articulation of the new strategy of the group will soon be made available in the prospectus (equivalent information document) to be published in accordance with Article 18, paragraph 2d of the Act of 16 June 2006 on the public offer of investment instruments and the admission of investment instruments to trading on a regulated market.

Crescent NV (formerly Option NV), which is part of the Solutions division, achieved a turnover of 2,013k€ (H1 2017: 2.797k€) and a REBITDA of € -350k in the first half of the year. EBITDA was -839k€ compared to -1.067k€ in the first semester of prior year.

 

The valuation of Crescent on 22 May 2018 under IFRS 13 and the assumptions made are explained in detail in Appendix 2, as well as the calculations of the fair value adjustments and the goodwill impairment.

 

Balance Sheet

 

The balance sheet presented in accordance with the IFRS rules for the previous year is that of 31 December 2017 of the consolidated Crescent Ventures.

 

Capital and financial debts

 

On May 22, 2018, the extraordinary general meeting of Crescent NV approved a capital increase by the contribution in kind of receivables in the amount of € 11,300,117 and by the contribution in kind of the shares of Crescent Ventures NV in the amount of € 10,125,000. The company's share capital amounted to € 36,304,321 and the number of shares increased from 297,584,091 to 1,368,839,925 in total. The newly created shares however are not yet listed, but will be traded in the coming weeks after the issuance of the equivalent information document. Partly as a result of these transactions, total shareholders' equity evolved to € 13,773k.

As part of the acquisition, the shareholders of Crescent Ventures NV have contributed their 638.807 shares to the Crescent company in exchange for 506,249,999 shares. As a result, the previous shareholders of Crescent Ventures received approximately 37% of all Crescent shares. The reverse takeover did not give rise to an outgoing cash flow.

On 30 June 2018, the group had outstanding financial debts totaling € 3,184k.

On September 27, the company announced that the credit agreement with Belfius Bank to refinance and restructure the remaining non-financial historical debt obligations (1.5 million euro) and to support the company with a working capital credit line of 1.5 million euro signed after the Gigarant approval.

Crescent NV's financial debt, which amounted to € 29,060k at the end of 2016, had fallen to € 500k at the end of June 2018 but should therefore evolve towards € 2m at year-end.

At the end of June, total financial debts of the group are € 2,684k, of which € 848k are long term.  As a result of the recent credit agreements with Belfius Bank, however, € 1.25 million of this financial debt will be rescheduled from short to long term.

As a result of the first purchase price allocation of Option NV, both the goodwill and the intangible fixed assets rose significantly in comparison with the opening balance. The identification and measurement at fair value of the assets and liabilities of Option is shown in Appendix 2.

 

Board of Directors

 

After the resignation of Mr. Callewaert, the GCV Quaerens, permanently represented by Mr. Cauwels, and the Bvba Innoprove, permanently represented by Mr. Coen, have offered their resignation as director and managing director this year.

The current Board of Directors consists of the following members: Mr. Eric Van Zele, Chairman, Mr. Raju Dandu, and Crescemus Bvba, permanently represented by Mr. Pieter Bourgeois.

The Board of Directors will seek the approval to appoint two new independent directors in next shareholders’ meeting.

 

Risks and uncertainties

 

With respect to the major risks and uncertainties that Crescent is likely to face in the remaining months of 2018, we refer to the risk factors and uncertainties described in detail in the Annual Report 2017 (available on the Option website) for the prior activities of Option. (www.option.com) which continue to be actual.

The addition of the various other activities has de facto reduced the risk profile of the group, however, in addition to their opportunities, the activities involve some obvious risks, notably in the services activities the continuing challenge to keep recruiting sufficient and competent ICT profiles, in addition to the continuous control of cyber risks both in the internal ICT infrastructure and in those of the customers. In the lighting division, on the one hand there is the risk that the LED technology is outdone by other technologies before the majority of the existing normal luminaries have been replaced by LEDs, and on the other hand that the smart lighting solutions would not have filled this declining market in time.

 

For the entire group, we wish to discuss the continuity of the company below:

 

Although at the end of June the current ratio of the group remains below 1 and the cash position is limited, the new financing agreement concluded with Belfius in September, secured for 60% by Gigarant; will enable the group to improve its liquidity position by, on the one hand, the rescheduling of the short-term financial debt with € 1.25m to long-term, and on the other hand an additional credit line of € 1.5m which will be used to repay a number of overdue debts of Crescent NV. In addition, Van Zele Holding NV agreed to the request from Belfius and Gigarant to make an additional credit line of € 0.5 million available as an additional buffer in case certain assumptions in the liquidity plan of the group could not be realized. The realization of the various three-year plans should furthermore allow the expected liquidity shortfalls in some companies to be compensated with cash surpluses in others. In addition to the focus on positive EBITDAs, the net cash generation will also remain a short-term target.

With the introduction of a number of new products in the first half of next year, management expects that the cash losses of Crescent NV can also be stopped, so that this company will gradually start contributing to positive cash flows.

a) The condensed financial statements, prepared in accordance with applicable accounting standards, give a true and fair view of the assets, financial position and results of the Company and its consolidated companies;

Resultaten van het eerste halfjaar

 

De omzet van de groep kwam uit op 7.838 k€, in vergelijking met 4.424k€ in het eerste halfjaar van 2017 en een EBITDA van 300k€, in vergelijking met -363k€ in het eerste halfjaar van vorig jaar.

Echter, om een beter beeld te krijgen van de groep zijn de pro-forma cijfers van het eerste semester meer relevant. Hierin wordt het Crescent stuk voor een volledig semester meegenomen, en worden ook de cijfers

 

van de acquisitie van NE-IT voor het volledige semester meegeteld, waar deze in de bovenstaande IFRS cijfers van 2018 slechts vanaf 1 april zijn opgenomen. De resultaten van de groep worden op deze manier voorgesteld alsof alle vennootschappen die op 30 juni in de consolidatiekring zijn opgenomen, een volledig halfjaar hebben bijgedragen tot de resultaten. Deze pro-forma cijfers vormen de vergelijkingsbasis voor de interpretatie van de evolutie van de groep, zowel met het verleden als met de toekomst en zijn de vertrekbasis voor de uitbouw van de diverse activiteiten/divisies.

De gerapporteerde omzet van 7.838 k€, zou dan in de pro-forma cijfers worden aangevuld met 1.335 k€ (de omzet van Crescent over de eerste vijf maanden), en de omzet van het eerste kwartaal van NE-IT van 793k€ om in totaal uit te komen op 9.966 k€.

De gerapporteerde EBITDA van 300k€ zou in de pro-forma cijfers echter worden verlaagd met 917k€ door  toevoeging van de resultaten van de eerste vijf maanden van het jaar van Crescent en verhoogd met 92k€ door toevoeging van de resultaten van het eerste kwartaal van NE-IT. Moesten de niet-recurrente kosten in Crescent (betaalde opzegvergoedingen en eenmalige kosten mbt de transactie van 22 mei jl.) tbv 461k€ niet worden meegenomen in het eerste halfjaar, zou de pro-forma REBITDA van de groep in het eerste semester uitkomen op -64k€.

Het netto-resultaat van -41.869 k€ wordt in hoge mate geïmpacteerd door de goodwill impairment van Crescent NV; deze bedroeg 42.233k€.

Zoals aangekondigd in eerdere communicaties worden de activiteiten van de groep in drie operationele divisies opgevolgd:  solutions, services en lighting. Naar het eind van het jaar zal ook nog een integratiedivisie worden toegevoegd, die als missie de uitrol van IOT-oplossingen voor haar rekening zal nemen. Een gedetailleerde beschrijving van de activiteiten van de divisies en de nieuwe strategie van de groep zal binnenkort te vinden zijn in het gelijkwaardig informatie document dat zal worden uitgegeven in overeenstemming met artikel 18, lid 2d van de wet van 16 juni 2006 betreffende de openbare aanbieding van beleggingsinstrumenten en de toelating van beleggingsinstrumenten tot de verhandeling op een gereglementeerde markt.

Crescent NV (voormailg Option NV), dat deel uitmaakt van de Solutions divisie, haalde in het eerste semester een omzet van 2.013k€ (H1 2017: 2.797k€) en een REBITDA van -350k€. De EBITDA was -839k€ in vergelijking met -1.067k€ in het eerste semester van vorig boekjaar.

 

De waardering van Crescent op 22 mei 2018 onder IFRS 13 en de genomen assumpties worden uitgebreid toegelicht in bijlage 2, alsmede de berekeningen van de reële waarde aanpassingen en van de goodwill impairment.

 

Balans

 

De balans die conform de IFRS-regels voor het vorig jaar wordt gepresenteerd, is deze van 31 december 2017 van het geconsolideerde Crescent Ventures.

 

Kapitaal en financiële schulden

 

Op 22 mei 2018, keurde de bijzondere algemene vergadering van Crescent NV een kapitaalverhoging goed door de inbreng in natura van schuldvorderingen ten bedrage van 11.300.117€ en door de inbreng in natura van de aandelen van Crescent Ventures NV ten bedrage van 10.125.000€. Het kapitaal van de vennootschap kwam op die wijze op een bedrag van 36.304.321€, en het aantal aandelen steeg van 297.584.091 naar een totaal van 1.368.839.925. De nieuw gecreëerde aandelen worden echter nog niet genoteerd, maar zullen na de uitgifte van het ‘gelijkwaardig informatie document’ in de komende weken verhandeld worden.

Mede ten gevolge van deze transacties evolueerde het totaal eigen vermogen naar 13.773k€.

In het kader van de overname hebben de aandeelhouders van Crescent Ventures NV hun 638.807 aandelen ingebracht in de vennootschap Crescent in ruil voor 506.249.999 aandelen. Hierdoor hebben de vorige aandeelhouders van Crescent Ventures ongeveer 37% van alle aandelen van Crescent in handen gekregen. De omgekeerde overname gaf geen aanleiding tot een uitgaande kasstroom.

Op 30 juni 2018 had de groep uitstaande financiële schulden van in totaal 3.184k€.

Op 27 september jl. deelde de vennootschap mee dat de kredietovereenkomst met Belfius Bank om de resterende niet-financiële historische schuldverplichtingen (1,5 miljoen euro) te herfinancieren en te herstructureren en de onderneming te ondersteunen met een werkkapitaalkredietlijn van 1,5 miljoen euro werd ondertekend na de goedkeuring door Gigarant.

De financiële schuld van Crescent NV die eind 2016 nog 29.060k€ bedroeg, was eind juni 2018 gedaald tot 500k€ maar zal dus naar jaareinde weer oplopen tot 2mio€.

Op de groep rusten per eind juni nog in totaal financiële schulden ten belope van 2.662k€, waarvan 848k€ op lange termijn. Door de recente kredietakkoorden met Belfius Bank zal er van deze financiële schuld echter voor 1.25mio€ herschikt worden van korte naar lange termijn.

 

Door de eerste toewijzing van de aankoopprijs van Option NV stegen zowel de goodwill als de immateriële vaste activa aanzienlijk ten overstaan van de openingsbalans. De identificatie en waardering aan reële waarde van de activa en schulden van Option is weergegeven in bijlage 2.

 

Raad van Bestuur

 

Na het ontslag van de Heer Callewaert, hebben ook de GCV Quaerens, vast vertegenwoordigd door de Heer Cauwels, en de Bvba Innoprove, vast vertegenwoordigd door de Heer Coen dit jaar hun ontslag aangeboden als bestuurder en gedelegeerd bestuurder.

De huidige Raad van Bestuur bestaat uit de volgende leden: de Heer Eric Van Zele, voorzitter, de Heer Raju Dandu, en Crescemus Bvba, vast vertegenwoordigd door de Heer Pieter Bourgeois.

De Raad van Bestuur zal de aanstelling van twee nieuwe onafhankelijke bestuurders voordragen aan de volgende algemene vergadering.

 

Risico’s en onzekerheden

 

Naast de risico’s en onzekerheden waarmee Crescent de resterende maanden van 2018 geconfronteerd zou kunnen worden, verwijzen wij voor de voormailge activiteiten van Option zelf naar de risicofactoren en onzekerheden zoals die in detail staan omschreven in het Jaarverslag 2017 (dat beschikbaar is op de website van Option (www.option.com) en die nog steeds van toepassing zijn.

 

Door de toevoeging van de diverse andere activiteiten is de facto het risicoprofiel van de groep gedaald, evenwel brengen de activiteiten, naast hun opportuniteiten, enkele voor de hand liggende risico’s mee, nl. in de services- activiteiten de voortdurende uitdaging tot aanwerving van voldoende en competente ICT-profielen, naast het voortdurend beheersen van de cyber-risico’s zowel in de interne ICT-infrastructuur als in deze van de klanten. In de lighting divisie is er enerzijds het risico dat de LED-technologie voorbijgestreefd wordt door andere technologiëen vooraleer het merendeel van de bestaande normale armaturen door LED zijn vervangen, en anderzijds dat de smart lighting oplossingen niet bijtijds deze dalende markt zou hebben opgevuld.

 

Voor de hele groep, wensen wij onderstaand nog in te gaan op de continuïteit van de onderneming:

 

Hoewel eind juni de current ratio van de groep onder 1 blijft en de kaspositie beperkt, zal de in september afgesloten kredietfinanciering met Belfius, voor 60% gewaarborgd door Gigarant, de groep in staat stellen om haar liquiditeitspositie te verbeteren, door enerzijds een herschikking van de korte termijn financiële schuld met 1.25mio€ naar lange termijn, en anderzijds een bijkomende kredietlijn van 1.5mio€ die zal aangewend worden ter afbetaling van een aantal achterstallige schulden van Crescent NV. Bovendien is Van Zele Holding NV ingegaan op de vraag van Belfius en Gigarant om een additionele kredietlijn van 0.5mio€ ter beschikking te stellen als extra buffer moesten bepaalde aannames in het liquiditeitsplan van de groep niet kunnen gerealiseerd worden.

 

 

 

De realisatie van de diverse driejarenplannen zou verder moeten toelaten om de nog voorziene liquiditeitstekorten in enkele vennootschappen meer dan aan te vullen met kasoverschotten in andere. Naast de focus op positieve EBITDA’s zal ook de netto-kas generatie een korte termijn doelstelling blijven.

Met de introductie in de eerste helft van volgend jaar van enkele nieuwe producten verwacht het management dat ook de kasverliezen van Crescent NV zullen kunnen worden gestopt, zodat deze vennootschap geleidelijk aan zal beginnen bijdragen tot positieve kasstromen.

Postponement publication half-year results 2018 and prospectus

Crescent NV is fully engaged in preparing the consolidated semi-annual financial statements 2018 of the new group, taking into account the recent contribution in kind of Crescent Ventures NV and subsidiaries (this is being processed as a reverse takeover in accordance with IFRS 3). In order to have meaningful comparative figures, for the first time consolidated figures for 2017 according to IFRS are being prepared for Crescent Ventures and also the accounts of Crescent Ventures and its subsidiaries (in Belgium and the Netherlands) are audited. In addition, pro forma financial statements are drawn up for 2017 and half-year 2018 that take into account this contribution in kind.

 

Given the complexity of the composition of the required information following the new group structure, Crescent will postpone publishing both the half-year results and the detailed prospectus (equivalent information document) on the merger between Crescent Ventures NV (formerly Crescent NV) and Crescent NV ( formerly Option NV) in accordance with Article 18, paragraph 2d of the Act of 16 June 2006 on the public offer of investment instruments and the admission of investment instruments to trading on a regulated market capital increase. The half-year results will be published on October 17 before the opening of the Stock Exchange, the prospectus will follow as soon as possible thereafter.

 

Crescent also announces that the credit agreement with Belfius Bank to refinance and restructure the remaining non-financial historical debt obligations (1.5 million Euros) and to support the company with a working capital credit line of 1.5 million Euros has been signed following approval by Gigarant.

Uitstel publicatie Crescent halfjaarresultaten 2018 en prospectus

Trading update and organizational announcement

 

Leuven, Belgium – July 31, 2018 – 7h00 - Crescent (EURONEXT: OPTI; OTC: OPNVY)

Consolidated  results for the first half of 2018 of former Option NV – recently renamed Crescent NV post its acquisition of the latter - have pushed through the ten million mark (10m€) with slightly positive recurring operating results (rebitda) as fueled by good results booked in the services and lighting divisions of the Crescent Group. Former Option NV shipped a little over 2 million Euros which is somewhat below forecast and below last year in part since new product platforms (Cloudgate LTE cost down and Cloudgate micro) have yet to hit the market.  This will happen during second half of 2018.  

Given these encouraging group results, we remain cautiously optimistic about initial guidance given for the full year of realizing more than 20mio in revenues with positive rebitda contributions.

For the remainder of 2018, Crescent will increase focus on generating positive operating cash flows, notwithstanding the completion of all rightsizing plans for Option NV and for Sait NL. Furthermore through the merger of Crescent NV with Option NV and the further and full conversion of all historic financial debt obligations into capital, the group’s equity position will turn positive.

We are pleased to disclose that Belfius bank is supporting the company’s request for the refinancing and restructuring of its remaining non-financial historic debt obligations (1.5mio€) and for a working capital credit line of 1.5mio€; a final agreement is expected to be signed before end of August subject to Gigarant approval.

Hence Crescent NV will have implemented all currently planned rightsizing and refinancing measures by this fall thereby completing a difficult rescue operation.  Going forward its management focus will shift towards deployment of profitable growth initiatives.

Organization and leadership

Mr. Guy Coen - currently serving as CEO of Option NV - has indicated that he wants to pursue other career opportunities for personal reasons. He will leave Crescent NV end of July in good standing and in full consensus.  Guy has agreed to continue to serve as consultant on the company’s advisory board for technology and strategy and will act as a liaison consultant for Asia.

He will be succeeded by Mr. Alain Van den Broeck, a senior and seasoned technologist and veteran CEO of the former Crescent Group. Alain will join Crescent in the fall as CEO of the Crescent Solutions division (former Option NV and Sait NL and Maro BVBA combined ) and brings a wealth of experience and competence to the group in terms of transitioning from a product and hardware centric OEM organization towards an end-to-end software enabled  IOT -solutions provider.

The board wishes both Guy Coen and Alain Van den Broeck the best of luck in their future endeavors.  

Crescent NV will be organized along three operating divisions: Crescent Solutions with Alain Van den Broeck as CEO, Crescent Services headed by Mr. Ron Bours (CEO of 2invision) and Crescent Lighting headed by Mr. Gert Grolleman (CEO of Innolumis BV). Together with Edwin Bex as Crescent Group CFO and Eric Van Zele as group chairman they will constitute the Crescent executive team.

Acquisitions

The Crescent Group also discloses that its 2invision IT services daughter company operating out of Maastricht (NL) has acquired 100% of the share capital of Eindhoven based managed services company ‘ANY-IT’ (NE-iT Automatisering BV & NE-iT Holding BV) a company similar in scope and in size to itself, with  reported sales of 2.7mio € in 2017 and 257 k€ ebitda .

The group further discloses that Crescent NV is in final stages of negotiation with the current management of 2invision to acquire their 40% of the share capital of the latter. Hence also the services division will soon be 100% owned by Crescent NV.

More detailed financial data and general information about first half results will be published towards the end of September; the company publishes semester results on September 28 and is diligently preparing a detailed prospectus (equivalent information document) about the merger between Option NV and Crescent NV in accordance with article 18 para 2d of the law of June 16, 2006 regarding the public offering of investment instruments and the admission for trading thereof on a regulated market.

Trading update en aankondiging organisatieverandering

De geconsolideerde resultaten voor het eerste halfjaar van 2018 van het voormalige Option NV - onlangs omgedoopt tot Crescent NV na de overname van deze laatste - hebben de kaap van tien miljoen (10m €) doorbroken met licht positieve recurrente bedrijfsresultaten (rebitda), dankzij de goede resultaten in de diensten- en verlichtingsafdelingen van de Crescent Group.  Voormalig Option NV heeft iets meer dan 2 miljoen euro verkocht, wat enigszins onder de prognose en onder vorig jaar ligt, deels omdat nieuwe productplatforms (kost-geoptimaliseerde Cloudgate LTE en Cloudgate micro) nog niet op de markt zijn gekomen. Dit zal gebeuren tijdens de tweede helft van 2018.

Gezien deze bemoedigende groepsresultaten blijven we voorzichtig optimistisch over initiële indicaties voor de realisatie van meer dan 20 miljoen omzet met positieve rebitda-bijdragen voor het volledige jaar.
Voor de rest van 2018 zal Crescent focussen op het genereren van positieve operationele kasstromen, niettegenstaande de voltooiing van alle reorganisatieplannen voor Option NV en voor Sait NL. Verder zal door de fusie van Crescent NV met Option NV en de verdere en volledige conversie van alle historische financiële schuldverplichtingen in kapitaal, de vermogenspositie van de groep positief worden.


Met genoegen delen wij mee dat Belfius Bank het verzoek van de onderneming om de resterende niet-financiële historische schuldverplichtingen (1,5 miljoen euro) te herfinancieren en te herstructureren en de onderneming te ondersteunen met een werkkapitaalkredietlijn van 1,5 miljoen euro heeft goedgekeurd; een definitieve overeenkomst zal naar verwachting vóór eind augustus worden ondertekend onder voorbehoud van goedkeuring door Gigarant.


Vandaar dat Crescent NV dit najaar alle geplande herstructureringen en herfinancieringsmaatregelen zal hebben geïmplementeerd, waarbij een moeilijke reddingsoperatie zal worden voltooid. In de toekomst zal het management zich richten op nieuwe initiatieven voor winstgevende groei.

Organisatie en leiderschap


De heer Guy Coen - momenteel werkzaam als CEO van Option NV - heeft aangegeven om persoonlijke redenen andere carrièremogelijkheden te willen nastreven. Hij zal Crescent NV eind juli in goede verstandhouding verlaten. Guy heeft toegezegd om te blijven contribueren als consultant in de adviesraad voor technologie en strategie van het bedrijf en zal optreden als verbindingsadviseur voor Azië.


Hij wordt opgevolgd door de heer Alain Van den Broeck, een bekwaam CEO van de voormalige Crescent Group, met een rijke ervaring in technologie. Alain zal zich in de herfst bij Crescent voegen als CEO van de divisie Crescent Solutions (voormalig Option NV samen met Sait NL en Maro BVBA) en brengt in de groep een schat aan ervaring en competentie om de beoogde transitie van een OEM-organisatie met producten en hardware naar leverancier van end-to-end IOT-oplossingen met geïntegreerde software te realiseren.


Het bestuur wenst zowel Guy Coen als Alain Van den Broeck heel veel succes voor de toekomst toe.

Overnames


De Crescent Group onthult ook dat haar 2invision dochteronderneming die IT-diensten exploiteert vanuit Maastricht (NL) recent 100% van het aandelenkapitaal heeft verworven van het in Eindhoven gevestigde beheerde dienstenbedrijf 'ANY-IT' (NE-iT Automatisering BV & NE-iT Holding BV) een onderneming met vergelijkbare activiteiten en omvang als zijzelf, met een gerapporteerde omzet van 2,7 miljoen € in 2017 en 257 k € ebitda.


De groep meldt verder dat Crescent NV zich in de laatste fase van onderhandelingen bevindt met het huidige management van 2invision om hun 40% van het aandelenkapitaal te verwerven. Vandaar dat ook de dienstendivisie binnenkort voor 100% in handen zal zijn van Crescent NV.

De Vennootschap meldt dat de Buitengewone Algemene Vergadering vandaag heeft besloten en ingestemd met de inbreng van financiële schulden (€ 11.300.116,81) in het kapitaal van de Vennootschap enerzijds en de inbreng van 100% van de aandelen van Crescent NV (€ 10.125.000) in het kapitaal, elke keer aan 2 cent per aandeel. De totale inbreng is gebeurd tegen uitgifte van 1.071.255.834 nieuwe aandelen in de Vennootschap. Het kapitaal van de Vennootschap steeg van € 14.879.204.55 voor de transactie naar € 36.304.321,36 achteraf.

De naamswijziging naar "Crescent" is eveneens goedgekeurd.

Hiermee werden quasi alle financiële schulden omgezet in kapitaal en de fusie van beide bedrijven zal leiden tot de ontwikkeling van een bredere industriële basis met focus op IoT toepassingen via het aanbieden van end-end systems en service enabled solutions veel meer dan enkel gateway producten.

The Company reports that today the Extraordinary General Meeting has decided and approved the contribution of financial debts (€ 11,300,116.81) into the Company's capital on the one hand, and the contribution of 100% of the shares of Crescent NV (€ 10,125,000) on the other hand, each time at 2 cents per share. The total contribution is compensated by a total issue of 1,071,255,834 new shares in the Company. The capital of the Company increased from €14,879,204.55 before transaction to € 36,304,321.36 afterwards.

The name change to “Crescent” was also approved.

The transaction virtually eliminated all financial debts in capital and the merger of both companies will lead to the development of a broader industrial base with focus on IoT applications through the provision of end-end systems and service enabled solutions much more than just gateway products.

More details of the transaction will be published in a listing prospectus pursuant to Article 18, § 2, d Belgian Law of June 16, 2006 on the public offering of securities and the admission of securities to trading on a regulated market as amended (the “Prospectus Law”).

LEUVEN - Belgium - 30 April 2018 - 18h30 CET - Option NV, Gaston Geenslaan 14, 3001 Heverlee (Euronext Brussels: OPTI) The Board of Directors has decided to publish the annual report for the 2017 financial year no later than 15 May 2018, and  has updated its financial calendar accordingly. The annual general meeting will meet on 15 June 2018. A new notice will be issued. The reason for this postponement is the further processing of accounting data in consultation with the auditor. In addition, the Board of Directors announces that the Extraordinary General Meeting scheduled for May 2, 2018 will take place on May 22, 2018 because the attendance quorum cannot be met. The second convocation to this Extraordinary General Meeting will be published via the usual channels on 4 May 2018. In the context of the transaction planned at the Extraordinary General Meeting, the Company also publishes on its website the conclusions regarding the valuations of both Crescent NV (the company being acquired) and Option NV (the acquiring company).

LEUVEN – België – 30 april 2018  – 18u30 CET - Option NV, Gaston Geenslaan 14, 3001 Heverlee  (Euronext Brussels: OPTI) De Raad van bestuur heeft beslist om het jaarverslag over boekjaar 2017 uiterlijk 15 mei 2018 publiceren, en heeft haar financiële kalender aangepast in die zin. De jaarlijkse algemene vergadering zal bijeenkomen op 15 juni 2018. Een nieuwe oproeping zal worden uitgestuurd. De reden voor dit uitstel is de verdere verwerking van boekhoudkundige gegevens in samenspraak met de auditor. Bovendien laat de Raad van bestuur weten dat de Buitengewone Algemene Vergadering die gepland stond op 2 mei 2018 zal plaatsvinden op 22 mei 2018 omdat het aanwezigheidsquorum niet kan worden gehaald. De tweede oproeping tot deze Buitengewone Algemene Vergadering zal gepubliceerd worden via de gebruikelijke kanalen op 4 mei 2018. In het kader van de transactie die gepland staat op de Buitengewone Algemene Vergadering maakt de Vennootschap bijkomend op haar website de conclusies bekend betreffende de waarderingen van zowel Crescent NV (de vennootschap die wordt overgenomen) als van Option NV (de overnemende vennootschap).

In accordance with the requirements of the current legislation on the disclosure of major participations in issuers of which shares are admitted to trading on a ‘regulated market’, are any natural or legal person who, directly or indirectly, acquire or resign shares or other voting granting financial instruments of the company, whether or not they represent capital, compulsory by the law applicable at that time, are obliged to inform both the Company and  the FSMA of the number of financial instruments owned as well as the percentage of existing voting rights whenever the voting rights are attached to these financial instruments reach a first time three percent (3%) and then five percent (5%) or a multiple of five percent (5%), exceed or fall below such percentage. The involved shareholders must comply with the statutory requirements and regulations in this regard.

Swisscom Mobile is embarking on a new era of mobile data communications. In August Swisscom Mobile is launching a world first on the Swiss market: Mobile Unlimited. For the first time, a PC data card jointly developed with Option (OPTI) of Belgium supports all wireless data transmission technologies from GPRS to UMTS and WLAN.

Swisscom Mobile and Option: world première in mobile data communications

Swisscom Mobile is embarking on a new era of mobile data communications. In August Swisscom Mobile is launching a world first on the Swiss market: Mobile Unlimited. For the first time, a PC data card jointly developed with Option (OPTI) of Belgium supports all wireless data transmission technologies from GPRS to UMTS and WLAN. Swisscom Mobile NATEL® customers who subscribe to Mobile Unlimited can be connected automatically and securely to the fastest available broadband technology from any location. Mobile Unlimited is also the first product in the world to enable seamless handover i.e. automatic, uninterrupted switching between different types of transmission technologies. The card is offered by Swisscom Mobile under its own name, and its Seamless Handover technology is also being marketed internationally.

"More and more companies are finding that the ability to access their corporate network at any time and from any location, check e-mails, process orders and customer requests in real time, order spare parts, call up assembly diagrams, etc., is becoming a key criterion in the bid to stay ahead of the competition," says Carsten Schloter, Swisscom Mobile CEO. Users expect their mobile connection to be guaranteed 100%, wherever they are and whatever the available transmission technology. And they are not interested in having to make complicated settings on their own PC beforehand, thereby interrupting running applications.

Automatic selection of the fastest available technology

Mobile Unlimited does away with irritating, time-consuming PC chores. With no action required on the part of the user, Mobile Unlimited switches seamlessly from UMTS to GPRS or WLAN, automatically selecting the fastest transmission technology available in any given location. Customers purchasing Mobile Unlimited receive the Swisscom Mobile NATEL® data basic subscription, an Unlimited PC Card and a CD-ROM with the requisite Unlimited Data Manager software. From then on Mobile Unlimited takes over, ensuring secure, reliable connectivity for the user irrespective of time or location.

"Developing the hardware and software for Mobile Unlimited was a challenge," says Jan Callewaert, founder and CEO of Option NV, the Belgian company that jointly developed the new PC data card with Swisscom Mobile. "Integrating UMTS with GPRS and WLAN in such a small PC card and catering to Swisscom Mobile's requirements in terms of performance and user-friendliness, while simultaneously keeping to schedule, was no easy task. So I'm all the more delighted that it all worked out."

Mobile Unlimited offers transmission speeds of up to 384 kBit/s (UMTS) or 54 MBit/s (Public WLAN). For locations that currently offer only GPRS, transmission speeds between 30 and 40 kBit/s are available. By the end of 2004 Swisscom Mobile intends to have more than 800 WLAN Hotspots in operation and will cover 83% of the population with UMTS. Swisscom Mobile is investing some CHF 500 million in the mobile network in 2004 alone.

Standard price dependent on data volume

In terms of price, it makes no difference which technology Mobile Unlimited uses for data transfer. The price is indexed exclusively to the volume of data transferred. Customers can subscribe to different package sizes, e.g. 40 MB per month for CHF 70. The largest packages are based on the principle of 1 Megabyte for CHF 1. The subscription price can be adjusted every three months if the effective volume of data transmitted deviates from the agreed subscription volume. Tariffs are defined such that the average customer can enjoy the convenience of a mobile workspace for a monthly budget between CHF 80 and CHF 100.

Mobile Unlimited is ideal for self-employed persons and companies whose employees need to be able to access their private network irrespective of time or place. "That covers everything from one-man outfits to large international enterprises," says Carsten Schloter. Mobile Unlimited can be used on laptops with Type II PCMCIA slots, the Windows 2000 / XP operating system and 100 MB free hard disk capacity. Mobile Unlimited was comprehensively tested in the Microsoft software environment. The Office 2003 product family in particular supports the new form of mobility offered by Mobile Unlimited.

Available from August 2004 – also scheduled for international distribution

Technical development of Mobile Unlimited is now complete, and commercial mass production has begun. The product will be available from 30 August 2004 and can be used throughout the Swisscom Mobile network.

Swisscom Mobile also has high hopes of the international marketing potential offered by Mobile Unlimited technology. Carsten Schloter is convinced that "Automatic, seamless switching between different network technologies is a prerequisite for offering the mobile equivalent of the "always-on" experience that ADSL customers enjoy.“ The associated rights have been patented by Swisscom Mobile.

The Vodafone Mobile Connect 3G/GPRS high speed data card for notebook and laptop PCs has been specifically customised to promote both the Proximus and Vodafone brands to the Belgian market. The Vodafone Mobile Connect 3G/GPRS data card was developed, manufactured, and is supplied to Proximus by Option.

Proximus a en effet décidé de faire appel aux cartes PC 3G proposées par Option. La personnalisation de la carte de données à haut débit Vodafone Mobile Connect 3G/GPRS conçue pour les ordinateurs portables permet aux deux marques que sont Proximus et Vodafone de profiter d’une visibilité accrue sur le marché belge. Option a développé et produit la carte PC Vodafone Mobile Connect 3G/GPRS et assure la distribution à Proximus.

 

Outre le cogriffage de la carte PC, Option a également travaillé en étroite collaboration avec Proximus à la conception et au développement d’une version spéciale du logiciel d’interfaçage de Vodafone. Option NV (Euronext Brussels: OPTI) today announces that the private placement closed successfully with the issuance of 551.724 new shares. The new shares have been issued at an issuance price of 14,50 EUR per share and placed with a group of selected European institutional investors. As a result of the private placement, Option raised a total of 8.000.000 EUR.

The new shares issued as a result of this private placement will have similar rights as the existing shares of Option NV.

Leuven, Belgium - 15 April, 2004 - Option NV (Euronext: OPTI) today announces that its board of directors has decided on April 15, 2004 to execute a private placement of new shares to a limited group of European institutional investors for a total amount of € 8.000.000 through the issuance of new shares whereby the capital will be increased within the framework of the authorized capital with cancellation of preferential subscription rights of existing shareholders.

The issuance price per new share was determined through a bookbuilding procedure with a minimum price set at the average closing price of the last 30 days prior to the subscription by the institutional investors.

The private placement was targeted towards a limited number of European high-quality institutional investors, whereby only minimum subscriptions of € 250.000 were accepted. The offer was for more than 2 times subscribed and therefore the orderbook was closed after a few hours only.

On April 13, 2004, the Banking, Finance and Insurance Commission has granted Option a full exemption from the obligation of the publication of a prospectus in application of article 6, 3°, a) of the Royal Decree of September 18, 1990. Option filed a request to Euronext Brussels to list the newly issued shares on the First Market of Euronext Brussels.

Option will use the proceeds of the private placement primarily to fund the concrete growth perspectives coming from the positive evolution in demand in the sector, Option’s extremely well positioned product offering on one hand, and on the other hand the development of new solutions based on combined technologies UMTS, WiFi and EDGE, that will sustain this growth.

The shares that will be issued as a result of this private placement will have the same rights as the existing shares of Option NV.

Proposal of decision: To nominate the candidate proposed by the Board of Directors at the Annual Shareholders’ Meeting as statutory auditor, whose term of office will expire immediately after the Annual Shareholders’ Meeting, which will be asked to deliberate and vote upon the approval of the annual accounts for the financial year ending on December 31, 2006 and to fix his remuneration at the amount proposed by the Board of Directors at the Annual Shareholders’ Meeting.

8. Miscellaneous.

In order to be admitted to the abovementioned Annual Shareholders' Meeting, the holders of securities issued by the Company must follow the provisions of articles 29 and 30 of the Articles of Association of the Company and article 536 of the Companies Code and also fulfill the following formalities : (i) if they are owners of registered shares, notify the Company of their intention to attend the Annual Shareholder’s Meeting, by sending a letter by regular mail to the Company’s registered office; (ii) if they are owners of dematerialized shares deposited through Euroclear, deposit, at the latest five working days prior to the date of the Annual Shareholders' Meeting, a certificate at the registered office of the Company, drawn up by the recognized holder of their securities' accounts or by Euroclear itself, confirming the number of shares registered under the name of the shareholder and declaring that the shares are non-negotiable until the date of said Annual Shareholders' Meeting; and (iii) if they are owners of warrants, they must inform the Company in writing, by an ordinary letter addressed to the registered office of the Company, at least five working days prior to the meetings, of their intention to attend the meeting.

Shareholders can vote by proxy or by letter, using documents drawn up by the Company and which can be obtained at no cost at the registered office of the Company. The proxies have to be deposited at the registered office of the Company at the latest five (5) business days prior to the date of the meeting. The owners of dematerialized shares who whish to vote by proxy or by letter have to deposit, in addition to the documents properly filled out, the certificate drawn up by the recognized holder of their securities' accounts or by Euroclear itself, confirming the number of shares registered under the name of the shareholder and declaring that the shares are non-negotiable until the date of said Annual Shareholders' Meeting.

In order for the vote by letter to be valid, a form must be sent by registered mail with acceptance receipt to the Company’s registered office, which must be sent at the latest six days before the Annual Shareholders’ Meeting (the postage stamp shall serve as proof) and which must contain the following information: (i) mentioning of the complete and accurate indication of the shareholder and of the number of shares he is voting with; (ii) the complete agenda; (iii) the proposals of decision and the voting instructions of the shareholder (for, against and abstain). The shareholder may explain or motivate his or her voting instructions.

A copy of the documents and reports mentioned in the agenda of the Annual Shareholders' Meeting can be obtained at no cost at the registered office of the Company.

If you already have installed the GlobeTrotter Connect, this driver package CANNOT be installed on top. This will create a driver conflict.

+ Board of directors

The articles of association stipulate that the Board of Directors is composed of a minimum of three and a maximum of nine members, who are appointed by the general shareholders meeting for a maximum period of six years. The Board of Directors has to contain at least three independent directors.

The Board of Directors is currently composed of three members, namely: Eric Van Zele (Chairman of the Board of Directors), Raju Dandu and Pieter Bourgeois (Representing Crescemus Bvba)

Eric Van Zele

Mr. Eric Van Zele currently serves as Chairman of Reynaers Aluminium and Crescent NV. He was recently appointed chairman of the E17 network of hospitals and of the Hermes decision committee of The Flemish agency for Innovation and entrepreneurship. He continues to serve as a director of Barco NV. Prior to his current mandates Eric served as president and Ceo of Barco NV in Kortrijk from 2009 thru 2016. He served as CEO of Pauwels International (from 2004 thru 2008) and of Telindus nv (2000 thru 2003). Prior to that, he served as Vice President of Raychem Corporation in Menlo park, CA, USA and as Managing Director of Raychem nv in Leuven, Belgium. (1972 thru 1999). He was nominated “Manager of the Year in 2012” and “ICT Personality of 2013”. Eric holds a masters degree in electrical and mechanical engineering from the KUL in Leuven (1972) and postgraduate degrees in management from Stanford University (1992 CA, USA).

 

Raju Dandu

Mr. Raju S. Dandu is the Founder-Chairman of Danlaw Inc. USA. He is also the Managing Director of Danlaw Technologies India Ltd. He is responsible for strategic planning and corporate management of both companies. Prior to founding Danlaw Inc., he held positions at the University of Iowa hospitals, Ford Motor Company, Dana Corporation and worked as an independent consultant at General Motors.  He holds a bachelors’ degree in electronics engineering from Kakinada, India, a masters in electronics from University of Iowa and an MBA from University of Detroit.

 

Pieter Bourgeois

Mr. Pieter Bourgeois, is an Investment Manager at Alychlo NV, the investment firm of Belgian entrepreneur Marc Coucke. Prior to this, Mr. Bourgeois worked as CFO (and in other financial roles) focusing on M&A and strategic projects, gaining business acumen in a variety of sectors and different sizes of companies.
