GELIJKWAARDIGE INFORMATIEVERSTREKKING

In accordance with the requirements of the current legislation on the disclosure of major participations in issuers of which shares are admitted to trading on a ‘regulated market’, are any natural or legal person who, directly or indirectly, acquire or resign shares or other voting granting financial instruments of the company, whether or not they represent capital, compulsory by the law applicable at that time, are obliged to inform both the Company and  the FSMA of the number of financial instruments owned as well as the percentage of existing voting rights whenever the voting rights are attached to these financial instruments reach a first time three percent (3%) and then five percent (5%) or a multiple of five percent (5%), exceed or fall below such percentage. The involved shareholders must comply with the statutory requirements and regulations in this regard.

 

Overeenkomstig de voorschriften van de vigerende wetgeving inzake de`openbaarmaking van belangrijke deelnemingen in emittenten waarvan aandelen zijn toegelaten tot de verhandeling op een gereglementeerde markt', is elke natuurlijke of rechtspersoon die, rechtstreeks of onrechtstreeks, aandelen of andere stemrecht verlenende financiële instrumenten van de vennootschap, die al dan niet het kapitaal vertegenwoordigen, verwerft of afstaat, verplicht in de omstandigheden voorzien door de op dat ogenblik toepasselijke wetgeving, zowel de vennootschap als de FSMA kennis te geven van het aantal financiële instrumenten dat hij bezit, alsook het percentage van de bestaande stemrechten, telkens wanneer de stemrechten verbonden aan deze financiële instrumenten een eerste maal drie procent (3%) en vervolgens vijf procent (5%) of een veelvoud van vijf procent (5%) bereiken, overschrijden of beneden zulk percentage zakken. WMW en OPTION slaan de handen in elkaar in de strijd tegen COVID-19

Marktlancering van diverse IoT oplossingen

 

Hasselt en Leuven, 10 april 2020 - 18u30 - WMW, het IoT platform van Clear Digital NV en OPTION, de IoT afdeling van CRESCENT (EURONEXT: OPTI), komen met meerdere oplossingen op de markt om de Covid-19 pandemie in verschillende stadia aan te pakken.

 

In de wereld van IoT zie je, met behulp van sensoren, de visualisatie en big data van de dingen die gebruikt worden om een samenleving of industrie operationeel te helpen draaien. Smart Waste, Smart Parking, maar ook Building Management vallen hier bijvoorbeeld onder.

 

De IoT platformtechnologie van WMW staat toe om applicaties te bouwen die volledig toegespitst zijn op de ‘use case’ en vertoont een grote flexibiliteit. Zo is het WMW-platform device-, network- en database-agnostic en kan het wereldwijd via partners gebruikt en verkocht worden.

 

Sinds de uitbraak van Covid-19 hebben we de focus gelegd op applicaties die verschillende waarnemingen en effecten rond Covid-19 kunnen behandelen. De apps konden in een sneltempo ontwikkeld worden daar ze zijn afgeleid van onze bestaande portfolio van bijna 100 apps.  Ons wereldwijde netwerk aan resellers en hun respectievelijke interacties met de overheden zal toelaten conclusies te trekken die de landsgrenzen overstijgen”, aldus Bert Vanaken, CEO van WMW.

 

CloudGate, de IoT gateway van OPTION, is de ideale hub om de sensordata te verzamelen en naar het analytics platform van WMW te brengen.

 

Onze gateway is multifunctioneel en kan zeer veel verschillende soorten communicatie aan. Van BLE over LoRaWAN tot en met WiFi. Dat maakt ons net even flexibel als WMW qua inzetbaarheid in de vele verschillende omgevingen., aldus Alain Van den Broeck, CEO van Option.

 

WMW en OPTION zullen samenwerken om 4 oplossingen in het kader van Covid-19 aan te bieden:

 

  1. Quarantaine Monitoring. Mensen, die in (self-) quarantaine dienen te leven, houden zich niet altijd aan de regels en durven wel eens buiten hun zone te gaan. Op die manier vormen ze een groot risico tot verspreiding van het virus. Deze oplossing stelt de inbreuk vast en informeert hierover.
  2. Proximity Registration. Wanneer we als bevolking opnieuw vrijer mogen bewegen is het wenselijk om onze contactpunten (binnen een straal van bijvoorbeeld 1,5 meter) vast te leggen. Naast het telefoonnummer doet deze oplossing dit zonder gebruik van locatie-gegevens en zonder enige vorm van gebruik van andere persoonsgegevens. Het is de meest laagdrempelige oplossing om te weten te komen wie in de laatste 72u in de nabijheid is geweest van een geïnfecteerd persoon.
  3. Private Proximity Registration. Bedrijven die het werk terug willen hervatten vragen oplossingen ter bescherming van hun werknemers. Deze kit omvat een privé netwerk en personal trackers om op site niveau een dynamische virtuele geofence rond een werknemer te bewaren. Aangezien we nog meerdere maanden voorzichtig zullen moeten zijn en werknemers het belangrijkste ‘asset’ voor een organisatie zijn, helpt deze oplossing om een te korte nabijheid te voorkomen en ervoor te waarschuwen.
  4. MySpace Monitoring. Ouderen, waarbij het wenselijk is om ze dichter op te volgen, kunnen m.b.v. sensoren nauwer in contact staan met hun zorgverleners of familie. Panic buttons, sensoren die beweging, energie, en zelfs deuren opvolgen, kunnen ingezet worden in ziekenhuizen en rusthuizen, maar ook bij mensen die nog steeds thuis wonen. Hiermee kan men directe, maar ook indirecte, anomalieën rapporteren en kan er tijdig actie ondernomen worden.

Openbaarmaking met toepassing van artikel 15 van de Wet van 2 mei 2007 (de Transparantiewet)

 

 

Leuven, België – 10 januari 2020 – 18u00, Crescent NV, Gaston Geenslaan 14, 3001 Heverlee (Euronext Brussels: OPTI) Zoals voorzien in de Agenda van de Bijzondere Algemene Vergadering van 20 december 2019, werd het maatschappelijk kapitaal van de vennootschap verhoogd met 6.044.145,16 EUR door inbreng van schuldvorderingen. Na voltooiing van deze kapitaalverhoging en de uitgifte van 236.099.420 nieuwe aandelen bedraagt het totale kapitaal van Crescent sinds 20 december 2019 9.902.047,52 EUR. Het kapitaal wordt vanaf diezelfde datum vertegenwoordigd door 1.604.939.345 volledig volgestorte gewone aandelen (=de noemer). Er zijn geen bevoorrechte aandelen. Elk van deze aandelen verleent één stemrecht op de Algemene Vergadering en deze aandelen vertegenwoordigen dus de noemer voor doeleinden van kennisgevingen in het kader van de transparantiereglementering (i.e. kennisgevingen ingeval van het bereiken, overschrijden of onderschrijden van de statutaire of wettelijke drempels). Naast de wettelijke drempels, voorzien de statuten van Crescent, met toepassing van artikel 15, §1 van de Transparantiewet, een bijkomende statutaire drempel van 3%.

Er zijn 675.000 warrants uitgegeven die bij uitoefening recht geven op telkens één aandeel. Houders van warranten hebben slechts een raadgevende stem op de Algemene Vergadering van aandeelhouders.

Crescent NV (Euronext Brussels: OPTI) zal een Buitengewone Algemene Vergadering bijeenroepen op 20 december 2019 met als belangrijkste agendapunten de goedkeuring van de acquisities van Crescent Smart Lighting BV en Livereachmedia Europe Bvba en een kapitaalverhoging door inbreng in natura van 6.044.145 EUR schulden in kapitaal. De uitgifteprijs van de nieuwe aandelen werd door de Raad van Bestuur bepaald op 0,0256 EUR.

Hierdoor zullen 236.099.445 nieuwe aandelen worden uitgegeven, waarvan de notering op Euronext onmiddellijk na de BAV van 20 december zal worden aangevraagd.

 

De oproeping wordt vandaag in het Belgisch Staatsblad en De Standaard gepubliceerd en de relevante verslagen van Raad van Bestuur en de Commissaris worden in de loop van de dag ter beschikking gesteld op de website.

Crescent NV (Euronext Brussels: OPTI) will convene an Extraordinary General Meeting on December 20, 2019 with as main agenda items the approval of the acquisitions of Crescent Smart Lighting BV and Livereachmedia Europe Bvba and a capital increase through contribution in kind of EUR 6,044,145 in debt in capital. The issue price of the new shares was set by the Board of Directors at EUR 0.0256.

As a result, 236,099,445 new shares will be issued, the listing of which will be requested on Euronext immediately after the EGM of December 20.

Crescent halfjaarresultaten 2019

H1 Highlights

De omzet van de groep stijgt met 14% naar 8,9 miljoen EUR in vergelijking met 7,8 miljoen EUR in het eerste halfjaar van 2018

  • De EBITDA bedraagt 0,5 miljoen EUR in het eerste semester in vergelijking met 0,3 miljoen EUR in het eerste halfjaar van 2018
  • Begin juli heeft Crescent UEST NV overgenomen, (www.zembro.com)
  • De groep handhaaft haar vooruitzichten van een omzetgroei met dubbele cijfers voor 2019 met een positieve EBITDA

Resultaten van het eerste halfjaar

De omzet van de groep kwam uit op 8.903 k€, in vergelijking met 7.838 k€ in het eerste halfjaar van 2018 en een EBITDA van 525 k€, in vergelijking met 300 k€ in het eerste halfjaar van vorig jaar. De pro-forma omzet in het eerste halfjaar 2018 kwam uit op 9.966 k€ met een EBITDA van -508 k€. De pro-forma resultaten van de groep van 2018 worden voorgesteld alsof alle vennootschappen die op 30 juni 2019 in de consolidatiekring zijn opgenomen, een volledig halfjaar hebben bijgedragen tot de resultaten.

(De gerapporteerde omzet van 7.838 k€, zou dan in de pro-forma cijfers worden aangevuld met 1.335 k€ (de omzet van Crescent over de eerste vijf maanden), en de omzet van het eerste kwartaal van NE-IT van 793 k€ om in totaal uit te komen op 9.966 k€.)

Het netto-resultaat van de groep kwam uit op -452 k€, in vergelijking met -20.044 k€ in het eerste halfjaar van 2018, wat toen voornamelijk het gevolg was van de goodwill impairment van Crescent NV ten gevolge van de omgekeerde overname van 22 mei 2018.

De omzetten en EBITDA van de drie divisies waren in het eerste semester :

In de Solutions divisie droeg Crescent NV (het voormalige Option NV) 1,8 miljoen EUR bij tot de omzetstijging, evenwel bedroeg de pro-forma omzetstijging over de volledige zes maanden 0,5 miljoen EUR; de omzet van SAIT BV verminderde met 0,7 miljoen EUR. Wat de EBITDA betreft verslechterde deze van SAIT BV met 0,2 miljoen EUR tot -0,3 miljoen EUR, maar was er een verbetering met 0,3 miljoen EUR naar 0,4 miljoen EUR voor het semester bij Crescent NV, Het dient gezegd dat hierin een netto niet-recurrente opbrengst van 0.3 miljoen EUR is opgenomen. De pro-forma semesteriële EBITDA van Crescent NV verbeterde met 1,2 miljoen EUR.

De impact van de introductie van de nieuwe Cloudgate productfamilie op het eind van het tweede kwartaal wordt verwacht vanaf het vierde kwartaal de omzet verder in positieve zin te laten evolueren.

Voor SAIT BV werd het plan voor het tweede semester herschreven en een breakeven als objectief aangehouden.

De omzet in de divisie Services verbeterde voornamelijk doordat de activiteiten van Ne-IT Hosting en Automatisering BV voor het volledige semester werden opgenomen. Door de integratie van de IT services activiteiten van Any-IT, en 2 Invision Managed Services, inclusief de Belgische, kon de EBITDA met 0,2 miljoen EUR worden verbeterd.

De omzet van de Lighting divisie in het eerste halfjaar reflecteerde de algemene terughoudendheid in de Nederlandse thuismarkt. Verwacht wordt dat in de tweede helft van het jaar de vraag weer zal aantrekken, en dat ook de commerciële inspanningen in Zuid-Afrika tot orders zullen leiden.

Balans

Kapitaal

 

Bij besluit van de bijzondere Algemene vergadering van 20 juni jl.  werd het kapitaal van Crescent NV

verminderd van 32.446.419 EUR tot 3.857.902 EUR, ter aanzuivering voor eenzelfde bedrag van een deel van de overgedragen verliezen en werd eveneens besloten de uitgiftepremie zoals geplaatst op de onbeschikbare rekening "Uitgiftepremies", te verminderen met 17.608.896 EUR, om deze tot 0 EUR te herleiden, ter aanzuivering van een deel van de overgedragen verliezen.

Door deze balansherschikking wordt de Vennootschap Crescent NV niet langer als een onderneming in moeilijkheden beschouwd.

Na 30 juni ontving de Vennootschap een transparantieverklaring van de Heer Callewaert dat zijn aandelenbezit in Crescent 9,64% bedraagt op 6 augustus; Alychlo meldde verwerving van 20 miljoen bijkomende aandelen sinds 30 juni.

Financiële schulden

Op 30 juni 2019 had de groep uitstaande financiële schulden van in totaal 6.100 k€. De stijging ten overstaan van de positie per eind december van 4.814 k€ wordt voornamelijk verklaard door de opname van de lease-verplichtingen door de eerste toepassing van IFRS 16, wat de financiële schuld met 1.899 k€  verhoogd heeft. Hiertegenover werden voor 1.877 k€ gebruiksrechten op activa toegevoegd in de vaste activa.

Werkkapitaal

 Het netto werkkapitaal daalde verder met 1,3 miljoen EUR, wat volledig wordt verklaard door de toegenomen schuld voor de verwerving van Any-IT en 2 Invision Managed Services BV. Dit bedrag is verschuldigd aan de Heer Van Zele.

 Raad van Bestuur

 In de Algemene Aandeelhoudersvergadering van 20 juni jl. werden volgende onafhankelijke bestuurders aangesteld voor een periode van zes jaar: Mevrouw Prof. dr. Liesbet VAN DER PERRE, S&S BVBA vast vertegenwoordigd Mevrouw Prof. dr. Sarah STEENHAUT en Mevrouw Lieve DECLERCQ. Verder werd ook MICHIELS INVEST & MANAGEMENT BVBA vast vertegenwoordigd door de Heer Johan MICHIELS benoemd.

Van Zele Holding NV, vast vertegenwoordigd door de Heer Eric VAN ZELE, CRESCEMUS BVBA vast

vertegenwoordigd door de heer Pieter BOURGEOIS EN DE Heer Raju DANDU werden herbenoemd voor een periode van zes jaar.

Overname Uest nv

De Groep heeft op 5 juli 2019 100% van de aandelen verworven in Uest NV. De overname kadert in de strategie van de Crescent groep om te groeien via geïntegreerde IoT oplossingen en een uitbreiding van het activiteitenportfolio. Uest NV produceert, verkoopt en ondersteunt persoonlijke alarmsystemen voor senioren onder de merknaam Zembro. Zembro heeft een software-serviceplatform ontwikkeld dat gekoppeld aan de knowhow van Crescent in andere markten zal ingezet worden. UEST NV zal vanaf het tweede semester bijdragen tot de omzet en EBITDA van de groep.

De overnames van Livereach Media Europe Bvba en Crescent Smart lighting BV werden nog niet formeel afgerond; verwacht wordt dat dit voor jaareinde zal gebeuren.

Risico’s en onzekerheden

De meeste van de risico’s en onzekerheden worden bepaald door de specifieke evolutie van de markten waarin Crescent actief is.

Door de omgekeerde overname in 2018 is de facto het risicoprofiel van de Vennootschap veranderd en gemiddeld afgenomen doordat zij nu in drie verschillende markten actief is met elk hun eigen specifieke risico’s. Uiteraard zal voor de drie segmenten de gebeurlijke verslechtering van de macro-economische toestand een mogelijke negatieve rol spelen die niet zou toelaten dat het ene segment de mindere resultaten van de andere volledig kan opvangen. Verder heeft de nieuwe samenstelling van de Groep ook gevolgen voor de continuïteit, ondanks de immer beperkte kaspositie, hebben de segmenten Service en Lighting aangetoond dat zij inherent kaspositief werken, en daardoor in staat zijn de negatieve resultaten van het segment Solutions op te vangen.

In de Services- activiteiten is er de voortdurende uitdaging tot aanwerving van voldoende en competente ICT-profielen, naast het voortdurend beheersen van de cyber-risico’s zowel in de interne ICT-infrastructuur als in deze van de klanten.

In het solutions segment en vooraleer in te gaan op de specifieke risico’s voor de sector waarin Crescent NV (voormalig Option NV) actief is, wenst de Vennootschap te wijzen op de cycliciteit van de telecommarkt waarin Aardingen Maro haar belangrijkste omzet vandaan haalt, en op de inherente risico’s eigen aan de projectbusiness van SAIT BV door haar eindverantwoordelijkheid als integrator van verkochte oplossingen.

De markt waarin Crescent NV actief is, wordt gekenmerkt door de snelle en opeenvolgende introducties van nieuwe technologieën. Deze brengen inherent een aantal uitdagingen mee, zoals het tijdig intern terbeschikking hebben van de nodige competenties om de aanpassingen te kunnen doen om de produkten prijs/kwalitatief concurrentieel te houden, en de externe inkoop waar nodig om toegang te houden tot technologielicenties binnen de uitgestippelde product-roadmap. Bovendien moet elke nieuw product dat in de markt wordt geïntroduceerd gecertificeeerd worden inzake straling, veiligheid en compatibiliteit met de gangbare operatornetwerken. Nonconformititeit in dit certificatieproces verhoogt het risico op bijkomende kosten, en gemiste inkomsten. Ondanks de wereldwijde groei van 18% in gateway verkopen in 2018, is de adoptie van IoT verschillend in de diverse werelddelen en vormt de juiste positionnering zowel wat type gateway als timing een uitdaging, en een risico inzake rendabiliteit. Binnen de contouren van deze IoT markt, blijft waakzaamheid geboden om in orde te blijven met de intellectuele eigendomsrechten van alle betrokkenen, zowel concurrenten, leveranciers als klanten. Indien de verwachte explosie van de Internet of Things markt zich doorzet, zal het aantal aan internet geconnecteerde toestellen een gigantische groei kennen waardoor ook het risico op hacking en security-incidenten exponentieel zal toenemen. De oplossingen die worden aangeboden zullen voortdurend moeten rekening houden met deze cyberbedreigingen en evolueren telkens er nieuwe risico’s opduiken.

In de Lighting divisie is er enerzijds het risico dat de LED-technologie voorbijgestreefd wordt door andere

technologiëen vooraleer het merendeel van de bestaande normale armaturen door LED zijn vervangen, en anderzijds dat de smart lighting oplossingen niet bijtijds deze dalende markt zou hebben opgevuld.

Voor de hele groep, wensen wij onderstaand nog in te gaan op de continuïteit van de onderneming:

Eind december 2018 bedroeg de opname van het kortlopend Belfiuskrediet 1,45 miljoen EUR en de opname van de additionele kredietlijn van Van Zele Holding NV beliep 0,4 miljoen EUR. De cashpositie stond op 0,6 miljoen EUR. Eind juni 2019 is het Belfiuskrediet verhoogd naar 1,5 miljoen EUR, zij het dat de groep begonnen is met de aflossing van het investeringskrediet (0,08 miljoen EUR tijdens het eerste semester); de kredietlijn van Van Zele Holding NV stond nog op 0,4 miljoen EUR de cashpositie op 0,4 miljoen EUR en blijft daarmee beperkt. De bruto financiële schuld bedroeg eind 2018 4,8 miljoen EUR, deze bedraagt eind juni 2019 4,2 miljoen EUR, vermeerderd met de 1,9 miljoen EUR aan huur- en leaseverplichtingen ten gevolge van de toepassing van IFRS 16.

De schuldpositie veranderde niet noemenswaardig in vergelijking met begin van het jaar, zij het dat de referentie-aandeelhouders de vennootschap bijkomende kredieten hebben toegestaan om haar in staat te stellen de resterende externe brugfinanciering van 0,5 miljoen EUR terug te betalen.

Het management blijft geloven dat in de toekomst en in afwachting van een positieve cashflow in het segment Solutions, de segmenten Services en Lighting de negatieve EBITDA van het segment Solutions volledig moeten kunnen compenseren, wat evenwel nog niet het geval was in de eerste jaarhelft.

In afwachting van de verwachte doorbraak van de door Crescent NV nieuw gelanceerde produkten in de IOT markt, hebben de referentie-aandeelhouders hun steun toegezegd om de kasnoden in deze tussenperiode op te vangen indien de Vennootschap de middelen zelf nog niet kan genereren. Zo hebben zij hun voorschotten verhoogd in het derde kwartaal met 0,6 miljoen EUR, om de liquiditeitspositie van de groep te ondersteunen.

De Raad van Bestuur heeft de beslissing genomen om de schuldpositie van de vennootschap voor jaareinde af te bouwen door alle bestaande schulden aan aandeelhouders ten gevolge van de recente en de twee nog lopende overnames, alsmede de verstrekte voorschotten ter verbetering van de liquiditeitspositie in te brengen in kapitaal. Deze inbreng in natura zal een nominaal bedrag vertegenwoordigen van ongeveer 5 miljoen EUR. De Raad van Bestuur heeft verder de uitgifte van een nieuw warranteplan voor het senior management goedgekeurd.

Rekenend op de verbetering van de EBITDA, en de hierboven beschreven schuldafbouw is de Raad van Bestuur van oordeel dat de Vennootschap over voldoende middelen zal beschikken om in de komende jaren haar plan te realiseren.

  1. De verkorte financiële overzichten, die zijn opgesteld overeenkomstig de toepasselijke standaarden voor jaarrekeningen, een getrouw beeld geven van het vermogen, van de financiële toestand en van de resultaten van de Vennootschap en haar geconsolideerde ondernemingen;
  2. Het tussentijdse verslag een getrouw overzicht geeft van de belangrijke gebeurtenissen en de belangrijkste transacties die zich in de eerste zes maanden van het boekjaar hebben voorgedaan en het effect daarvan op de verkorte financiële overzichten, evenals een beschrijving van de voornaamste risico’s en onzekerheden voor de resterende maanden van het boekjaar.

Crescent Half-year results 2019

  H1 Highlights

 - The turnover of the group increases by 14% to EUR 8.9 million compared to EUR 7.8 million in the first half of 2018

- EBITDA amounts to EUR 0.5 million in the first semester compared to EUR 0.3 million in the first half of 2018

- At the beginning of July Crescent acquired UEST NV, (www.zembro.com)

- The group maintains its outlook for double digit revenue growth for 2019 with a positive EBITDA

 

Results of first half-year

 The group's revenue amounted to k€ 8,903, compared to k€ 7,838 in the first half of 2018 and an EBITDA of k€ 525, compared to k€ 300 in the first half of last year. The pro forma revenue in the first half of 2018 amounted to k€ 9,966 with an EBITDA of k€ -508. The pro forma results of the 2018 group are presented as if all companies included in the consolidation scope on 30 June 2019 contributed a full half year to the results.

(The reported revenue of k€ 7,838 was increased in the pro forma figures with k€ 1,335 (Crescent NV's revenue for the first five months), and the NE-IT revenue of k€ 793 for the first quarter to bring the total revenue to k€ 9,966.)

The net result of the group amounted to k€ -452 compared to k€ -20,044 in the first half of 2018, which was then mainly due to the goodwill impairment of Crescent NV as a result of the reverse takeover of May22, 2018.

The revenues and EBITDA of the three divisions were in the first semester:

In the Solutions division, Crescent NV (formerly Option NV) contributed EUR 1.8 million to the revenue increase, the pro forma revenue increase over the entire six months amounted to EUR 0.5 million; SAIT BV's revenue decreased by EUR 0.7 million. As far as EBITDA is concerned, SAIT BV’s EBITDA decreased by EUR 0.2 million to EUR -0.3 million, on the other hand Crescent NV’s EBITDA improved with EUR 0.3 million to EUR 0.4 million for the half-year. It needs to be noted that a one time net revenue of EUR 0.3 million was included in this result. The pro forma half-year EBITDA of Crescent NV improved by EUR 1.2 million.

The impact of the introduction of the new Cloudgate product family at the end of the second quarter is expected to further improve sales from the fourth quarter onwards.

For SAIT BV, the plan for the second semester was rewritten and a breakeven was targeted as an objective.

Revenue in the Services division improved mainly because of the addition of the activities of Ne-IT Hosting and Automatisering BV which were included for the full semester. Due to the integration of the IT services activities of Any-IT, and 2 Invision Managed Services, including the Belgian company, EBITDA could be improved by EUR 0.2 million.

The turnover of the Lighting division in the first half year reflected the general purchase reluctance in the Dutch home market. Demand is expected to pick up again in the second half of the year, and commercial efforts in South Africa are also expected to lead to sales orders.

Balance Sheet

Share Capital

The extraordinary shareholders’ Assembly of June 20, decided to reduce the capital of Crescent NV

from EUR 32,446,419 to EUR 3,857,902, incorporating the same amount from a part of the losses carried forward and also decided to reduce the share premium as booked in the unavailable "Share Premiums" account by EUR 17,608,896 to EUR 0, to incorporate another part of the losses carried forward.

As a result of this balance sheet operation, Crescent NV no longer registers as a company in difficulty.

After June 30, the Company received a transparency declaration from Mr. Callewaert that its shareholding in Crescent was 9.64% on August 6; Alychlo reported the acquisition of an additional 20 million shares since June 30.

Financial debt

On June 30, 2019, the group had outstanding financial debts totaling k€ 6,100. The increase compared to the amount of k€ 4,814 at the end of December 2018 is mainly explained by the recognition of the lease obligations due to the first application of IFRS 16, which increased the financial debt by k€ 1,899. On the other hand, user rights to assets were added to the balance sheet for an amount of k€ 1,877.

Working Capital

Net working capital decreased by EUR 1.3 million, which is fully explained by the increased debt for the acquisition of Any-IT and 2 Invision Managed Services BV. This amount is due to Mr. Van Zele.

Board of Directors

At the Annual General Shareholders’ Meeting of June 20, the following independent directors were appointed for a period of six years: Mrs. Prof. dr. Liesbet VAN DER PERRE, S&S BVBA permanently represented Mrs. Prof. Dr. Sarah STEENHAUT and Mrs. Lieve DECLERCQ. Furthermore, MICHIELS INVEST & MANAGEMENT BVBA permanently represented by Mr. Johan MICHIELS was appointed as well.

Van Zele Holding NV, permanently represented by Mr. Eric VAN ZELE, CRESCEMUS BVBA

permanently represented by Mr. Pieter BOURGEOIS AND Mr. Raju DANDU were reappointed for a period of six years.

Acquisition of Uest nv

On July 5, 2019, the Group acquired 100% of the shares in Uest NV. The acquisition fits in with the Crescent group's strategy to grow through integrated IoT solutions and an expansion of the business portfolio. Uest NV produces, sells and supports personal alarm systems for seniors under the Zembro brand name. Zembro has developed a software service platform that will be deployed in other markets and further enhanced by Crescent's know-how. UEST NV will contribute to the group's revenue and EBITDA from the second semester onwards.

The acquisitions of Livereach Media Europe Bvba and Crescent Smart lighting BV have not yet been formally completed; this is expected to happen before the end of the year

Risk and uncertainties

Most of the risks and uncertainties are determined by the specific evolution of the markets in which Crescent is operating.

The reverse takeover in 2018 has de facto changed the risk profile of the Company and, on average, has decreased the level of risk because it is now active in three different markets, each with its own specific risks. Of course, the potential deterioration of the macroeconomic situation for the three segments will play a possible negative role that would not allow one segment to fully absorb the lesser results of the other. Furthermore, the new composition of the Group also influences the continuity position of the Group. Despite the continuing limited cash position, the Service and Lighting segments have shown that they are inherently cash-positive, and therefore able to compensate the negative results of the Solutions segment.

In the Services activities, there is the constant challenge of recruiting sufficient and competent IT profiles, in addition to constantly managing cyber risks both in the internal IT infrastructure and in that of the customers.

In the solutions segment and before addressing the specific risks for the sector in which Crescent NV (formerly Option NV) operates, the Company wishes to point out the cyclicality of the telecom market from which Aardingen Maro derives its most important revenues, and the risks inherent in SAIT BV's project business due to its ultimate responsibility as an integrator of solutions sold.

The market in which Crescent NV is active is characterized by the rapid and continuing introduction of new technologies. These inherently present a number of challenges, such as having the necessary competences available internally in order to be able to keep the products price / qualitatively competitive, and external procurement necessary to keep access to technology licenses within the defined product road map. In addition, every new product that is introduced to the market must be certified for radiation, safety and compatibility with current operator networks. Non-conformity in this certification process increases the risk of additional costs and lost income. Despite the worldwide growth of 18% in gateway sales in 2018, the adoption of IoT is different in the various continents and the correct positioning involves a challenge both for the choice of type of gateway type and for the adequate timing of market introduction, and hence bears a profitability risk. Within the contours of this IoT market, vigilance remains necessary to stay in order with the intellectual property rights of all parties involved, both competitors, suppliers and customers. If the expected explosion of the Internet of Things market continues, the number of devices connected to the Internet will grow enormously, which will also increase the risk of hacking and security incidents exponentially. The solutions that are offered will have to constantly take into account these cyber threats and evolve every time new risks arise.

In the Lighting division, on the one hand, there is the risk that the LED technology will be replaced by other technologies before the majority of existing normal luminaires have been replaced by LED, and on the other hand that the smart lighting solutions would not have filled this declining market in time.

For the entire group, we would like to discuss the continuity risk of the company:

At the end of December 2018, the drawdown of the current Belfius credit amounted to EUR 1.45 million and the drawdown of the additional credit line of Van Zele Holding NV amounted to EUR 0.4 million. The cash position stood at EUR 0.6 million. At the end of June 2019, the Belfius credit was increased to EUR 1.5 million, be it that the group has started to repay the investment credit (EUR 0.08 million during the first semester); the credit line of Van Zele Holding NV was still at EUR 0.4 million and the cash position stood at EUR 0.4 million and therefore remains limited. The gross financial debt amounted to EUR 4.8 million at the end of 2018 and amounted to EUR 4.2 million at the end of June 2019, increased by the EUR 1.9 million in rental and lease obligations resulting from the application of IFRS 16.

The debt position did not change significantly compared to the beginning of the year, although the reference shareholders have allowed the company additional loans to enable it to repay the remaining external bridge financing of EUR 0.5 million.

Management continues to believe that until the moment a positive cash flow is obtained in the Solutions segment, the EBITDA derived from the Services and Lighting segments should be capable of fully offsetting the negative EBITDA of the Solutions segment, which was not yet the case in the first half of the year however.

Anticipating the breakthrough of the new products launched by Crescent NV in the IOT market, the reference shareholders have promised their support to meet the cash needs in this interim period if the Company cannot yet generate the funds itself. For example, they increased their advances in the third quarter by EUR 0.6 million to support the liquidity position of the group.

The Board of Directors has taken the decision to reduce the company's debt position by year-end by incorporating all existing debts to shareholders as a result of the recent and the two still ongoing acquisitions, as well as the advances made by shareholders to improve the liquidity position, into capital. This contribution in kind will represent a nominal amount of approximately EUR 5 million. The Board of Directors also approved the issuance of a new warrant plan for senior management.

Based on the improvement in EBITDA and the debt reduction described above, the Board of Directors is of the opinion that the Company will have sufficient means to realize its plan in the coming years.

Crescent NV buys Uest NV ("ZEMBRO") and announces other acquisitions and changes in participation.

 

Leuven, Belgium – July 12, 2019 – 18h, Crescent NV, (Euronext Brussels: OPTI) and Alychlo NV & CAREvolution NV, report that the purchase/sale of UEST NV ("ZEMBRO") has been completed. All of the shares (100%) of UEST NV were hereby sold to Crescent NV.

 

After the rightsizing of Option NV and subsequent merger with Crescent NV, the group evolved into 4 Operating Divisions : IoT Devices, Managed Services, Lighting and IoT Solutions.

“This acquisition fits in the strategy of the Crescent Group to grow via integrated IoT solutions and an expansion of the activity portfolio in the important healthcare segment”, says Chairman Eric Van Zele.

 

UEST NV, under the brand name of "ZEMBRO", develops; markets and supports personal alarm systems for seniors and currently has more than 4,000 active users. Moreover ZEMBRO has also developed a very valuable software service platform, that –linked with the Crescent know-how– will be deployed into other markets (health, location monitoring , security, etc.).

Bagaar will use Option’s communication technology to connect corporate technical installations to the industrial Internet. This helps industrial companies to intelligently automate analogue and digital industrial machines - in other words, to implement Industry 4.0.

De Raad van Bestuur wenst aandeelhouders te informeren over het verloop van de voorgenomen transactie zoals gepubliceerd op 27 november 2017.

Na ontvangst van de positieve fairness opinie over de beoogde prijs voor de Crescent aandelen, heeft het management contact opgenomen met verschillende autoriteiten om ervoor te zorgen dat de resterende financiële schulden worden overgedragen (d.w.z. ingebracht in het kapitaal van Option) zo soepel als mogelijk. Het management kwam tot de conclusie dat er meer tijd nodig is om de verschillende schulden en hun fiscale behandeling in kaart te brengen. Als gevolg hiervan heeft de Raad van Bestuur besloten om de voorgestelde transactiedatum te verschuiven naar 29 maart 2018.

The Company reports today that an agreement in principle between its majority shareholders has been reached to:

 

  • Contribute more than 80% (or 6.5 m€) of the remaining financial debt of the Company into the capital of the Company, with diligent negotiations ongoing for the remaining 20%;
  • Provide a new bridge funding of 1.6 m€ for repayment of historic but critical short term non-financial debt obligations of the Company, that will also be contributed into the capital;
  • Acquire 100% of the shares of Crescent NV, through the issue of new shares, in order to strengthen its net equity position and enable the Company to successfully transition into end to end IoT systems solutions for its evolving customer base;
  • Establish a new company (Newco) with an enlarged strategic focus on the provision of integrated IoT systems and solutions for both industrial as well as public sector customers.
  • Install and empower a new senior management team under the capable leadership of Mr Guy Coen, who is appointed as CEO effective immediately.

More information on the Transaction

 

As part of the agreement, a minimum of 8.100.000 EUR will be contributed into the capital of the Company, including new bridge funding in the amount of 1.625.000 EUR.

 

The new bridge funding is granted by Alychlo for 1.500.000 EUR and by Van Zele Holding for 125.000 EUR at zero interest rates which will allow the Company to continue activities beyond 2017. The new bridge loans will also be converted into equity subject to shareholders’ approval.

 

The Company will continue negotiations with the other investors in order to convert all remaining financial debt (of 1.500.000 € outstanding) into capital, and by doing so, help to build a stronger balance sheet for the Company.

 

Next, the Company decided to acquire 100% of the shares of Crescent NV, registered at Z.I. Research Park 110, 1731 Zellik (RPR 810.833.490) for an estimated value of 10.125.000 EUR, subject to a fair value assessment of an external auditor, against issue of new shares.

 

Crescent NV is a holding company, controlled by Van Zele Holding NV (80%), comprising a number of operating companies active in smart LED lighting (Innolumnis BV), ICT ( 2Invision MS BV) and contracting ( Aardingen Maro BVBA). Crescent expects to produce a turnover of 12.500.000 EUR in 2017 with an EBITDA estimated at 500.000 EUR in 2017. Current number of employees of the Crescent group is 45 by end of the year and combined with Option, the New Crescent-Option group will have about 75 employees. Crescent NV’s equity stands at 7.600.000 EUR. The primary focus for Newco’s management in 2018 will be to become cash flow positive. This is necessary to bring stability and to start executing a longer-term value creation plan while providing a liquidity buffer for the expected gradual improvement of the contribution of Option’s actual business to Newco.

 

The Board of Directors will convene an Extraordinary Shareholders meeting with target date 28 February 2018 to approve the conversion of the debt into capital and the acquisition of Crescent against issue of the new shares at 2 cent per share. The issue price of the shares is accepted by the Board based on the continued severe liquidity issues of the Company and the negative equity.

Moreover Additional funding will be needed to cover restructuring costs and working capital needs.

 

A new mission/strategy and business plan for Newco will be defined under the leadership of Mr Guy Coen who has accepted a mandate as new CEO and a new name will be announced at the convocation to the Extraordinary Shareholders Meeting (targeted 28 February 2018).

 

Mr. Guy Coen, Phd, 48, has extensive leadership experience in high-tech companies. After an international career with Siemens as R&D Director Enterprise Communication and Business Unit Manager Systems Integration, he started working in 2009 for Barco as R&D Director Control Rooms with teams in Belgium, Germany and India. In 2011, he initiated and lead the venture for Barco that developed and marketed the successful ClickShare product line. In 2013, he became General Manager of AWIND Inc. in Taiwan. In recent years, he operated out of Taiwan and worked as consultant for a number of start-up companies in US, Europe and Asia.

 

The capital increase following the conversion of financial debt and the contribution of Crescent, (at 2 cent per share) will result in a new capital structure with following thresholds (multiple of five percent (5%)), expected to be crossed:

Samenvatting

 

De Vennootschap kondigt aan dat een principeakkoord werd bereikt met de grootste aandeelhouders:

 

  • Meer dan 80% van uitstaande financiële schulden (hetzij 6.5 mio EUR) wordt ingebracht in het kapitaal van de Vennootschap, en actieve gesprekken lopen voor de resterende 20%;
  • Nieuwe overbruggingsleningen van 1.6 mio EUR worden verstrekt voor de terugbetaling van historische maar kritische niet-financiële schuldverplichtingen, welke leningen mee worden ingebracht in het kapitaal van de Vennootschap;
  • 100% van de aandelen van Crescent NV wordt overgenomen, door uitgifte van nieuwe aandelen, om het netto-actief van de Vennootschap te versterken en de Vennootschap toe te laten om succesvol te evolueren naar end to end IoT systeemoplossingen voor haar groeiende klantenbestand;

Meer informatie over de Transactie

 

Als onderdeel van de overeenkomst zal een minimum van 8.100.000 EUR worden ingebracht in het kapitaal van de Vennootschap, inclusief nieuw overbruggingskrediet voor een bedrag van 1.625.000 EUR.

 

De nieuwe overbrugging wordt door Alychlo toegekend voor 1.500.000 EUR en door Van Zele Holding voor 125.000 EUR tegen een nihilrente, waardoor de Vennootschap haar activiteiten na 2017 kan voortzetten. Deze leningen zullen mee worden voorgelegd aan de algemene vergadering tot goedkeuring van inbreng in het kapitaal van de Vennootschap.

 

De Vennootschap zal de onderhandelingen met de andere investeerders voortzetten om alle resterende financiële schuld (van 1.500.000 €) om te zetten in kapitaal en zo bij te dragen aan een sterkere balans voor het bedrijf.

 

Vervolgens heeft de Vennootschap beslist om 100% van de aandelen van Crescent NV, met zetel te Z.I. Research Park 110, 1731 Zellik (RPR 810.833.490), te verwerven tegen uitgifte van nieuwe aandelen voor een geschatte waarde van 10.125.000 EUR, onder voorbehoud van een beoordeling van de marktwaarde door een externe accountant.

 

Crescent NV is een holding, gecontroleerd door Van Zele Holding NV (80%) bestaande uit een aantal werkmaatschappijen actief in smart LED lighting (Innolumnis BV), ICT (2Invision MS BV) en aanbestedende diensten (Aardingen Maro BVBA). Crescent verwacht in 2017 een omzet van 12.500.000 EUR te behalen met een EBITDA geschat op 500.000 EUR in 2017. Het huidige aantal werknemers van de Crescent-groep is 45 aan het einde van het jaar en in combinatie met Option zal de New Crescent-Option-groep ongeveer 75 werknemers tellen. Het eigen vermogen van Crescent NV bedraagt ​​7.600.000 EUR. De primaire focus voor Newco's management in 2018 zal zijn om cashflow-positief te worden. Bovendien is aanvullende financiering nodig om de herstructureringskosten en de behoefte aan werkkapitaal te dekken.

 

Een nieuwe missie / strategie en business plan voor Newco zal worden bepaald onder leiding van de heer Guy Coen die een mandaat heeft aanvaard als nieuwe CEO en een nieuwe naam zal worden aangekondigd bij de oproeping tot de buitengewone algemene vergadering (gepland op 28 februari 2018).

 

De heer Guy Coen, Phd, 48, heeft uitgebreide leiderschapservaring in hightechbedrijven. Na een internationale carrière bij Siemens als R & D-directeur Enterprise Communication en Business Unit Manager Systems Integration, begon hij in 2009 voor Barco als R & D Director Control Rooms met teams in België, Duitsland en India. In 2011 startte en leidde hij de onderneming voor Barco die het succesvolle ClickShare-product ontwikkelde en op de markt bracht. In 2013 werd hij General Manager van AWIND Inc. in Taiwan. LEUVEN – België – 30 juni 2017 – 17h30 CET - De Vennootschap meldt dat vandaag met succes een tweede deel van vorderingen uit converteerbare obligaties en leningen werd ingebracht in het kapitaal. In totaal werd voor € 11.646.400,00 aan vorderingen ingebracht aan een gemiddelde aandelenkoers van 10 cent per aandeel hetgeen resulteert in een verhoging van het kapitaal met een bedrag van  € 5.823.200,00 waardoor dit van € 9.056.004,55 wordt gebracht op € 14.879.204,55 met uitgifte van 116.464.000 nieuwe aandelen. Het totale aantal aandelen bedraagt thans 297.584.091 aandelen zonder vermelding van nominale waarde.

De nieuwe aandelen zullen vanaf hun notering de vorm aannemen van gedematerialiseerde aandelen, te plaatsen op een effectenrekening bij een financiële instelling naar keuze van de inbrenger. In afwachting daarvan zullen de nieuwe aandelen initieel op naam worden uitgegeven.

In het kader van de toelating van de nieuwe aandelen tot de verhandeling op een Belgische gereglementeerde markt, zal met toepassing van artikel 18,§2, d van de Wet van 16 juni 2006 op de openbare aanbieding van beleggingsinstrumenten en de toelating van beleggingsinstrument tot de verhandeling op een gereglementeerde markt, informatie beschikbaar gesteld worden voor het publiek.

LEUVEN - Belgium - June 30, 2017 - 17h30 CET - The Company reports today that a second part of receivables from convertible bonds and loans has been successfully incorporated into the capital.

 

A total of € 11,646,400.00 of receivables was contributed in the capital of the Company at an average share price of 10 cents per share, resulting in an increase of € 5,823,200 in capital amounting from € 9,056,004,55 before transaction to € 14,879,204.55 after transaction with the issue of 116,464,000 new shares. (EURONEXT Brussels: OPTI; OTC: OPNVY), the company connecting Things to the Cloud, today announced its results for the first half fiscal year ended June 30 2016. The financial information reported in this release is presented in Euros and has been prepared in accordance with the recognition and measurement criteria of IFRS as adopted by the European Union. The accounting policies and methods of computation followed in the attached financial statements are the same as those followed in the most recent annual financial statements.

 

FINANCIAL HIGHLIGHTS OF THE FIRST HALF FISCAL YEAR 2016

Total revenues for the first half year of 2016 were EUR 3,9 million compared with EUR 2,6 million realized in the first half of 2015, an increase of 50%. This increase was mainly the result of Public Lighting sales (EUR 1,9 Mio) resulting from the acquisition of Innolumis Public Lighting BV and Lemnis Public Lighting BV in January 2016.
IOT related revenues decreased from EUR 1,3 million to EUR 0,8 million. This decrease is temporary and was the result of a change in strategy by the new management of the company which is expected to result in increased IOT sales in the second half of 2016.

Gross margin for the first half year of 2016 was 45,8 % on total revenues compared with a gross margin of 42,1 % for the comparable period in 2015.

-

Thanks to the continuous cost reductions, the operating expenditure decreased with 1,1 Million EUR. As the Opex includes EUR 780 thousand for the newly acquired Public Lighting business, the actual Opex savings amount to EUR 1,9 million.

Financial costs increased, mainly as a result of interests due on the bridge loans which were issued in the first half of 2015 and in 2016 and also because of exchange rate losses.

The first half of 2016 EBIT amounted to EUR -3,2 million compared to EUR -5,0 million during the corresponding period 2015.  The net result amounted to EUR -4,5 million compared to EUR -6,0 million as per June 30 2015. The newly acquired Public Lighting Business made a small net profit of EUR 13 thousand.

The cash position decreased from EUR 4,1 million at the end of 2015 to EUR 0,4 million at the end of June 2016.

During the first half of 2016, the company received a bridge funding of 0,8 million EUR.

During the first half of 2016, 1.546.492 new shares we created as the result of the conversion of convertible bonds.

“Since the Board entrusted me with the Management of the Company following the departure of the CEO, I have focused on redirecting the CloudGate go-to-market from an indirect sales to a direct sales model.

Directly understanding the needs from end customers looking for IoT solutions enabled by the complete CloudGate solution is proving successful.

We are experiencing a business shift where we see the majority of sales coming from direct relationships with industrial corporations and manufacturers. I am happy to announce that the Company won business in the field of water pump monitoring, advanced energy monitoring, water consumption measurement in apartment buildings, frozen pipes monitoring in public buildings and connected stores.

 

Option’s daughter Innolumis, operating in the LED public lighting business, since its acquisition, is already at a break-even level and is showing promising opportunities in expanding its sales in Europe and beyond.  With the demand of cities and municipalities for energy-efficient street lighting, coupled with smart technology, we are currently in discussions to start piloting several city projects.

 

We have passed the tipping point and in today’s outlook, we are confident to see Option’s overall revenues nearly double for 2016 compared to 2015.

Business Update

In the first half of the year Option still faced postponed sales. However, this trend is changing as after a change in management the focus shifted towards a direct sales model and the Company has now sufficient signed sales orders to be confident to realize increased sales in the second half of the year.

Throughout the first half of 2016 the Company continued to embark on commercializing end-to-end solutions in different business segments.

  • Smart Lighting Solutions: through the acquisition of InnoLumis, the Company has a Smart Lighting Solution, generating a vivid interest from numerous cities and municipalities;
  • CloudGate customized solutions: strategic partnerships were signed during the first half of 2016 with industrial as well as retail partners, with an expectation to substantially increase our CloudGate sales.
  • Connected Car Solutions: through the strategic partnership with Danlaw Inc., the Company, has a complete Connected Car Solution targeted towards insurance companies and fleet managers;

On the financial level, the Company has limited means, but will continue its efforts to search and find funding and restructure its balance sheet in order to facilitate its commercial projects and activities.

 

Corporate

 

On January 21, 2016 Option announced the acquisition of the shares of the Dutch LED lighting companies Lemnis Public Lighting BV and Innolumis Public Lighting BV and merges the two companies into a single commercial organization under the name Innolumis Public Lighting.

On January 26, 2016, the Extraordinary Shareholder’s Meeting of the Company decided to renew the authorized capital of the Company for a total amount of four million eight hundred forty four thousand eight hundred two euro and seventy cent (EUR 4,844,802.70), both by means of contribution in cash or in kind, within the limits imposed by the Belgian Code of Companies as well as by conversion of reserves and issue premiums, with or without the issue of new shares, with or without voting right, or trough the issue of convertible bonds, subordinated or not, or through the issue of warrants or of bonds to which warrants or other movables are linked, or of other securities, such as shares in the framework of a Stock Option Plan. Furthermore, the extraordinary Shareholder’s Meeting of the Company decided, to grant the board of directors special authority, in the event of a public takeover bid for securities issued by the Company during a period of three (3) years, running from the Extraordinary Shareholders’ Meeting which has resolved on this authorization, to proceed with capital increases under the conditions foreseen by the Belgian Code of Companies. The extraordinary Shareholder’s Meeting of the Company decided to authorize the board of directors, in the interest of the company, within the limits and in accordance with the conditions imposed by the Belgian Code of Companies, to limit or suspend the preferential rights of the shareholders, when a capital increase occurs within the limits of the authorized capital. This limitation or suspension may likewise occur for the benefit of one or more specified persons.

Furthermore, the Extraordinary Shareholder’s Meeting of the Company decided to grant 17 391 304 warrants to Danlaw Inc. for a total amount of EUR 4 million, if exercised, this would increase the capital of the company with eight hundred sixty-nine thousand five hundred sixty five euro and twenty cent (EUR 869,565.20).

On March 9, 2016 the Board of Directors has decided to terminate the mandate of the CEO, Frank Deschuytere, with immediate effect. The Board has decided to entrust its Executive Chairman, Mr. Jan Callewaert, with the daily management of the Company.

On May 12, 2016, 1.546.492 new shares were created as a result of the conversion of convertible bonds.

The decisions to terminate the mandates of FDVV CONSULT BVBA, represented by Mr. Frank Deschuytere, and JINVEST BVBA, represented by Jurgen Ingels, as directors of the Company, were accepted and approved by the Shareholder’s Meeting of May 31, 2016.

On June 3, 2016 the Board decided to co-opt VERMEC NV, represented by Peter Cauwels as new independent non-executive director of the Board for a period of 4 years as from July 1st, 2016.

As of June 30, 2016, the Board was composed of five members, namely: (1) Mr. Jan Callewaert, executive Chairman, (2) Raju Dandu, non-executive director, (3) FVDH Beheer BVBA, represented by Mr. Francis Vanderhoydonck (permanent representative), non-executive independent director, (4) Qunova BVBA, represented by Mr. Jan Vorstermans (permanent representative), non-executive independent director, and (5) Sabine Everaet, non-executive independent director.

 

Going concern              

 

Given the continued cash drain during the first half of 2016, the Board continues to work on project and financial funding, and further cost alignment.

 

On the day of the publication of this report, the Company has very limited financial means.

 

However, the most recent sales forecasts, based on concrete signed orders, indicate a growth compared to actual realized revenues in the first half of the year. On that basis, there is sufficient confidence that the required additional funding will be found.

Thus, The company is taking initiatives to strengthen the group’s financial position in the short-term, in addition to the financial commitments until the end of October 2016 as set out in the annual report. The Company continues the negotiations on the balance sheet restructuring as also the search for new investors at the level of the group or its subsidiaries.

 

The Company is working on a long-term solution. The Company will further report to the market by the end of September and thereafter on an ongoing basis.

 

Therefore the Board has decided to prepare the interim accounts under the going concern principle.

 Leuven, België – 1 september 2016 Option N.V. (EURONEXT Brussel: OPTI; OTC: OPNVY), het bedrijf dat staat voor ‘Connecting Things to the Cloud’, heeft vandaag haar resultaten bekendgemaakt voor het eerste halfjaar van 2016, eindigend op 30 juni. De resultaten zijn uitgedrukt in euro en werden opgesteld in overeenstemming met de opname- en waarderingsgrondslagen van IFRS zoals aanvaard binnen de Europese Unie. De boekhoudprincipes en waarderingsregels die in de onderstaande financiële rapportering worden gevolgd, zijn dezelfde als deze in de meest recente jaarrekening.

 

Financiële kerncijfers voor het eerste halfjaar van 2016

De opbrengsten voor het eerste halfjaar van 2015 bedroegen 3,9 miljoen EUR in vergelijking met 2,6 miljoen EUR tijdens het eerste halfjaar van 2015, een stijging van 50%. Deze stijging was voornamelijk het gevolg van Public Lighting verkopen (1,9 Mio EUR) die volgen uit de overname van Innolumis Public Lighting BV and Lemnis Public Lighting BV in januari 2016.
IOT verkopen daalden van 1,3 naar 0,8 miljoen EUR. De daling is van tijdelijke aard en volgt uit een strategiewijziging van het nieuwe management welke verwacht wordt te leiden tot stijgende IOT verkopen in de tweede jaarhelft van 2016

De brutowinstmarge van het eerste halfjaar van 2016 bedroeg 45,8 % ten opzichte van de opbrengsten in vergelijking met een brutowinstmarge van 42,1 % in dezelfde periode in 2015.

Dankzij de voortdurende besparingen daalden de operationele kosten met  1,1 miljoen EUR. Aangezien de Opex voor de nieuwe het Public Lighting segment 780 duizend EUR bedraagt, is de werkelijke Opex besparing 1,9 miljoen EUR.

-

De financiële kosten stegen, vooral als een gevolg van de intresten op de brugfinancieringen uitgegeven in de eerste jaarhelft van 2015 en in 2016 en eveneens door wisselkoersverliezen.

De EBIT voor het eerste halfjaar van 2015 bedroeg  -3,2 miljoen EURO vergeleken met -5,0 miljoen EURO tijdens dezelfde periode in 2013. Het nettoresultaat kwam uit op -4,5 miljoen EURO vergeleken met -6,0 miljoen EURO op 30 juni 2014. Het nieuwe Public Lighting segment toonde een klein positief nettoresultaat van 13 duizend EUR.

De cashpositie daalde van 4,1 miljoen EURO op jaareinde 2015 naar 0,4 miljoen EURO op het einde van juni 2016.

Tijdens het eerste halfjaar van 2016, verkreeg de onderneming een overbruggingskrediet van 0,8 Mio EURO.

-

Tijdens het eerste halfjaar van 2016 werden 1.546.492 nieuwe aandelen gecreëerd ten gevolge van de conversie van converteerbare obligatieleningen.

 

 


 

Jan Callewaert, Executive Chairman van Option:

 

“Sinds de Raad van Bestuur mij het management van het bedrijf toevertrouwd heeft, na het vertrek van de CEO, heb ik me gericht op het heroriënteren van de go-to-market voor CloudGate van een indirect naar een direct verkoopsmodel. Contacten met de eindgebruikers die IoT oplossingen nodig hebben en dus direct van hen horen wat hun noden zijn blijkt succesvol te zijn.

 

We zitten nu in een verschuiving van het business model waarbij het merendeel van de verkoop komt van directe contacten met industriële bedrijven en fabrikanten. Ik ben verheugd te kunnen melden dat het bedrijf contracten gesloten heeft voor diverse oplossingen: het monitoren van waterpompen, energie monitoring, het meten van het waterverbruik in appartementen en voor het monitoren van bevroren leidingen in publieke gebouwen en geconecteerde winkels.

 

Option’s dochter Innolumis, actief in de publieke verlichting op basis van LED, is sinds de overname  op break-even niveau en door het uitbreiden van de verkoopsinspanningen naar Europa en verder dienen zich veelbelovende opportuniteiten aan. Met de vraag van steden en gemeenten naar energie-efficiënte straatverlichting gekoppeld aan slimme technologie zijn we nu in gesprek met verschillende steden om pilootprojecten op te starten.

 

We zijn het kantelpunt voorbij en in onze vooruitzichten hebben we er vertrouwen in dat de omzet in 2016 zal uitkomen op bijna het dubbele van 2015. Onze focus vandaag is ‘verkoop’.

 

 

Business update

In de eerste jaarhelft werd Option nog steeds geconfronteerd met uitgestelde verkopen. Deze trend is echter aan het wijzigen aangezien na een wijziging in het management de focus verlegd werd naar een direct verkoopsmodel en de vennootschap nu voldoende getekende verkooporders heeft om een hogere omzet in de tweede jaarhelft te realiseren.

Gedurende de eerste helft van 2016 bleef de vennootschap commerciële end-to-end oplossingen aanbieden in verschillende business segmenten.

  • Slimme Verlichting Oplossingen: door de overname van Innolumis heeft de vennootschap een Slimme Verlichting Oplossing, welke een levendige belangstelling kent bij een groot aantal steden en gemeenten;
  • Cloudgate oplossingen op maat: tijdens de eerste helft van 2016 werden strategische samenwerkingsverbanden ondertekend zowel met industriële als retail partners, met de verwachting de Cloudgate omzet aanzienlijk te verhogen.
  • Connected Car Solutions: dankzij het strategisch partnerschap met Danlaw Inc., heeft de vennootschap een complete Connected Car oplossing gericht op verzekeringsmaatschappijen en vlootbeheerders;

De Vennootschap heeft beperkte financiële middelen, maar zal haar inspanningen om financiering te zoeken en te vinden en haar balans te herstructureren verder zetten teneinde de commerciële projecten en activiteiten te bevorderen.

 

 

Corporate

 

Op 21 januari 2016 kondigde Option de overname van de aandelen aan van de Nederlandse LED verlichtingsfabrikanten Lemnis Lighting Public BV en Innolumis Public Lighting BV en voegt de twee bedrijven tot één commerciële organisatie onder de naam Innolumis Public Lighting.

Op 26 januari 2016 heeft de Buitengewone Algemene Vergadering van de Vennootschap beslist om het toegestane kapitaal van de Vennootschap te hernieuwen voor een totaalbedrag van vier miljoen achthonderd vierenveertigduizend achthonderd en twee euro en 70 cent (4.844.802,70 euro) zowel door middel van een inbreng in geld of in natura, binnen de limieten gesteld door het Belgisch Wetboek van Vennootschappen, als door de omzetting van reserves en uitgiftepremies, met of zonder uitgifte van nieuwe aandelen, met of zonder stemrecht, of via de uitgifte van converteerbare obligaties, al dan niet achtergesteld, of door uitgifte van warranten of van obligaties waaraan warranten of andere roerende zaken zijn verbonden, of van andere effecten, zoals aandelen in het kader van een Aandelenoptieplan. Bovendien heeft de Buitengewone Algemene Vergadering beslist om aan de Raad van Bestuur bijzondere volmachten toe te kennen, in geval van een openbaar overnamebod op effecten uitgegeven door de Vennootschap, en dit gedurende een periode van drie (3) jaar, die ingaat op de dag van de Buitengewone Algemene Vergadering die heeft beslist tot deze machtiging, om over te gaan tot kapitaalverhogingen volgens de voorwaarden bepaald door het Wetboek van Vennootschappen. De Buitengewone Algemene Vergadering heeft ook besloten om de Raad van Bestuur te machtigen om, in het belang van de Vennootschap, binnen de grenzen en in overeenstemming met de bepalingen van het Wetboek van Vennootschappen, de voorkeurrechten van de aandeelhouders te beperken of op te schorten wanneer een kapitaalverhoging wordt doorgevoerd binnen de grenzen van het toegestane kapitaal. Deze beperking of opheffing kan eveneens gebeuren ten gunste van één of meer bepaalde personen.

Bovendien heeft de Buitengewone Algemene Vergadering beslist om 17 391 304 warranten aan Danlaw Inc. toe te kennen voor een totaal bedrag van 4 miljoen euro, indien zij worden uitgeoefend, zou dit het kapitaal van de vennootschap verhogen met achthonderd negenenzestigduizend vijfhonderd zestig euro en twintig cent (869.565,20 euro).

Op 9 maart 2016 heeft de Raad van bestuur beslist om het mandaat van de CEO, de heer Frank Deschuytere met onmiddellijke ingang te beëindigen. De Raad heeft beslist om de Uitvoerende Voorzitter, de heer Jan Callewaert, te belasten met het dagelijkse beleid van de Vennootschap.

Op 12 mei 2016 werden 1.546.492 nieuwe aandelen gecreëerd ten gevolge van de conversie van obligaties.

De beslissingen inzake de beëindiging van de mandaten van de bestuurders  FDVV CONSULT BVBA, vertegenwoordigd door de heer Frank Deschuytere, en JINVEST BVBA, vertegenwoordigd door de heer Jurgen Ingels, werden aanvaard en bevestigd door de Algemene Vergadering van 31 mei 2016.

Op 3 juni 2016 besliste de Raad om VERMEC NV, vertegenwoordigd door de heer Peter Cauwels te coöpteren als nieuwe onafhankelijke niet-uitvoerende bestuurder voor een periode van 4 jaar vanaf 1 juli 2016.

Op 30 juni 2016 was de Raad van bestuur samengesteld uit 5 leden, met name : (1) Mr. Jan Callewaert, uitvoerend Voorzitter, (2) Raju Dandu, niet-uitvoerend bestuurder, (3) FVDH Beheer BVBA, vertegenwoordigd door de heer Francis Vanderhoydonck (vaste vertegenwoordiger), niet-uitvoerend onafhankelijk bestuurder, (4) Qunova BVBA, vertegenwoordigd door de heer Jan Vorstermans (vaste vertegenwoordiger), niet-uitvoerend onafhankelijk bestuurder, en (5) Sabine Everaet, niet-uitvoerend onafhankelijk bestuurder.

 

Continuïteit van de onderneming

 

Omwille van de aanhoudende cash drain tijdens de eerste jaarhelft van 2016, werkt de Raad van Bestuur verder aan project- en financiële inbreng en aan het aligneren van de kosten.

 

Op datum van de publicatie van dit rapport heeft de Vennootschap beperkte financiële middelen.

 

Echter, de meest recente vooruitzichten qua verkoop, op basis van concrete ondertekende orders, wijzen op een groei ten opzichte van de werkelijke gerealiseerde opbrengsten in de eerste helft van het jaar. Op die basis bestaat er voldoende vertrouwen dat er benodigde bijkomende financiering zal kunnen gevonden worden.

 

Aldus neemt de vennootschap initiatieven om de financiële positie van de groep op korte termijn te versterken, bovenop de financiële engagementen vermeld in haar jaarverslag tot einde oktober 2016. De Vennootschap zal de onderhandelingen aangaande de balansherstructurering en de zoektocht naar nieuwe investeerders op het niveau van de groep, dan wel een dochteronderneming verder zetten.

 

 

De vennootschap werkt aan een oplossing voor de lange termijn en zal verder verslag uitbrengen aan de markt tegen het einde van september en daarna op een permanente basis.

Daarom heeft de Raad van Bestuur besloten om de interim financiële informatie onder het continuïteitsprincipe voor te bereiden.

REGULATED INFORMATION

 

Leuven, Belgium –  April 29, 2016  Option N.V. (EURONEXT Brussels: OPTI; OTC: OPNVY), a global leader in smart wireless M2M Solutions, today published on its website its annual report for the full fiscal year 2015 ended December 31, 2015.

 

The statutory Auditor has finished his review and gives a disclaimer of opinion, similar to last year’s opinion.  The disclaimer of opinion results from the fact that the Auditor has raised questions about the reporting under going concern which the Board has explained in its annual report as follows:

“Given the continued cash drain in 2015 and 2016, the Board is looking for further cost alignment, development project- and financial funding.

On the day of the publication of the report, the Company has limited financial means. The Board has however secured new financial commitments which together with the latest sales outlook should allow the company to fund the next 6 months and secure the short term going concern.

The latest sales outlook incorporates a growth compared to actual sales realized in the first months; the company is confident it will be able to realize the outlook as it was based on concrete discussions with customers.

After this period of six months, new financing will be required.  The Board has already started first actions in this respect to strengthen the group’s financial position by means of capital increase or partnering on group or subsidiary level.

Therefore the Board has decided to prepare the annual accounts under the going concern principle.”

GEREGULEERDE INFORMATIE

 

Leuven, België –  29 April 2016  Option N.V. (EURONEXT Brussels: OPTI; OTC: OPNVY), het bedrijf dat staat voor ‘Connecting Things to the Cloud’, maakt vandaag op haar website het Jaarverslag bekend voor het volledige boekjaar 2015 afgesloten op 31 december 2015.

 

De commissaris heeft zijn beoordeling afgerond en geeft een verklaring van oordeelonthouding, zoals het oordeel van vorig jaar. Deze onthouding volgt uit het feit dat de Commissaris vragen heeft over de rapportage in het kader van going concern. De going concern werd als volgt toegelicht door de Raad van Bestuur in haar jaarverslag:

 

“Omwille van de aanhoudende cash drain tijdens 2015 en 2016, werkt de Raad van Bestuur aan het verder aligneren van de kosten en aan project- en financiële investeringen.

Op datum van de publicatie van het rapport heeft de Vennootschap beperkte financiële middelen. De Raad van Bestuur heeft echter nieuwe financiële engagementen verkregen die samen met de recente verkoopsvooruitzichten het bedrijf in staat moet stellen om de komende 6 maanden te financieren en de korte termijn continuïteit te verzekeren.

De meest recente verkoopsvooruitzichten betekenen een groei ten opzichte van de gerealiseerde omzet in de eerste maanden van het boekjaar en de onderneming heeft er vertrouwen in de vooruitzichten te kunnen realiseren gegeven deze gebaseerd zijn op concrete gesprekken met klanten.

Na deze periode van zes maanden, zal nieuwe financiering nodig zijn. De raad van bestuur heeft reeds eerste acties ondernomen om de financiële positie van de Vennootschap te versterken,middels een kapitaalverhoging of samenwerkingsverbanden op het niveau van de groep of haar dochterondernemingen.

Leuven, België – 10 maart 2016 Option N.V. (EURONEXT Brussel: OPTI; OTC: OPNVY) heeft vandaag haar resultaten bekendgemaakt voor het volledige jaar 2015, eindigend op 31 december 2015. De resultaten zijn uitgedrukt in euro en werden opgesteld in overeenstemming met de opname- en waarderingsgrondslagen van IFRS zoals aanvaard binnen de Europese Unie. De boekhoudprincipes en waarderingsregels die in de onderstaande financiële rapportering worden gevolgd, zijn dezelfde als deze in de meest recente jaarrekening.

De opbrengsten voor het jaar 2015 bedroegen 4,7 miljoen EUR in vergelijking met 5,2 miljoen EUR tijdens 2014. De CloudGate opbrengsten stegen met 1 miljoen EUR terwijl de opbrengsten van modules en devices daalden met -1,7 miljoen EUR.

 

De brutowinstmarge van 2015 bedroeg 28,3 % ten opzichte van de opbrengsten in vergelijking met een brutowinstmarge van 43,6 % in 2014. Exclusief de waardeverminderingen op voorraden van 837 duizend EUR, zou de genormaliseerde brutowinstmarge 46,1 % bedragen in 2015

Deze daling van de genormaliseerde bedrijfskosten ten belopen van 1,8 miljoen EUR is het resultaat van verdere kostenbeheersing.

EBIT in 2015 bedroeg -11,8 miljoen EUR vergeleken met -11,0 miljoen EUR in 2014.

 

Het financieel resultaat daalde van -1,8 miljoen EUR in 2014 naar -2,3 miljoen EUR in 2015, voornamelijk door de interesten op de converteerbare obligatieleningen die werden uitgegeven in het begin van het tweede kwartaal van 2015 en in november 2015 alsook door de brugfinanciering opgenomen in eerste jaarhelft van 2015.

 

De cash burn van 2015 werd opgevangen door een overbruggingskrediet van 2,7 miljoen EUR tijdens het eerste halfjaar van 2015, de uitgifte van een converteerbare obligatielening van 6,0 miljoen EUR in november 2015 en het verder benutten van het werkingskapitaal.

 

De cashpositie steeg van 1,6 miljoen EUR op jaareinde 2014 naar 4,1 miljoen EUR op het einde 2015.

 

Het netto resultaat voor 2015 bedraagt -14,1 miljoen EUR of -0,15 EUR per gewone of verwaterde aandeel. Dit in vergelijking met een netto resultaat van -12,9 miljoen EUR of -0,15 EUR per gewone of verwaterde aandeel in 2014.

 

Tijdens 2015 werden 2.116.782 nieuwe aandelen gecreëerd ten gevolge van de conversie van converteerbare obligatieleningen.

 

BUSINESS UPDATE

 

Terwijl CloudGate een wezenlijk onderdeel uitmaakt van projecten en oplossingen tonen de jaarresultaten aan dat de geplande pick-up van CloudGate verkopen niet gebeurd is. Het huidige sales proces waar meerdere partners bij betrokken zijn alvorens de oplossing bij de eind-klant belandt blijft complex, trager en met een grotere leercurve dan verwacht. Ondanks het feit dat het CloudGate plaform uniek is en geapprecieerd wordt door onze partners, is het bedrijf niet in staat gebleken om met dit platform op een duurzame en voldoende snelle manier omzet te kunnen genereren.

 

Om deze situatie aan te pakken is het bedrijf reeds in de 2de helft van 2015 en in 2016 – ook de weg ingeslagen van de verkoop van end-to-end oplossingen als go-to-market strategie.

 

  • Connected Car Solutions: via haar strategisch partnerhip met Danlaw Inc. heeft het bedrijf een volledig Connected Car oplossing die gericht is naar verzekeringsbedrijven en fleet managers;

 

  • Smart Lighting Solutions: via de overname van InnoLumis heeft het bedrijf een complete Smart Lighting oplossing waarvoor er een sterke interessse is van verschillende steden & gemeenten.

 

Option is in de kern een engineering bedrijf. Haar expertise in Radio Frequency (RF) ontwerp en ontwikkeling is wereldwijd erkend. Het bedrijf blijft haar expertise in dit domein actief commercialiseren. Het contract voor het ontwerp en ontwikkeling van een On Board Diagnostics Datalogger (OBD) voor Danlaw of het werk voor Asea Brown Boveri (ABB) en Jabil Circuit zijn voorbeelden van de expertise van het bedrijf in engineering services.

 

Het bedrijf blijft haar partner kanaal en eindklanten actief op het CloudGate platform ondersteunen door end-to-end toepassingen die door haar partners werden ontwikkeld te selecteren met de bedoeling om deze ook via Option te gaan verkopen.

 

De Raad van Bestuur heeft beslist met onmiddellijke ingang een einde te stellen aan het mandaat van de CEO, Frank Deschuytere. De Raad van Bestuur heeft beslist het dagelijkse bestuur van de Vennootschap toe te vertrouwen aan de Uitvoerend Voorzitter Jan Callewaert.

“Met CloudGate als platform voor IoT oplossingen zijn we een partner geworden in de markt van het Internet Der Dingen die nog steeds in een pioniersfase zit. De CloudGate technologie wordt gezien als een essentiële bouwsteen die connectiviteit en slimme toepassingen voor het Internet Der Dingen biedt. De afgelopen twee jaar hebben we waardevolle feedback gekregen van onze doelmarkten. Als een gevolg daarvan hebben we zorgvuldig de business segmenten van smart lighting en connected cars geselecteerd. Om dit potentieel ten volle te benutten heeft het bedrijf het Nederlandse Lemnis Public Lighing & Innolumis Public Lighting overgenomen en, via een belangrijke investering, een corporate partnership aangegaan met Danlaw Inc. USA, een globale aanbieder van telematica en connected vehicle oplossingen. Het bedrijf slaat een bladzijde om en gaat op een nieuwe manier aan haar toekomst werken. We bekijken de mogelijkheid om de CloudGate business entiteit zo te organiseren dat we in toekomst partnerships kunnen aangaan. We zien ook interesse voor investeringen in Smart City toepassingen, in het bjizonder ‘connected building’ en ‘public lighting’.”

 

 

CORPORATE

 

Naar aanleiding van de verdere opvolging van de kaspositie en de continuïteit van de vennootschap door de commissaris van de Vennootschap, heeft de Raad van Bestuur van Option hierover verder beraadslaagd en daarna besloten om de markt te informeren in overeenstemming met de persberichten van 21 april 2015 en 3 juli 2015.

 

Naast de al aangekondigde brugfinanciering van 2.7M EUR in maart 2015 van haar bestaande obligatiehouders en stakeholders, heeft de Vennootschap een bijkomende converteerbare obligatielening afgesloten van 6 mio EUR in november 2015.

 

Volgens de voorwaarden van de overeenkomst zal Danlaw tot € 10 miljoen investeren in Option via een private plaatsing in twee fases. In eerste instantie via een converteerbare lening van € 6 miljoen aan 5% jaarlijks kapitaliseerbare intrest zoals werd goedgekeurd door de Raad van Bestuur binnen het toegestaan kapitaal op 6 november 2015. De obligatielening heeft een termijn van 5 jaar en vervalt op 5 november 2020 en kan converteren in maximaal 32.894.736 aandelen van Option berekend aan een uitgifteprijs van 0.228 EUR per aandeel, inclusief intrest, exclusief roerende voorheffing. De uitgifteprijs is berekend aan het gemiddelde van de koersen gedurende dertig dagen voorafgaande aan de dag van de uitgifte, overeenkomstig artikel 598 van het Wetboek van Vennootschappen.

 

Bijkomend heeft Danlaw de mogelijkheid om 4 mio EUR te investeren door middel van warranten welke werden uitgegeven door de Buitengewone Algemene Vergadering van 26 januari 2016.

Op  26 juni 2015 heeft de Buitengewone Algemene Vergadering beslist om de Raad van Bestuur van de Vennootschap te machtigen om gedurende een periode van vijf (5) jaar vanaf de datum van bekendmaking van de statutenwijziging in de bijlagen bij het Belgisch Staatsblad, het kapitaal in één of meerdere malen te verhogen met een totaal bedrag gelijk aan vier miljoen zevenhonderd achtendertig duizend negenhonderd vierenzestig euro vijftig cent (EUR 4.738.964,50), zowel door middel van inbrengen in geld of in natura binnen de door het Wetboek van vennootschappen toegestane grenzen als door omzetting van reserves en uitgiftepremies, met of zonder uitgifte van nieuwe aandelen, met of zonder stemrecht, of door uitgifte van al dan niet achtergestelde converteerbare obligaties, of door uitgifte van warrants of van obligaties waaraan warrants of andere roerende waarden zijn verbonden, of van andere effecten, zoals aandelen in het kader van een Stock Option Plan. Om de raad van bestuur tevens bijzonder te machtigen om, ingeval van openbaar overnamebod op effecten uitgegeven door de vennootschap gedurende een periode van drie (3) jaar die loopt vanaf de Buitengewone Algemene Vergadering die tot deze machtiging heeft besloten, over te gaan tot kapitaalverhogingen in de voorwaarden voorzien door het Wetboek van vennootschappen. Om de raad van bestuur tenslotte te machtigen om, in het belang van de vennootschap, binnen de perken en overeenkomstig de voorwaarden voorgeschreven door het Wetboek van vennootschappen, het voorkeurrecht van de aandeelhouders te beperken of op te heffen, wanneer een kapitaalverhoging geschiedt binnen de grenzen van het toegestane kapitaal. Deze beperking of opheffing kan even eens gebeuren ten gunste van één of meer bepaalde personen.

 

TRANSACTIES NA BALANSDATUM

 

Continuïteit

 

Gegeven de aanhoudende cash drain in 2016 is de Raad van Bestuur op zoek naar projectfinancieringen evenals bijkomende financiering op korte termijn.

 

Overige transacties na balansdatum

 

Op 21 januari 2016 kondigde Option aan de aandelen van de Nederlandse LED verlichtingsfabrikanten Lemnis Public Lighting BV en Innolumis Public Lighting BV te hebben gekocht en voegt de twee bedrijven samen tot één commerciële organisatie onder de naam Innolumis Public Lighting.

 

Op 26 januari  2016 heeft de Buitengewone Algemene Vergadering van de Vennootschap beslist om gedurende een periode van vijf (5) jaar vanaf de datum van bekendmaking van de statutenwijziging in de bijlagen bij het Belgisch Staatsblad, het kapitaal in één of meerdere malen te verhogen met een totaal bedrag gelijk aan vier miljoen achthonderd vierenveertig duizend achthonderd en twee euro zeventig cent (€ 4.844.802,70), zowel door middel van inbrengen in geld of in natura binnen de door het Wetboek van vennootschappen toegestane grenzen als door omzetting van reserves en uitgiftepremies, met of zonder uitgifte van nieuwe aandelen, met of zonder stemrecht, of door uitgifte van al dan niet achtergestelde converteerbare obligaties, of door uitgifte van warrants of van obligaties waaraan warrants of andere roerende waarden zijn verbonden, of van andere effecten, zoals aandelen in het kader van een Stock Option Plan. Om de raad van bestuur tevens bijzonder te machtigen om, ingeval van openbaar overnamebod op effecten uitgegeven door de vennootschap gedurende een periode van drie (3) jaar die loopt vanaf de Buitengewone Algemene Vergadering die tot deze machtiging zal besluiten, over te gaan tot kapitaalverhogingen in de voorwaarden voorzien door het Wetboek van vennootschappen. Om de raad van bestuur tenslotte te machtigen om, in het belang van de vennootschap, binnen de perken en overeenkomstig de voorwaarden voorgeschreven door het Wetboek van vennootschappen, het voorkeurrecht van de aandeelhouders te beperken of op te heffen, wanneer een kapitaalverhoging geschiedt binnen de grenzen van het toegestane kapitaal. Deze beperking of opheffing kan even eens gebeuren ten gunste van één of meer bepaalde personen.

 

Bijkomend heeft de Buitengewone Algemene Vergadering  van de Vennootschap beslist om 17,391,304 warrants toe te kennen aan Danlaw Inc. voor een totaalbedrag van 4 mio EUR, indien uitgeoefend zal dit een kapitaalverhoging vertegenwoordigen van in totaal acht honderd negenenzestig vijfhonderd vijfenzestig euro en twintig cent (EUR 869,565.20).

Total revenues for 2015 were EUR 4.7 million compared with EUR 5.2 million realized in 2014. CloudGate revenues increased with EUR 1 million and revenues from embedded modules and devices decreased with EUR -1.7 million.

 

Gross margin for the year 2015 was 28.3 % on total revenues compared with a gross margin of 43.6 % in 2014. Excluding the write-off on inventories of EUR 837 thousand, the normalized gross margin would have reached 46.1 % in 2015

 

During 2015, the operating expenditure decreased with EUR 385 Thousand from EUR 13.5 million in 2014 to EUR 13.1 million in 2015

This decrease in normalized operating costs of EUR 1.8 million results from further cost control.

 

In 2015 EBIT amounted to EUR -11.8 million compared to EUR -11 million in 2014.

 

The financial result decreased from EUR -1.8 million in 2014 to EUR -2.3 million in 2015, mainly as a result of interests due on the convertible bonds which were issued at the beginning of the second quarter of 2015 and in November 2015 as also the bridge funding raised in the first half of 2015.

 

The 2015 cash burn was compensated by a bridge funding of 2.7 million EUR during the first half of 2015, a convertible bond of 6.0 million EUR in November 2015 and further leveraging the company's working capital.

 

The cash position increased from EUR 1.6 million at the end of 2014 to EUR 4.1 million at the end of 2015.

 

The net result for the full year 2015 amounted to EUR -14.1 million or EUR -0.15 per basic and diluted share. This compares to a net result of EUR -12.9 million or EUR -0.15 per basic and diluted share during 2014.

 

During 2015, 2,116,782 new shares we created as the result of the conversion of convertible bonds.

 

BUSINESS UPDATE

Whereas CloudGate remains a building block of projects and solutions, the full year results indicate that the expected pick-up of CloudGate sales did not materialize. The current sales process involving multiple partners before the solution reaches the end-customer, remains complicated, slow and with steeper learning curves than anticipated.  Although the CloudGate platform is unique and appreciated by our partners, the Company has not been able to monetize the platform in a sustainable way fast enough.

To address this situation, the Company – since the second half of 2015 and through 2016 – additionally embarked on the go-to-market strategy of commercializing end-to-end solutions.

  • Connected Car Solutions: through the strategic partnership with Danlaw Inc., the Company, has a complete Connected Car Solution targeted towards insurance companies and fleet managers;
  • Smart Lighting Solutions: through the acquisition of InnoLumis, the Company has a complete Smart Lighting Solution, generating a vivid interest from numerous cities and municipalities.

At its core, Option is an engineering company. Its expertise in Radio Frequency (RF) design and development is recognized worldwide. The Company continues to actively commercialize its expertise in these areas. The contract for designing and developing an On Board Diagnostics Datalogger (OBD) for Danlaw or the work for Asea Brown Boveri (ABB) and Jabil Circuit are examples of the Company’s expertise in engineering services.

The Company continues to support its channel partners and end-customers on the CloudGate platform by selecting end-to-end applications developed by our partners for further commercialization by Option.

The Board of Directors has decided to terminate the mandate of the CEO, Frank Deschuytere, with immediate effect. The Board has decided to entrust its Executive Chairman, Mr Jan Callewaert, with the daily management of the Company.

 “With CloudGate as a platform for IoT solutions, we have become a partner in the pioneering market of ‘Internet of Things’. CloudGate technology is perceived as an essential building block adding connectivity and smart applications to the Internet of Things. Over the last two years we obtained valuable feedback from our target markets.  Consequently, we carefully selected the business segments of smart lighting and connected cars. To fully exploit this potential, the Company acquired Dutch Lemnis Public Lighting & Innolumis Public Lighting and entered into a corporate partnership through an important investment from Danlaw Inc USA, global provider of telematics and connected vehicle solutions. The Company is turning the page and will be working on its future in a novel way. The Company created, and will manage the following business entities separately: Engineering Services, Smart Lighting Solutions, Connected Car Solutions and CloudGate Solutions. To that end every entity will have to focus on cost alignments for its activities to become at least break-even. We are looking into organizing the CloudGate business entity in such a way that it is ready for future partnering while we see appetite for investments in Smart City applications, in particular connected building and public lighting.”

CORPORATE

 

Following the continued review by the statutory auditor of the Company of the cash position of the Company and its continuity, the Option Board of Directors has further deliberated in this respect and informed the market accordingly in its press releases of April 21, 2015 and July 3, 2015.

 

In addition to the announced 2.7M EUR bridge financing provided by its existing bond- and other stakeholders in March of 2015, the Company secured an additional convertible bond loan of 6 mio EUR in November of 2015. Under the terms of the agreement Danlaw Inc. invests up to € 10 million in Option by means of a private placement in two phases. Initially via a Convertible Bond loan of € 6 million at an accrued interest of 5% yearly as agreed by the Board on November 6, 2015 within the context of the authorized capital. The Convertible Bond loan has a term of 5 years and will expire on November 5, 2020 and can be converted in maximum 32.894.736 shares of Option at a conversion price of € 0.228 per share, interest included, taxes excluded.  The conversion price is set at 30 days average stock price before issue in accordance with Article 598 of the Code of Companies.

 

In addition to the Bond loan, Danlaw has the possibility to invest an amount of € 4 million through warrants which were issued by an Extraordinary Shareholders’ Meeting of January 26, 2016.

 

On 26 June 2015 the Extraordinary Shareholder’s Meeting of the Company decided to renew the authorized capital of the Company for a total amount of four million seven hundred thirty eight thousand nine hundred sixty four euro and fifty cent (EUR 4,738,964.50), both by means of contribution in cash or in kind, within the limits imposed by the Belgian Code of Companies as well as by conversion of reserves and issue premiums, with or without the issue of new shares, with or without voting right, or trough the issue of convertible bonds, subordinated or not, or through the issue of warrants or of bonds to which warrants or other movables are linked, or of other securities, such as shares in the framework of a Stock Option Plan. Furthermore the Extraordinary Shareholder’s Meeting of the Company decided to grant the board of directors special authority, in the event of a public take over bid for securities issued by the Company during a period of three (3) years, running from the Extraordinary Shareholders’ Meeting which will resolve on this authorization, to proceed with capital increases under the conditions foreseen by the Belgian Code of Companies and has authorized the board of directors, in the interest of the company, within the limits and in accordance with the conditions imposed by the Belgian Code of Companies, to limit or suspend the preferential rights of the shareholders, when a capital increase occurs within the limits of the authorized capital. This limitation or suspension may likewise occur for the benefit of one or more specified persons.

 

EVENTS AFTER THE BALANCE SHEET DATE

Given the continued cash drain in 2016, the Board is looking for further project fundings as well as financial funding in the short term.

 

Other events after balance sheet date

 

On January 21, 2016 Option announced the acquisition of the shares of the Dutch LED lighting companies Lemnis Lighting BV Public and Innolumis Public Lighting BV and merges the two companies into a single commercial organization under the name Innolumis Public Lighting.

 

On January 26, 2016, the Extraordinary Shareholder’s Meeting of the Company decided to renew the authorized capital of the Company for a total amount of four million eight hundred forty four thousand eight hundred two euro and seventy cent (EUR 4,844,802.70), both by means of contribution in cash or in kind, within the limits imposed by the Belgian Code of Companies as well as by conversion of reserves and issue premiums, with or without the issue of new shares, with or without voting right, or trough the issue of convertible bonds, subordinated or not, or through the issue of warrants or of bonds to which warrants or other movables are linked, or of other securities, such as shares in the framework of a Stock Option Plan. Furthermore, to grant the board of directors special authority, in the event of a public take over bid for securities issued by the Company during a period of three (3) years, running from the Extraordinary Shareholders’ Meeting which has resolved on this authorization, to proceed with capital increases under the conditions foreseen by the Belgian Code of Companies. To authorize the board of directors, in the interest of the company, within the limits and in accordance with the conditions imposed by the Belgian Code of Companies, to limit or suspend the preferential rights of the shareholders, when a capital increase occurs within the limits of the authorized capital. This limitation or suspension may likewise occur for the benefit of one or more specified persons.

Furthermore, the Extraordinary Shareholder’s Meeting of the Company decided to grant 17,391,304 warrants to Danlaw Inc. for a total amount of 4 mio EUR, if exercised, this would increase the capital of the company with eight hundred sixty-nine thousand five hundred sixty five euro and twenty cent (EUR 869,565.20).

Leuven, Belgium – August 27, 2015 Option N.V. (EURONEXT Brussels: OPTI; OTC: OPNVY), the company connecting Things to the Cloud, today announced its results for the first half fiscal year ended June 30 2015. The financial information reported in this release is presented in Euros and has been prepared in accordance with the recognition and measurement criteria of IFRS as adopted by the European Union. The accounting policies and methods of computation followed in the attached financial statements are the same as those followed in the most recent annual financial statements.

 

FINANCIAL HIGHLIGHTS OF THE FIRST HALF FISCAL YEAR 2015

  • Total revenues for the first half year of 2015 were EUR 2,6 million compared with EUR 2,8 million realized in the first half of 2014. M2M related revenues increased from EUR 0,3 million to EUR 1,3 million.
  • Gross margin for the first half year of 2015 was 42,1 % on total revenues compared with a gross margin of 35,2 % for the comparable period in 2014.
  • Thanks to the continuous cost reductions, the operating expenditure decreased with 0,8 Million EUR.
  • Financial costs increased, mainly as a result of interests due on the convertible bonds which were issued at the beginning of the second quarter of 2014 and also because of exchange rate losses.
  • The first half year of 2015 EBIT amounted to EUR -5,0 million compared to EUR -5,9 million during the corresponding period 2014. The net result amounted to EUR -6,0 million compared to EUR -6,6 million as per June 30 2014.
  • The cash position decreased from EUR 1,6 million at the end of 2014 to EUR 0,9 million at the end of June 2015.
  • During the first half of 2015, the company received a bridge funding of 2,7 million EUR.
  • During the first half of 2015, 2.116.782 new shares we created as the result of the conversion of convertible bonds.

 

Frank Deschuytere, Option’s CEO, commented on the results:

 

“Despite the fact that the numbers of the first half of 2015 are below our own expectations there are bright spots. Our sales partners indicated that their orders are postponed till later this year. We have developed a next pillar in our business model, which is our ‘engineering development’ capacity. We have won several contracts to develop solutions for the Internet of Things world. Finally, we were also able to generate cash using previous products that were re-worked to neatly fit the customer’s needs.

 

With the developments I’m seeing within the Company and in the market I’m confident that we’ll see a significant improvement of our results in the second half of 2015.”


Business Update

In the first half year Option faced postponed sales and as a consequence important orders shifted to the second half of the year. However the Company’s sales partners maintained their outlook for 2015.

More importantly, in recent months progress has been made on several fronts: The main focus has been to increase the number of applications that run on the CloudGate platform. Several important application development projects for US Robotics for out of band management, smart housing applications for Asea Brown Boveri (ABB) have been finalized and a rail-certified WIFI access point for general deployment in trains, trams and busses has been developed.

To further lower the barriers to M2M application development for our customers and to decrease the time from concept to working M2M solution, Luvit-RED was developed. Luvit-RED is a visually configurable agent for the design and deployment of smart M2M solutions. By enabling rapid prototyping, development and deployment of M2M applications, Luvit-RED reduces cost, speeds time to market and mitigates risk.

Meanwhile, the number of partners developing applications autonomously on CloudGate is increasing with, amongst others, Skywave, GetWireless, Graphite and Proximus developing applications ranging from connected wireless sensors, surveillance & security solutions to general telematics solutions.

In the first half year we continued to increase our reach into the M2M markets by adding distributors such as TESSCO in the US, Graphite in UK and recently BLUDIS in Italy. Their job is to bring localized solutions and support to channel partners.

In the second half of the year the Company expects significant stock replenishment orders from its partners in North America. The Company expects to successfully continue to convert stock into cash by selling modules & personal routers.

We have continued working at extending Option’s business model beyond the selling of CloudGate equipment. The business model remains centered on Internet of Things and is based on the following pillars:

  1. Developing & selling solutions based on our CloudGate platform, including equipment sales;
  2. Engineering services & turnkey projects in the Internet of Things space.

For the second pillar, Option increased its sales efforts in the go-to-market of “solution development and engineering services” leading to multiple design wins for CloudGate application development and a design win in IoT for the Connected car.

Following the continued review by the statutory auditor of the Company of the cash position of the Company and its continuity, the Option Board of Directors has further deliberated in this respect and informed the market accordingly in its press releases of April 21, 2015 and July 3, 2015.
 
In addition to the announced 2.7M EUR bridge financing provided by its existing bond- and other stakeholders in March of this year, the Company started up confidential discussions in order to engage with a number of financial and industrial partners. These discussions have been accelerated and are anticipated to be completed in the second half of 2015 to stabilize its current financial position to ensure its ability to successfully pursue and maximize its potential in the Internet of Things market.
 
On 26 May 2015 the Board co-opted Jurgen Ingels as director in replacement of Olivier Lefebvre as independent director. Jurgen Ingels (44) is founding and managing partner of Smartfin Capital, a European Private Equity fund investing in Smart Technology growth companies. Previously, he was the founder and CFO of Clear2Pay, a leading payments technology company.
 
On 29 May 2015 the Ordinary Shareholders’ meeting resolved to confirm and approve the appointment as non-executive director of the company of Dimitri Duffeleer BVBA, with registered office at Fazantenlaan 17, 8790 Waregem, having as permanent representative Mr. Dimitri Duffeleer, as was decided by the board of directors dated 24 September 2014 provisionally by way of co-optation. The appointment of Dimitri Duffeleer BVBA entered into force on 1 November 2014 and shall expire after the general meeting that will be invited to approve the annual accounts relating to financial year 2016.
 
On 29 May 2015 the Ordinary Shareholders’ meeting resolved to re-appoint FVDH Beheer BVBA, represented by Mr. Francis Vanderhoydonck, as non-executive director of the company. The appointment of FVDH Beheer BVBA shall expire after the general meeting that will be invited to approve the annual accounts relating to financial year 2017.

(EURONEXT Brussel: OPTI; OTC: OPNVY), het bedrijf dat staat voor ‘Connecting Things to the Cloud’, heeft vandaag haar resultaten bekendgemaakt voor het eerste halfjaar van 2015, eindigend op 30 juni. De resultaten zijn uitgedrukt in euro en werden opgesteld in overeenstemming met de opname- en waarderingsgrondslagen van IFRS zoals aanvaard binnen de Europese Unie. De boekhoudprincipes en waarderingsregels die in de onderstaande financiële rapportering worden gevolgd, zijn dezelfde als deze in de meest recente jaarrekening.

 

Financiële kerncijfers voor het eerste halfjaar van 2015

  • De opbrengsten voor het eerste halfjaar van 2015 bedroegen 2,6 miljoen EURO in vergelijking met 2,8 miljoen EURO tijdens het eerste halfjaar van 2014. M2M verkopen stegen van 0,3 naar 1,3 miljoen EURO
  • De brutowinstmarge van het eerste halfjaar van 2015 bedroeg 42,1 % ten opzichte van de opbrengsten in vergelijking met een brutowinstmarge van 35,2 % in dezelfde periode in 2014.
  • Dankzij de voortdurende besparingen daalden de operationele kosten met 0,8 miljoen EURO.
  • De financiële kosten stegen, vooral als een gevolg van de intresten op de converteerbare obligatieleningen uitgegeven bij de start van het tweede kwartaal in 2014 en eveneens door wisselkoersverliezen.
  • De EBIT voor het eerste halfjaar van 2015 bedroeg -5,0 miljoen EURO vergeleken met -5,9 miljoen EURO tijdens dezelfde periode in 2013. Het nettoresultaat kwam uit op -6,0 miljoen EURO vergeleken met -6,6 miljoen EURO op 30 juni 2014.
  • De cashpositie daalde van 1,6 miljoen EURO op jaareinde 2014 naar 0,9 miljoen EURO op het einde van juni 2015.
  • Tijdens het eerste halfjaar van 2015, verkreeg de onderneming een overbruggingskrediet van 2,7 Mio EURO.
  • Tijdens het eerste halfjaar van 2015 werden 2.116.782 nieuwe aandelen gecreëerd ten gevolge van de conversie van converteerbare obligatieleningen.

Uitgaande van de progressie die ik vaststel binnen ons bedrijf en de vooruitgang die we realiseren in de markt, ben ik ervan overtuigd dat wij een significante vooruitgang zullen zien in onze resultaten voor de tweede helft van 2015.”

 

Business update

 

In de eerste helft van het jaar werd Option geconfronteerd met vertragingen wat voor gevolg had dat belangrijke orders naar de tweede helft van het jaar verschoven. Nochtans behouden de verkoopspartners van de vennootschap hun vooruitzichten voor 2015. Nog belangrijker is dat in de laatste maanden belangrijke vooruitgang werd geboekt op verschillende fronten.

 

De belangrijkste doelstelling was om het aantal applicaties die op CloudGate draaien te verhogen. Verschillende belangrijke applicaties werden ontwikkeld voor US Robotics voor toepassingen in “out of band” beheer en de vervanging van analoge modems, voor ABB ( Asea Brown Boveri) voor toepassingen in het domein van “slimme meters en slimme netten”. Tevens werd een oplossing ontwikkeld voor mobiele WIFI toegang, met certificatie voor gebruik in treinen en toepasbaar in treinen, trams en bussen.

 

Om de ontwikkeling van M2M applicaties voor onze klanten verder te vereenvoudigen en om de tijd van concept naar werkende M2M oplossing in te korten, werd LuvitRed ontwikkeld. LuvitRed is een grafisch configureerbare softwareomgeving voor ontwikkeling en uitrol van slimme M2M oplossingen. Door een snelle ontwikkeling van prototypes en M2M applicaties mogelijk te maken, worden met LuvitRed de kosten gereduceerd, de “time to market” ingekort en het risico geminimaliseerd.

 

Ondertussen stijgt het aantal klanten dat autonoom applicaties op CloudGate ontwikkelt. Hierbij zijn onder andere door Skywave, GetWireLess, Graphite en Proximus oplossingen ontwikkeld variërend van applicaties met geconnecteerde draadloze sensoren, oplossingen voor bewaking & beveiliging tot algemene telematica oplossingen. 

 

In het eerste halfjaar bleven we onze penetratie in M2M markten verder uitbreiden door bijkomende distributeurs aan het CloudGate ecosysteem toe te voegen zoals TESSCO in de VS, Graphite in de UK en recent BLUDIS in Italië. Hierdoor kunnen we meer gelokaliseerde oplossingen realiseren en de lokale support voor onze klanten verbeteren.

 

In de tweede helft van het jaar verwacht de vennootschap significante stock opvolgorders uit Noord-Amerika. Tevens verwachten we de stock van modules & persoonlijke routers verder succesvol naar cash te kunnen converteren.

 

We blijven inzetten op de uitbreiding van Option’s business model buiten het louter verkopen van CloudGate equipment. Het business model blijft gecentreerd op “Internet of Things” en is opgebouwd uit:

  1. Ontwikkeling & verkoop van oplossingen op basis van het CloudGate platform, inclusief de verkoop van toestellen.
  2. Engineering services & projecten voor totaal oplossingen voor toepassingen van “Internet of Things”.

 

Option verhoogde zijn verkoopinspanningen bij het vermarkten van de engineering services en ontwikkeling van totaal oplossingen resulterend in de toekenning van meerdere contracten voor ontwikkeling van applicaties op CloudGate en met een belangrijke design win voor toepassing van “Internet of Things” in de “geconnecteerde wagen”.

Naar aanleiding van de voortgezette opvolging van de kaspositie en de continuïteit van de vennootschap door de commissaris van de vennootschap, heeft de Raad van Bestuur van Option hierover verder beraadslaagd en geïnformeerd overeenkomstig de persberichten van 21 april 2015 en 3 juli 2015.
 
Naast de reeds aangekondigde brugfinanciering van 2.7 mio EUR zoals onderschreven door de bestaande obligatie- en stakeholders van de vennootschap in maart van dit jaar, is de Vennootschap vertrouwelijke gesprekken gestart om engagementen aan te gaan met een aantal financiële en industriële partners. Deze gesprekken werden versneld en worden verwacht afgesloten te worden in de tweede jaarhelft van 2015 ten einde de huidige financiële toestand te stabiliseren om zo op een succesvolle manier de markt van Internet of Things te bewerken en het potentieel te maximaliseren.
 
Op 26 mei 2015 heeft de Raad van bestuur Jurgen Ingels gecoöpteerd als onafhankelijk bestuurder ter vervanging van Olivier Lefebvre. Jurgen Ingels (44) is de stichtende en managing partner van Smartfin Capital, een Europees Private Equity Fonds dat investeert in groeibedrijven actief binnen het veld van Smart Technology. Eerder was hij ook al de oprichter en CFO van Clear2Pay, een belangrijke speler op het vlak van betalingstechnologie.
 
De algemene vergadering van 29 mei 2015 heeft beslist om de vervanging als bestuurder van At lnfinitum NV door Dimitri Duffeleer BVBA, met maatschappelijke zetel te Fazantenlaan 17,8790 Waregem, vast vertegenwoordigd door de heer Dimitri Duffeleer, als niet-uitvoerend bestuurder, waartoe door de raad van bestuur d.d.24 september 2014 voorlopig werd beslist bij wijze van coöptatie, te bevestigen en goed te keuren. Het mandaat van Dimitri Duffeleer BVBA als bestuurder is ingegaan per 1 november 20'J.4 en eindigt na de algemene vergadering die zal uitgenodigd worden om de jaarrekening over boekjaar 2016 goed te keuren.
 
De algemene vergadering van 29 mei 2015 heeft bovendien beslist om bestuurder FVDH Beheer BVBA, vast vertegenwoordigd door de heer Francis Vanderhoydonck, te herbenoemen als niet-uitvoerend onafhankelijk bestuurder. Het mandaat van FVDH Beheer BVBA als bestuurder eindigt na de algemene vergadering die zal uitgenodigd worden om de jaarrekening over boekjaar 2017 goed te keuren.
 
Op 26 juni 2015 heeft de buitengewone algemene vergadering beslist om het toegestaan kapitaal te vernieuwen voor een totaal bedrag gelijk aan vier miljoen zevenhonderd achtendertig duizend negenhonderd vierenzestig euro vijftig cent (EUR 4.738.964,50), zowel door middel van inbrengen in geld of in natura binnen de door het Wetboek van vennootschappen toegestane grenzen als door omzetting van reserves en uitgiftepremies, met of zonder uitgifte van nieuwe aandelen, met of zonder stemrecht, of door uitgifte van al dan niet achtergestelde converteerbare obligaties, of door uitgifte van warrants of van obligaties waaraan warrants of andere roerende waarden zijn verbonden, of van andere effecten, zoals aandelen in het kader van een Stock Option Plan. Bovendien heeft diezelfde buitengewone algemene vergadering beslist om de raad van bestuur bijzonder te machtigen om, ingeval van openbaar overnamebod op effecten uitgegeven door de vennootschap gedurende een periode van drie (3) jaar die loopt vanaf de buitengewone algemene vergadering die tot deze machtiging zal besluiten, over te gaan tot kapitaalverhogingen in de voorwaarden voorzien door het Wetboek van vennootschappen.
 
In juni 2015 heeft de Vennootschap beslist om de heer Jan Luyckx als senior director finance aan te stellen ter vervanging van Christine Pollie die de Vennootschap heeft verlaten.

The articles of association stipulate that the Board of Directors is composed of a minimum of three and a maximum of nine members, who are appointed by the general shareholders meeting for a maximum period of six years. The Board of Directors has to contain at least three independent directors.

The Board of Directors is currently composed of four members, namely: Eric Van Zele (Chairman of the Board of Directors), Raju Dandu,  Martine Reynaers and Paul Matthijs.

Eric Van Zele

Mr. Eric Van Zele currently serves as Chairman of Reynaers Aluminium and Crescent NV. He was recently appointed chairman of the E17 network of hospitals and of the Hermes decision committee of The Flemish agency for Innovation and entrepreneurship. He continues to serve as a director of Barco NV. Prior to his current mandates Eric served as president and CEO of Barco NV in Kortrijk from 2009 thru 2016. He served as CEO of Pauwels International (from 2004 thru 2008) and of Telindus nv (2000 thru 2003). Prior to that, he served as Vice President of Raychem Corporation in Menlo park, CA, USA and as Managing Director of Raychem nv in Leuven, Belgium. (1972 thru 1999). He was nominated “Manager of the Year in 2012” and “ICT Personality of 2013”. Eric holds a masters degree in electrical and mechanical engineering from the KUL in Leuven (1972) and postgraduate degrees in management from Stanford University (1992 CA, USA).

He is responsible for strategic planning and corporate management of both companies. Prior to founding Danlaw Inc., he held positions at the University of Iowa hospitals, Ford Motor Company, Dana Corporation and worked as an independent consultant at General Motors.  He holds a bachelors’ degree in electronics engineering from Kakinada, India, a masters in electronics from University of Iowa and an MBA from University of Detroit.

 

Martine Reynaers

In 1980, Martine started her career as Financial Analyst of Technicon in Paris, a subsidiary of the
American Revlon Group.
In 1982, she was appointed Financial Manager of Wexal International Ltd, an aluminium extrusion
company in Enniscorthy, Ireland.
In 1983, she moved to the Reynaers headquarters in Belgium, where she took up the position of
Financial Manager. From 1986 onwards, Martine has been the Managing Director of Reynaers until
June 2021 when she will retire from this position and take on the role of Chair of the Board.

 

Paul Matthijs

Next to holding several non-executive advisory positions, Paul Matthijs is COO of Vlerick Business School.  Prior to this, Paul Matthijs  was  CEO of Niko until 2019 and held several senior executive positions in R&D, product management and general management in the Medical Imaging and Entertainment division and the Retail and Advertising Venture of Barco. Mr. Matthijs' career at Barco spanned over 30 years.  He holds a Master’s degree in Electronic Engineering and an MBA from the Vlerick Business School.
